2 BE IT RESOLVED that, upon the petifion of River Run Properties, LLC, as documented in
3 Public Works Technical Services, Vacation File Number 01-2008, the public property hereinafter
4 described, as follows and on attached map Exhibit A, is hereby vacated and discontinued as

RESOLVED that, subject to the herein stated axceptions and with the accompanying Certificates
of Intended Non-[3se, filed voluntarily on behalf of: District Energy/District Cooling St. Paul,
a private, non-profit Minnesota corporation; Saint Paul Regional Water Services, a
municipal corporation; Northern States Power Company dba Xcel Energy (gas), a
Minnesota corporation; Qwest, a Colorado corporafion; made a part hereof by this reference
and filed in the office of the City C1erk of Saint Paul, the City, for itself and on behalf of these
corporations and departments, waives the right to the utility easements in the vacated area
described above.
This vacation shall also be subject to the terms and condition of Chapter 130, codified March 1,
1981, of the Saint Paul Legislative Code as amended, and to the following conditions:
1. That the petitioners, their successors and assigns shall pay $1200.00 as an adtninistrafive
fee for this vacation which is due and payable within 60 days of the effective date of this
resolution.
2. On behalf of the City of Saint Paul Department of Public Works storm and sanitary sewer
easements must remain, subject to the following conditions:
That a permanent utility easement shall be retained on, over, under and across the vacated
azea on behalf of the City of Saint Pau1, Department of Public Works to reserve the right of
the City to maintain and operate any sewer In or upon said easement and to enter upon said
easement or any portion thereof at any time and from time to time, for the purposes of
future construction, reconstruction, inspection, maintenance, or repair of the same or any
part thereo£ Said utility easement shall be subject to fhe fallowing conditions:

a. No buildings, structures, trees or any temporary structure, material storage, fixture, or
any other objec� which may prohibit normal access to utility facilities for
maintenance purposes wiil be pernutted within the easement area.
b. Improvements in or upon the above described easement that do not prohibit the City
fram exercising its reserved rights may be allowed by obtaiiiing written pernussion
from the DeparYment of Public Works Sewer Division with the understanding that the
restoration and costs of such unprovements shall be the sole responsibili#y of the
petirioner, its successors and assigns in the event the City exercises its reserved
easement rights.
a Should it be necessary that the petitioner's works or improvements be removed or
damaged as a result of the Department of Public Works operations, all removal,
replacement or modification costs shall be borne solely by the petitioner.

No change from the existing grade within the easement area shall be permitted
without written permission from the Department of Public Works Sewer Division.
No change in surfacing within the easement area shall be permitted without written
permission from the Department of Public Works Sewer Division.
f. The petitioner, its successors and assigns shall fully indemnify, defend, and save
hartnless the City of Saint Paul, its officers, agents, employees, and servants from all
suits, actions, or claims which sha11 azise from any injuries or damages received or
sustained by any break in any service pipe or connection in said reserved easement
arising out of or resulting from any action or negligence of the petifioner, its
employees, agents, or business invitees.
3. The City of Saint Paul Public Warks also imposes the restriction that if the homes at 1457
and 1471 Mechanic Avenue remain in place, it is required that their addresses change,
since Mechanic Avenue will no longer exist adjacent to the pazcels.
4. On behalf of Ramsey-Washington Metro Watershed District sewer easements must
remain.
5. That an easement shall be retained on behalf of Comcast, a Pennsylvania Corporation, for
existing facilities. The petifioner or its successor shall provide new easements if required
and the petitioner or its successor shall assume all costs of relocating facilities to the new
easements.
6. That an easement shall be retained on behalf of Xcel Energy (electric) for its existing
facilities. The petitioner or its successor shall provide new easements if required and the
petitioner or its successor shall assume all costs of relocaring facilities to the new
easements.
7. That the petitioner, their successors and assigns agree to indemnify, defend and save
hannless the City of Saint Paul, its officers and employees from all suits, actions or claims
of any character brought as a result of injuries ar damages received or sustained by any
person, persons or property on account of this vacation, or the petitioners' nse of this

property, including but not limited to, a claun brought because of any act of omission,
neglect, or misconduct of said petitioners or because of any claizns or liability arising from
any violation of any law or regulation made in accordance with the law, whether by the
petitioners or any of their agents or employees.
8. That the petitioners, their successors and assigns sha11, within 60 days of the effective date
of this resolufion, file with Public Works, City Real Estate, an acceptance in writing of the
conditions of this resolution and shall, within the period specified in the terms and
conditions of this resolution, comply in all respects with these terms and conditions.

I don't think DSI has any issues. But..
1 want to point out one thing that may be more of a planning issue. The lots on the south side of Mechanic are very deep (over
300'?). These Iots also have frontage on the south on Ames. So each of these lots could be split into two more normal size lotr if
Mechanic was ever euterMed east in front of them. So I think it makes sense to hang onto the Mechanic right of way so that these
lots on be spiit in the firture.

We do not intent to build on this site ourselves but do intend on selling the
property that is owned on both sides of Mechanic Avenue and adding to it the proposed
vacated portion of the street. We believe it is an important piece to the overall area of
this site 5 development.
River Run Properties and LTRW aze the developers of Phalen Crossing. Several
yeazs ago an overall look at the areas adjoining Phalen Crossing were looked at
conceptually for additional phases of development of fhe neighborhood with people from
the City of St. Paul. This area was looked at and labeled as site 5 of an overall
development picture for the Phalen area. LTRW and River Run Properties purchased
parcels of land with the city's encouragement with the idea of future development. We
are now combining all of the pieces to mazket one site for future housing. This will
include all of the following or portions of the following pieces:

no building allowed within the vacated azea.
