1�VHEREAS, pursuant to authority �ranted by 200� A�inn. Laws, Chapter I�2, Article 1, Sections ]
2 and 38, the Saint Paul City Council in 300� adopted a resolution authorizing the City of Saint Paul
3(tlie `City") to enter into a contract with the Saint Paul RiverCentre & Convention Authority (the
4"Authority"), to equip, maintam, inanage and operate the Saint Paul Ri��erCenfre and to market and
� promote tLie city of Saint Pau1 as a tourist and convention destination; and

7 WHEREAS, the City entered into a three (3) year a�reement (the "Fiist A�reement") with the
8 Authority on September 30, 2005; and
10 WHEREAS, the term of tl�e Fi�st Agreement will expire on December 31, 2008; and

Approves the execlrtion of the Second Agreement with the RCV A, in stitbstantially the form and
submitted, and further a�ithorizes the requisite sianatories authorized under Chapter 86 of the City's
Adminisuattve Code to enter into and execute the Second A�eement on behalf of the City.

Initiati�g Problem, Issues, Opportunity (Who, What, When, Where, Why):
The 2005 enabling legislation allows for the creation of a nonprofit for the operation and maintenance of the RiverCentre complex and
the marketing and promotion of the City of Saint Paul, with the requirement of the City contracting with the nonpro5t organization to
provide such seivices. The City entered into a contract with the RCVA from October 2005 through December 31, 2008. With the
execution of the second agreement, the contract will be extended until December 31, 20ll.

The City will have one otganization that will manage the facilities and promote the City oF Saint Paul.

Coordination of the sales and marketing efforts and management of the RiverCenrte complex will not be maintained.
