Mortinson, Commissioners of Libraries, Auditorium, Museums and Stadia, and pursuant to City Ordinance pertaining to rental of Midway Stadium, said stadium shall be rented to the Vikings, a corporation, subject to the following terms, conditions and provisions: Midway Stadium may be used as a practice field for the Vikings for the period from September 1 through December 31 during 1962, 1963 and 1964, the Vikings to pay for the use thereof the total sum of Twelve Thousand Dollars ($12,000) which amount shall be p4id to the City in three equal installments of Four Thousand Dollars ($4,000) each, payable on or before December 31 of each of the aforementioned years. This use agreement, as it pertains to the periods from September 11 through December 31 for the years 1963 and 1964,may be cancelled by written notice from either the Vikings or the City, given to the other; however, such notice, to be eff ective,`must, be given prior to June 1, 1963 if it is the intent of the party giving such notice to cancel the agreement for the use periods contemplated in 1963 and 1964, and such notice must- be `given prior to June 1, 1964 to cancel the use ' period- .contemplated from September 1 through December 31, 1964. 'In addition to said rental payments, the Vikings shall also be responsible for the restoration of the athletic playing ' field to 'the•'cond'ition of the same existing at the inception Jof the Vikings' use thereof hereunder, and the cost of such restoration shall be made upon billing being made to the Vikings by the Department of Libraries, Auditorium, Museums and Stadia, and said restoration to be made in the spring of , each year following the use of said facilities by the Vikings. The Vikings shall, as a condition of this agreement with the City, vacate and make room in the locker room and playing field for the use of high school players in connection with high school ' games contracted for at the Stadium. Museums and Stadia City Hall and Court House' St. Paul 29 Minnesota Dear Sevs With reference to your recent letter concerning the St. Paul City Council's resolution authorizing the rental of Midway Stadium to the Minnesota Vikings on the terms and conditions set forth in the resolu- tion, notice is hereby given that the Vikings agree to the terms as outlined. However, we desire a fixed maximum figure for the cost.of restoration of Midway Stadium field. After the spring of 1963 we would like to renegotiate for the following two years should the Vikings wish to avail themselves of the facilities for those years. Hope that this covers our discussion. Libraries, Auditorium, Museums and Stadia, evidence of public liability insurance policy as well as evidence of workmen *s compensation insurance policy which they agree to maintain in effect during the aforesaid rental periods; and further, the Vikings agree as a condition of this rental arrangement to indemnify and save harmless the City of Saint Paul against any claims of any nature whatsoever arising out of or by virtue of their use of the Midway Stadium. The agreement hereby provided for, pursuant to the terms of this resolution, shall be in effect upon acceptance of the terms and conditions of this resolution by letter from a proper officer of the Vikings filed-with the City Clerk of the City of Saint Paul agreeing to accept and be bound by ther_terms, conditions and provisions of this resolution; said letter shall be filed within five days after the passage and publication of this resolution, That all obligations of the Vikings hereunder shall be assumed in favor of the City of Saint Paul.
