I WHEREAS, Saint Paul Pazks and Recreation has had an operating contractual partnership with Independent School
2 District 625 for the offering of Community Pro�rams; and

4 WHEREAS, the two parties have developed a revised operating agreement, atiached hereto as Exhibit "A' ; and

6 WHEREAS, Parks and Recreation wishes to enter into this operating agreement on behalf of the Ciry of Saint Paul; and

8 WFiEREAS, the agreement contains an indemnification clause provision whereby Parks and Recreation, through the City
9 of Saint Paul, would save and hold harmless Independent School District 625 from claims resulting from the DistricYs use of
]0 the Ciry's buildings and grounds in coajunction with their provision of Communiry Programs; and

12 THEREFORE BE IT RESOLVED, that the appropriate city authorities are herby authorized to enter into the attached
13 agreement with Independeni School District 625 for the provision of Communiry Programs which contains an
14 indemniftcation clause.

2. TYtat the City wilt select and hire, witl� the a�proval of Ctie District, "Service Area"
Community Education Specialists wha wi11 coaperatively and collabarativel}' dei-elop
and imptemen"t ati aspects ofpro�ram delivery in Conu Prugrams. Ideatiy, the
number oi positions required shall eoineide c��ith the number of geographic "service
areas" as determined by the City and as agreed ta by the District. The number oi
"Service Areas" equa3s five (5} for �lvs coatract period. The Ciry wi11 pay all associated
payrol] cosis, inciuding but not limited to F.S.C.A., P.E.R.A., employer paid employee
health and health related insurance, and any union negotiated employer pzid pension
contributions. (See At#achments: "Serviee Areas" and Organiza�iQn Chari)
That zhe District wi]I have the rig�?t to select and hire DisTnct Community Education
Coordinators and with the approval of the City, a Supervisor of Community Programs.
The District wil] pay all 2ssociatad payrolI costs, including but not limated to F.I.C.A.,
P.E.R_A_ employer pzid e,nployee health and health related Snsnrance, and any union
negotiated employer paid pension contribetions.
Unt�t such time as the District exercises its ri�ht to hire, with the approval of che City, a
Supervisor of Communi£y Prograres, the Cit�� u�ill maintain the curcenf Supervisor
of CozrLmunity Programs position.

3. That while the parties wiI! cooperate and collaborate in the proi�ision of the Com�-nunity
Pro� zms, 2t�e Bistrict wili have solz auYho: ity and discretion, including but not limited to
direct management and supervision, strate�ic plannina and ;mplementation, and fiscal
responsibility relative to the fo]lowing programs: District Aqnatics, Driver's Education.
Trips & Tours, and Service Leaming. Thz City will have sole authoriry and discretion,
including but noi limited to direct management and supervision, strategic planning and
implementation, and fiscal responsibiliry relative ta City Aquacics and Adaptive
Recreation pro�rams. All other programs �+-i13 be coopz: atively and collaborativel
developed and implemented tllrough the `Service Areas", induding all bud�eting,
strateJic plannin�*, implementation. and iiscal responsibility. Pur'.her, it is agreed by the
part�es:
A. That the joint marketing of their educational Aquatics programs (s�s�im
lessons) would not only inerease efficiencics, bLrt �vocild also afr"ord the
customer better information and should so be undertaken.
B. Joiitt facilities must be utilized to tl�eir fullest extent i�� tl�e effective and
effieient delivery of Conmiunity Programs; priodYies for facility use shall be
detennined witii ihe needs and interests of the customer as the primary focus
and sl�all be further de�ned by costs, access, enl�ai�ced participatioi�, physica]
condition and int�eren( asnenities.
4. In consideration o; ti�e sarvic�s azid personnel provided by the C'ity, District shaIl
reimburse the City for �0 of the total �ersonnel cost incurred by the City for both the
"Service Area' Cominunity Edvcation Specialists in an amount that covers tiie number of
posifions as coincides with tI�e number of "Service Aseas", and, when applicable, the
Supen�isor af Community Pros ams position, not ta exceed $350,006. for tl�e agreement
period. The number of "Service Areas" equals five (5} for this contract period. The City
shaIl bill tbe District on a quarterly basis and shall provide invoices to the Distriet within
30 days of t��e end of the quarterly billing period. Fn eonsideraeion of payment to the City,
the District shall report throu�h its annual report to the Minneso� Department of
Education any and all participation information relevant to Community Programs.
5. ThaE the City and tfie District, through the cooperatian and cotlaboration of the "Service
Areas", shall mutually analyze and establish Community Program revenue targets, in
excess of expenses incurred in the provision of programs. Revenue in excess of direct
expenses incurred in the provision of programs cooperatively and collaboratively
developed and implemented, shaIl be first reserved for the stafnng costs incurred by the
provision of the gro2rams delineatefl in 4.} above, equally and as determined throu_h the
coaperation, collaboratian, and mutuzl consent of the City and fl�e District. In the event
that all diract expenses incurred in the provision of The programs exceeds re�enues
generated in £he provision of ihe coopera±ively and eollaboraTively developed and
implemented prograins, such loss shalI be shared equally and as determined througl� the

cooperation and mutual consent of ehe City and the Distriet. However, in the ecent that
revenue exceeds that necessarly required to off-set the direct program costs, inctudin�
staffng costs delineated in 4.) above disbursements from these �nds may be authorized
for non-proe; am related uses �i�hich enhance delivery of services, bui oa]y upon the
mutual consent oi the Ciiy and the Disirict Disbursements ofthis type shall be made
based upon a revenue sharine philosophy, ti,-ith the City receivmg �0% and the Districi
�0°ia.
6. An Evaluation Commitiee shzll be established whose �urposz shall inc?udz as;essing the
effectiveness ofthe established se��ice delivery syscem for Community Programs. The
Evaluation Committee shall meet no ]ess tha� twice per year to analyze financiat,
pro� am pacticipation, and marketing data and shall be responsible ior reporting all
findin,s to both the City and tlie District. The Evaluation Coi�ia�ittez shatl be comprised
of the Accountant res�onsible for the City's Parks and Recreation Department or their
desia ee, the Accountant responsible for the District's Community Education Department
or their designee, one Service Area Coordmator, one Recreation Director, and one
Community Education Goordinatar.
That the Distric[ shall sa�=e and ho[d harn�less tiie City, its officers, agents and employees,
from ai�y and all claims of whatever kind Chai anse from the City's use of ihe Districf�s
buitdinas and grounds whidl daims arise out of the use for the Program, excepting any
claims which are directly attribuiable to the neglieence of the Ctty.
That the City shall save and hold harmIess ihe DistricE, its officers, agents and ernployees,
from any and all claims of whatever kind lhaf may arise from the Districi's use of the
City's buildings and grounds which claims arise out of t3ie use for the Proa am, excepting
any claims wl�icl� are directly ariributable io fhe a�e�ligence of tt�e Disiriet.
The Adminisirator for the City shall be the Manager of Recreation Services.
The Administrater for the Districi shait be the Executive Director of Community
Education.
16.. $ither party may terminate this AgreemenT upon 90 days written notice to the other party.
In the event of tern�ination of the Aa eement, any currently scheduled and in progc'ess
cIasses would continue until the previousIy scheduted end of the sessian. All terms and
conditions of this A�eement shall remain in effect until the terminatian date. Bistrici
reimbursement payment shaIl be prarated based upon the service provided upon
termination.
