FIRST AMENDMENT TO STTE LEASE AGREEMENT
THIS FII2ST AMENDMENT TO SITE LEASE AGREEMENT ("AmendmenP') dated as of the date
below is by and between City of St. Paul, a municipality of the State of Minnesota, Division of Parks and
Recreation, having a mailing address at 25 West 4th Street, St. Paul, MN 55111 {hereinafter referred to as
"Landiord") and New Cingulaz Wireless PCS, LLC, a Delawaze limited liability company, successor in interest
to ACC/McCaw Cellulaz of Minneapolis, a joint venture organized and existing under the laws of Washington
State, having a mailing address at 6100 AUantic Boulevazd, Norcross, GA 30071 (hereinafter referred to as
"TenanY').
WHEREAS, Landlord and Tenant entered into a Site Lease Agreement dated July 15, 1991, whereby
Landlord leased to Tenant certain Premises, therein described, that axe a portion of the Properry ]ocated at 1731
Energy Park Drive, St. Paul, MN 55108 ("Lease"); and '
WHEREAS, Landlord and Tenant desire to eartend the term of the Lease; and
WHEREAS, Landlord and Tenant desire to modify, as set forth herein, the Rent payable under the
Lease; and
WHEREAS, Landlord and Tenant, in their mutual interest, further wish to amend the Lease as set forth
below.
NOW THEREFORE, in consideration of the foregoing and other good and valuable consideration, the
receipt and sufficiency of which are hereby aclmowledged, Landlord and Tenant agree as follows:
1. Term. The Term of the Lease shall be amended to provide that the Lease has a new initial term
of 60 months ("New Initial Term"), commencing on August 1, 2006. The Term will be automatically renewed
for up to 2 additiona160 month terms (each an"Ea�tension Term") without further action by Tenant.
2. Termination. In addition to any rights that may exist in the Lease, Tenant may terminate the
Lease at any time with 30 days prior written notice to Landlord.
3. Modification of Rent. Commencing on August 1, 2006, the Rent payable under the Lease shall
be $780.00 per month, and shall continue during the Term, subject to adjustment as provided below.
4. Future Rent Increases. The Lease is amended to provide that commencing on August 1, 2007,
Rent shall be increased by 4% and every 1 year by 4% of the then current Rent.

5. Acknowledgement. Landlord acknowiedges that: i) this Amendment is entered into of the
Landlord's free will and volition; 2) Landlord has read and understands this Amendment and the underlying
Lease and, prior to execution of the Amendment, was free to consult with counsel of its choosing regazding
Landlord's decision to enter into this Amendment and to have counsei review the terms and conditions of the
Amendment; 3) Landlord has been advised and is informed that should Landlord not enter into this
Amendment, the underlying Lease between Landlord and Tenant, including any termination or non-renewal
provision therein, wouid remain in full force and effect.
6. Notices. Section 13 of the Lease is hereby deleted in its entirety and replaced with the
following: NOTICES. All notices, requests, demands and communications hereunder will be given by first
class certified or registered mail, return receipt requested, or by a nationally recognized overnight courier,
postage prepaid, to be effective when properly sent and received, refused or returned undelivered. Notices will
be addressed to the parties as follows. As to Tenant, New Cingulaz Wireless PCS, LLC, c% Network Real
Estate Administration, Cell Site N118329, Cell Site Name MI27/FALCON HEIGHTS, 6100 Atlantic
Boulevazd, Norcross, GA 30071, with a copy to Attn.: Legal Department, New Cingulaz Wireless PCS, LLC,
Cell Site #N118329, Cell Site Name MI27/FALCON HEIGHT'S, 15 East Midland Avenue, Pazamus, NJ 07652;
and as to Landlord, City of St. Paul, 25 West 4th Street, St. Paul, MN 55111. Either party hereto may change
the place for the giving of notice to it by thiriy (30) days prior written notice to the other as provided herein.
7. Other Terms and Conditions Remain. In the event of any inconsistencies between the Lease
and this Amendment, the terms of this Amendment shall control. Except as expressly set forth in this
Amendment, the Lease othenvise is unmodified and remains in full force and effect. Each reference in the
Lease to itself shall be deemed also to refer to this Amendment.
8. Capitalized Terms. All capitalized terms used but not defined herein shall have the same
meanings as defined in the Lease.

For good and valuabte considcration, che pames agree as follows:
1. Premi , Subject to the following remu and condirions, Landlord leases to
Tenanc use of a porrion of the real properry ([he "Prope:ty") described in ExFubit A acrached
i/' hereto. Tenanc's use of the Proper[y shall be limited to rhat porrion af the Properry
,: described in Exhibic B attached hereto, togecher witli easemencs for access and utiliues as
�:' provided in Fxhibit C attached herein (colleccively, the 'Premises"). 'I'he Premises shall
comprise at least 1750 square feet ,
2. T�. The Premises may be used by Tentuit for the transmission and
receprion of radio communicadon signals in any and all frequencies, for che consauc[ion
and maincenance of related faciliries, towers, an�ennas, or b�iidings and for relaced
acrivides. Landlord agrees ro cooperate wirh Tenanc in obtaining, a� Tenanis expense, sll
licenses and permau required for Tenan�s use of the Premises (die "Governnnencal
Approvals") and to a12ow Tenant to perform sutveys, soiis tesring and o�her engineering
procedures on, under, and over the Propetcy necessary ro detennine thac Tenanc's use of
the Propeny will be comparible with Tenant's engineering specificarions, system design,
and Govemmencal Appmvals.

4. Rent_
a. Upon ihe Commencemen[ Date, Tenan[ shsll pay Landlord, as rent,
the sum of Six hundred and no/I00 Dollazs ($600.00} per month ("Renc"}. Ren[
shall be payable on the fint day of each month in.advance m Clty of Sc.Paul (Park
and Recreation Boazd) at Landlord's address speci�ied in Pazagraph 14 below.

and every month thereafter, Tenan� shall pay $650.00 per month Ren[. Likewise,
upon commencement of che firsc year of �he second Renewal Term, and every

month, Rent shall be gmrated as of [he date of temunaaon, and, in che even[ of
remninarion for any reason ocher rhan nonpayment of Rent, all prepaid Ren�s shall
be refunded co Tenant
5. Inierference. T.andlord shall noc use, nor shall Landlord peimic iu lessees,
licensees, invitees or agen�s to ase, any portion of Landlord's progerties in any way which
intezferes wi[h the operations of TenanG Such interference shall be deemed a material
breach by Lsndlord, and Landlord shall have the responsibiliry co cemuns�e said
interference. In [he even� any such interference dces not cease promptly, the parties
acknowledge ihat continuing interference will cause nreparable injury to Tenanc, and
therefore Tenan[ shall have rhe righc, in addiuon w any orher righcs chac ic may have ac law

immedia[ely upoa notice to Landlord, Landlord shall noc be responsible nor may Tenani
assen any clattn agains[ Lar►dlord arising from Landlord's use or operafion o£ the
surmunding Atheldc Faciliry Stadium.
6. Im�rovements: iJCiliti : Ace cc,
a. Tenanc shall have ihe righc, at its expense, and subjec[ co Landlord's
prior site plan approval such approval shall not be unreasonably withheld,to erec[
and maintain on the Premises improvements, prrsonal propeny and facilities,
including wiihout ]imitarion an antenna cower and base, radio nansmitang snd
receiving antennas, and an elecaonic equipmenc shelcer (coliectively the "Antenna
Facilides"). The Antenna Faciliues shall remain the exclusive propeay of Tenan�,
and Tenant shall hsve the right to remove the An�enna Facili des at its sole costs and
expense following any termination of this Lease. Tenant shaIl tes�ore the svrface

normal wear and weathering of the Przmises. Tenanc agrees to remove all cocuxete J � ��

7. Terminaaon. Except as ochenvise provided herein, this Lease may be
temvnaced, without any penalry or further liabiluy, on 30 days wriaen nodce as follows:
(a) by either party upon a defaul� of any wvenan[ or zemn fiereof by 'the other party, which
default is not cured wirhin 60 days of receipt of wrz�ten notice of default (wichout,
however, limiting any other rights available to the parties a[ law, in equiry, or pursuant �o
any other provisions hereo�; (b) by Tenan[ if i[ is unable to obcain or msintain any license,
pemrit or other Govemmental Approval necessary ro the consauc6on and/or operarion of
�he Ancenna Faciliries or Tenant's business; or (c) by Tenant if che Premises are or become
unaceepcable under the TenanPs design or engineering specificarions for ics Anrenns
Faciliues or the communications system to which rhe Antenna Facilities belong, (d)
Immediately upon nodce by Tenan�, if Tenanc is prevented from using rhe Properry due [o
hazardous substanees on �he Properry.
8. Ta�ces. Tenant shall pay any personal property taxes assessed on, or any
ponion of such rar.es atvibucable to, the Ancenna Faciliries. Landiord shall pay when due
all real property taxes and all o�her fees and assessmencs ataibucable co rhe Premises.
However, Tenan[ shall pay, as addirionai Rent, any incresse in real property taxes levied
against che Premises foz cfia period from rhe Commencemenc llate iturough [o temvnarion of
this Agreement and which is diiecdy attriburable to Tenant's use of the Premises, and
Landlord agrees co furnish proo£ of such increase �o Tenant.
9. Cnsurance.
a. Tenant will provide Comprehensive General T.iabilry Tnsurance in an
aggregate amount of $1,000,000.00, and name Landlond as an addirional insu�ed
on the policy oa� poHcies. Tenanc may sadsfy this recluirement by obtaining
appropriace endorsement ta any umbrella palicy of liabilily insurance'1'enant may
maintain.
b. Neither pany shall be liable to the other (or w the other's successors
ar assigns) for any loss or damage caased by fire or any of che risks enumerd�ed in
a srandazd "All Risk" insuiance policy, and, in [he even[ of such insured loss,
nei�her par�s insurance company shall have a subrogated claim againsi the other.
10. Desmrcdon of Remises. If the I'remises or [he Ancenna Pacilities are
destroyerl or damaged so as, in Tenant s judgment m hinder the effecrive use of the
Antenna Faciliries, Tenant may elect to �crnvnate this T.ease as of che date of the damage or

11. S'��lgmnariod_ If a condemning authoriry takes all of the Propert}r, or a
poQtion sufficienc, in Tenani s determinadon, to rendex the Premises unsuitable for the use
which Tenant was rhen maldrig of the Premises this I.ease shall cerrninate as of �he date rhe
ride vesu in the condemning auchoriry_ The parues shall be enrided ro shaze in ihe
condemnarion proceeds in proporaon w the values of rheir respecrive interess in rhe
Aremises (which fot Tenanc shall include, where applicable, the value of its Antenna
Facilides, moving expenses, prepsid rent, and business dislocarion expenses). Sale of ali
or part of the Premises m a pUrchaser with the power of eminen[ domain in the face of the
exercise of the power, shall be areated as a talang by condemnadon.
12. Hold H� Tenan� agrees to hold Landlord hamiless from any and all
claims arising from the in�tion, use, main[enance repair ar removal of Tenants
Anrenna Pacilides, except fat ciaims arising from che negligence or incenrional acu of
'f anr�l iu agents or independent contractors.
13. Nc�rices. All norices, requesu, demands and other communications
hereunder shail be in wriring and shall be deemed given if personally dclivered or mailed,
cerrified mail, return receipt requested, to the following addresses:

shall be intecpreted bmadly to mean any substance or ma[erial dcfined or designated
as hazardous or toxic wasce, hazatdous or toxic ma�crial, hazardous or ioxic or
radioacdve substance, or o�her similar term by any federal, s[ste or local
environmen�at law, regularion or rule presently in effect promulgated in [he future,
as such laws, regularions or rules msy be amended from rime to time; and it shatl be
interprered ro include, but not be ]imi�ed to, any subsrance which aiter release inro
the environmenc wili or may reasonably be andcipa[ed m eause siekness, dea[h or
disease. Landlord will hold Tenant huxnless from and indemnify Tenant against
and from any damage, loss, expenses ot liability resulting from any breaeh of �his
represenntion and warranty including all anorneys' fees and cosrs incurred as a

Landlord acknowledges thac the Properry and the Premises have been designa[ed by
che Minnesora Pollurion Conaol Agency as s potenrial staze Superfund clean-up
sice, and the T.andlord agrees and hereby underrakes co i�demnify, and hold
hazmless and defend Tenant from and agains[ any and all costs, fees, penalries,
expenses, claims, damages or o�kaer liabilities nnder fed�ral, srate or local laws,
rules andlor regularions, arising from or relaang to hazardous suscances on rhe
Property, nonvithsranding thax Landlord does no� have any lrnowledge of
circumstances giving rise �o such liabiliry and further no�withs[anding that ssid
liabilities may have been discovered or brought to the attenaon of the televant
authorides, fedaral, sta�e or local, by che excavarion, consaucdon or orher
acdviries of Tenanc pursuan[ to chis Lease.
I5. Acsi�,nmen�. Tenant may assign or sublet �his Lease upon notice [o
Landlord Any sablease rhac is encered into by Tenanc shall be subjeec w the provisions of
this Izase. Addiaonally, Tenant may, upon nodce co Landlord, mongage or grant a
security inceresr in rhis I.ease and rhe Anrenna Facilides, snd may assign [his Lease and che
Antenn3 Facilities �o any such mongagees or holders of securiry incerestc including �heir
successors or assigns (hereinaf[er collecdvely refeired m as "Mortgagees"). In such eveat,
Y.andlord shall execu�e such consent to leasehold financing as may reasonably be required
by Mongagees. Landlord agrees m nop£y Tenant and Tenants Mortgagees simultaneously
of any default by Tenant and to give Moztgagees the same righc m cure any defaui� as

16. Successors s e i n. This Lease shall run wiih che Property described
on Exhibit A. This Lease sh be binding upon and inure to the benefic of rhe parries, sheir
respecrive successors,personalrepresentatives and assigns.
I7. Waivcr af Lan�Iord's 1_ien. Landlord hereby waives any and aIl Iien rights
it may have, s�azutory or orherwise, conceming the Anienna Faciliries or any ponion
thereof, regardless of whether or noc same is deemed real or peisonal pmperry under
applicable laws, and Landlozd gives Tenanc the right to remove all or any porrion of same
from time co time in Tenant's sote discretion and without Landlord's consent.
18. Miscellaneous,
a. The subsrantially prevailing parry ia any liaga6on arising hereunder
sha13 be entided to ia reasonable attomey's fees and coun costs, including appeals,
if any.
