1 WHEREAS, the McNeely Foundation has agreed to make a grant to the City of Saint

Dear Ms. Varro:
I am pieased to tell you that at the Board of Directors meeting on May 8, 2007, a grant in the
amount of $20,000 was approved for Support for the startup East Side Circulator
transportation for youth. We ask that you inform us when adequate funding for this project
has been secured.
The period for which these funds are granted extends from January 2007 to December
2007. Grant payment(s) will be made either by June 30 or by December 31 of the gra�t
year. Pfease fet us know if other funders are using a fisca{ agent for disbursement of funds.
This grant and notice of approval are subject to your meeting the terms and conditions as
outlined in the attached "Grant Agreement". Grant funds may be spent only for the
purposes granted. Uncommitted funds at the end of the grant period must be returned to
the Foundation unless other arrangements have been proposed beforehand.
The McNeely Foundation will expect to receive from you an acknowledgment of your
acceptance of this grant and the conditions prior to disbursement of funds.

MCNEELY FOUNDATION
GRANT AGREEMENT
As a condition of a total grant of $20,000 from the McNeely Foundation to City of Saint Paui
Support for the startup East Side Circulator transportation for youth, the undersigned hereby
agrees:
To use the funds only for the designated purpose and not to use the funds for any
purpose prohibited by law, including those purposes specified in Section 4945 of the
Internal Revenue Code (see box below).
2. To repay any portion of the grant which is not used for the designated purpose.
3. To submit progress reports of activities carried on under the grant, evaluations of
what the grant accomplished, and complete financial reports detailing use of the
grant funds according to the attached schedule.
4. To maintain records of receipts and expenditures and to make its books available to
the McNeely Foundation at reasonable times.
5. That this is not a pledge, grantee will not incur any liabilities in reliance on the grant
until the funds are received, and any grant payment may be discontinued, modified,
or withheld at any time when, in the judgment of the McNeely Foundation, such
action is necessary to comply with the requirements of law or this agreement.
6. Consistent with Executive Order 13244 and the Patriot Act, no portion of the grant
will be used to support terrorism, or will be diverted to other individuals or
organizations which have assisted, sponsored, or provided financial, material, or
technological support for terrorists or persons associated with terrorists.

IRS Code Section 4945 describes `9obbying" as a variety of activities including attempting to
influence either elections or legislation at any leve] of government. Influencing legislation is
further described as artempts to influence public opinion on a legislative subject or direct
communications with those who formulate legislarion. An exception is made for nonpartisan
analysis, study, and research.

may have about the period covered by the grant, the schedule of grant payments, the schedule of reports
required, or the desired format for project and financial reports. Adjustments to grant periods and uses of
McNeely Foundation funds are possible but may require approval by the McNeely Foundation Board of
