JOINT POWERS AGREEMENT
Between the City of Saint Paul and Ramsey County
For Wireless CAD System Access
This is an Agreement by and between the City of Saint Paul, (hereinafter refesed to as the "City") a
Minnesota municipality, through the St. Paul Police Department (hereinafter referred to as the "SPPD")
and Ramsey County, (hereinafter referred to as the "Count}�') a polirical subdivision of the State of
Minnesota. Through the Ramsey County Sheriff Department (hereinafter referred to as the "Sheriff').
WHEREAS, The City and the County, pursuant to the provisions of Minnesota Statutes §471.59, are
authorized to enter into an agreement to exercise jointly the govemmental powers and funcrions each
has individually; and
WHEREAS, The City and the County, pursuant to the provisions of Minnesota Statutes §471.64, are
authorized to lease, sell, and buy materials between one another; and
WHEREAS, The City and the County have entered into agreements for a consolidated dispatch center
("Consolidated Dispatch Center") and for Ramsey County to have the use of a CAD system owned by
the City ("City CAD System"); and
WHEREAS, Both the SPPD and the Sheriff operate separate dispatch centers using the City CAD
System; and
WHEREAS, The SPPD is currently utilizing a wireless network ("Wireless Network") for connecrivity
between the SPPD Dispatch Center, the SherifPs Dispatch Center, and the SPPD's laptops through
"Message Switch" (Bio-key MobileCop Information Server soflwaze, version 5.1) accessing the City
CAD System and will use the same Wireless Network for connectivity with the fixture Consolidated
Dispatch Center; and
WHEREAS, The Sheriff wishes to also utilize the Wireless Network for connectivity between the
Sheriff's Dispatch Center, the SPPD Dispatch Center, the future Consolidated Dispatch Center, and the
Sheriff's DepartmenYs laptops, through the Message Switch accessing the City CAD System; and
WHEREAS, Pursuant to the SPPD's current agreements with Bio-key, NetMotion, and iPass, the SPPD
has the authority to extend the use of the Wireless Network services to other law enforcement agencies;
and
WHEREAS, The City and the County have reached agreement on the terms and conditions under which
the SPPD will extend its Wireless Network capability and the expertise of its Systems Unit staff to the
SherifPs Department to help both parties achieve operating efficiencies; NOW, THEREFORE,
IT IS HEREBY AGREED, by and between the parties as follows:
Scope of Services
a. General Descrintion of Services
The SPPD, pursuant to authority set forth in the Saint Paul City Charter, Saint Paul City
Codes and applicable State Statutes, shall provide the Sheriff a connection to the City

CAD System, through a Message Switch to a Wireless Network System ("System") for
use by the Sheriff as described herein.
b. Svstem Description
1) The System consists of a network of wireless connectivity between properly
equipped and configured laptop computers and the Message Switch (Bio-key
MobileCop Information Server softwaze) operated by SPPD. The System does
not inciude the City CAD System or the SPPD's Wireless Report Writing
(WR�/Records Management System (RMS).
2) The System is supported by hardwaze such as servers, firewalls, and related
network equipment as required to support the network of wireless connecrivity.
3) The functionalities of the System aze to allow squads to wirelessly and without
radio transmission receive dispatched calls for service from the City CAD
System; allow squads to transmit their status to the City CAD System; allow
squad to squad(s) wireless message communication; and exchange wireless
messages between squads and dispatchers from the City CAD System without
transmitting radio traffic.
4) All data transmitted from laptops is encrypted.
c. Descrintion of Services. The services to be provided by the SPPD to the Sheriff under
this Agreement are as foilows:
1) System Connectivity
The SPPD sha11 provide the Sheriff with wireless connectivity, for up to 90
Sheriffls laptops, to the Sheriff's Dispatch Center, and the future Consolidated
Dispatch Center, urilizing the Message Switch currently installed at the SPPD's
Computer Center. Upon initial implementation, the wireless connecrivity will
allow the Sheriff to perform the following functions using the indicated software:
a) Bio-key Mobile Cop client software, version 4.8, which is the
CAD/wireless interface on squad laptops and allows query functions and
encrypts data;
b) Bio-key MobileCop Information Server software, version 5.1, (Message
Switch), which controis the number of concurrent MobileCop equipped
users who may be logged on to the Wireless Network at any one time;
c) NetMotion Mobility XE client software, version 7.0, which compresses
and encrypts data and maintains wireless connecrivity;
d) NetMotion Policy Management client software, which allows creation of
software policies which control what data may be sent from a Sheriff
laptop;
e) iPass Endpoint Policy Management client software, version 7.0, which
allows wireless downloading of softwaze and patches to laptops;

fl Sprint PCS Coanection Manager or equivalent (supplied by Sheriff and
installed by SPPD); and
g) Ghost software (supplied by Sheriff and installed by SPPD);
h) Anti-virus software (supplied by Sheriff and installed by SPPD).
2) The SPPD will also enable functionality, as mutually agreed by the parties, to
a11ow Sheriff access to various specific Internet sites. Potential sites include but
are not limited to: Department of Motor Vehicle Services (DVS), DVS traffic
accident reporting, NCIC queries, CrimNet and others as needed.
3) If the current agreements with service providers are scheduled to expire during
the term of this Agreement, the SPPD will develop similar agreements with other
similar service provider(s) to ensure no lapses in services.
4) InitialImplementation
a) The Sheriffmust arrange for purchase of Sprint wireless services and
wireless modems on its own. As a result, the costs for Sprint wireless
services will not be included in the one-time payment and Monthly Fees
to be chazged to the Sheriff under this Agreement. Should the SPPD
determine to change the wireless setvices vendor, the provisions of
Section 1.c.6)g) shall apply.
b) The SPPD shall install and configure software, as described in i.c1)a)-h),
on SPPD servers located at the SPPD Computer Center and/or on each
Sheriffprovided laptop. This is in order to provide Wireless Network
services. SPPD will instail properly configured software, on Sheriff-
provided laptops at a mutually agreed upon location.
c) SPPD will install a Sheriff-provided modem on each Sheriff laptop.
SPPD will install Sheriff-provided connectors and antennae, if the
connectors and antennae are needed for wireless services, on each Sheriff
laptop.
d) SPPD will testing all installations and certify that all Services are
completed, that Services perform in accordance with the terms of this
Agreement and the software manufacturers' users manuals, and that
connectivity to the Wireless Network is ready for testing.
e) The Sheriff shall have a 14-Day Field Test Period to test the connecrivity
for up to 30 installed laptops; subsequent installation of laptops will not
be subject to any field test period and shall be treated as a Continuing
Service under this Agreement;
fl During the 14-Day Field Test Period, SPPD will correct any System

defects or deficiencies identified by the Sheriff; the Sheriff shall
telephone the SPPD Records UniYs Helpdesk ("Helpdesk") upon
identificarion of a defect or deficiency, and follow up with an e-mail;
g) Acceptance: the Sheriff shali accept the Services after the set-up of the
uufial group of 301aptops, expirafion of the 14-Day Field Test Period and
correcrion of defects and deficiencies by the Sheriff and the SPPD.
h) The SherifFwill be responsible for the physical installation of the laptops
tested during the 14-Day Field Test Period, and for the physical
installation of any subsequent addirional Sherifflaptops to the Wireless
Network. This service is not within in the scope of the Services under this
Agreement.
i) Connectivity of the laptops to the wireless service will take place on a
schedule to be mutually agreeable to the parties, provided that the first 20
laptops will be installed within sixty (60) days of execution of this
Agreement by the parties.
j) Subsequent implementation of wireless connectivity for additional laptops
will take place over a period of time as requested by the Sheriff. This
Agreement allows for Services for up to 90 Sheriff laptops.
5) Trainine
a) The SPPD will provide instructors and training for the Sheriff:
b) The training shall take place at a mutuaily agreed upon location using
Sheriff-provided laptops with the softwaze that the SPPD has installed.
c) Each training session shall be conducted for 10 individuals for a period of
two hours.
d) All training sessions shall be completed during the 14-Day Field Test
Period identified in Section 1.c.4)e).
6) System Support Services (Maintenance, Helpdesk, Up ades
The SPPD sha11 provide System maintenance, Helpdesk services and System
upgrades (collectively "Support Services") to the following degree and manner:
a) Maintain functionality of a11 SPPD- installed Wireless Network installed
software and the connectivity between the Sheriffls laptops and the
Message Switch;
b) Assistance from the Records Unit Helpdesk during regular business hours
(8:00 a.m.-4:00 p.m.), Monday- Friday, for problems with the System;
c) On-call assistance from the Records Unit Helpdesk staff for after-hours
(M-F 4:00 p.m. to 8.a.m. and weekends) or holiday problems with the

d) The SPPD will periodically receive upgraded software or soflware
patches for the Wireless Network from vendors including updates or
software patches to the supported operating systems. System software
upgrades or software patches will be implemented as upgrades and
patches become available from vendars and as the SPPD decides the
upgrades or patches are suitable for the continued successful operation of
the System. The process for installing upgrades or patches of software
may require that all or portions of the System be taken out of service for a
period of time. The SPPD will plan installation of softwaze upgrades
during a regular workweek and hours, in a manner so as to minimize the
disruption to the operation of the Wireless Network;
e) Periodically, the SPPD shall perform maintenance on or will replace or
repair hardware required for the Wireless Network. The process for
replacing or repairing hardware may xequize that all or portions of the
Wireless Network be taken out of service for a period of time. The SPPD
will plan work on hardware during a regular workweek and hours, in a
manner so as to minimize the disruption to the operation of the Wireless
Network;
fl The SPPD reserves the right to select and install software products
required to operate the Wireless Network other than the products
originally specified in this Agreement. This may mean the SPPD will
change software products, at its discretion based on cost, acceptable
software and service from vendors and wmpatibility with the Wireless
Network. Costs to the Sheriff will not change without an addendum to
this Agreement or a new agreement;
g) The SPPD may, at its own discretion, select another vendor for wireless
services. The SPPD will notify the Sheriff of such a planned change in
wireless vendors at least 60 days before such a change is made. By the
end of the 60 day period, the Sheriff will arrange for wireless services and
wireless cards for laptops from the SPPD selected vendor. The Sheriff
will also make arrangements for billing to the Sheriff for these services
and equipment. The SPPD will make its selection of a wireless vendor
based on their compatibility and reliability with the Wireless Network,
compatibility and reliability of wireless vendor supplied hardware such as
modems, and costs and support from the vendor. Should the vendor agree
to allow the SPPD to manage an account for the Sheriff, the SPPD may
offer to act as account manager for vendor wireless services provided for
the Sheriff laptops. In such event, the SPPD will add to its monthly bill
to the Sheriff the cost of the vendor wireless services, cost of the modems,
antennae or other costs billed to the SPPD by the vendor for services to
the Sheriff:

h) SPPD does not currenfly support the Microsoft Vista operating system.
Any future support by SPPD for Sheriff laptop computers installed with
the Vista operaring system will be at the sole discrerion of SPPD. Should
SPPD elect to offer such support for ihe Vista operating system for
laptops used in the Wireless Network this will be communicated in
writing to the Sheriffby the SPPD Designated Representarive.
3) The uutial softwaze to be installed by SPPD on Sheriff laptops and/or SPPD
server(s) is as described in l.c.l)a)-h).
d. Ownership
1) The Sheriff will own all hazdware purchased by the SherifF for the wireless
connectivity installed by the SPPD on the Sheriff laptops.
2) The SPPD will be the licensee of all software, except for Sprint PCS Manager
softwaze, Ghost and anti-virus softwaze required for the Wireless Network and
installed by the SPPD in the Sheriff laptops.
e. Access The SPPD cannot limit the Sheriff's access to the Internet without the Sheriff's
agreement, unless such limitafion is necessary because of spam, viruses, cloning, and
other events that the SPPD deternunes may or will affect the security or integrity of the
Wireless Network. If the SPPD limits the Sheriff access pursuant to this provision, the
SPPD will continue to allow the Sheriff access to the Sheriff's IP servers in order to
access the Sheriff records management system and state of Minnesota law enforcement
sites.
2. Sheriff Responsibilities
The Sheriff sha11:
a. Provide laptop computers, equipped with Microsoft Windows 2000 or Microsoft
Windows XP operating system, compatible with the software and hardware used by
SPPD for the Wireless Network. The hardware is to inciude any needed mounts or
modems for laptops, cables, antennas or any other equipment to install laptops in the
Sheriff squad cars;
b. Obtain from Sprint: PCS accounts, modems, software consisting of Sprint PCS
Connection Manager softwaze ar equivalent, and any needed connectors or antennae for
Sprint wireless services for Sheriff laptops used in the Wireless Network. This includes
updating or replacing any such hardware or software as required due to failure, damage
or as necessary to maintain compatibility with Sprint wireless services and the Wireless
Network. This includes the Sheriff paying Sprint directly for these services. Should
SPPD require a change to another wireless vendor, the Sheriff will be responsibie for
obtaining the equivalent softwaze and hardwaze as required to maintain compatibility
with the Wireless Network;
c. During the 14-Day Field Testing Period, the SPPD will correct any Wireless Network
defects or deficiencies idenfified by the Sheriff or the SPPD; the Sheriff shall telephone
the SPPD Records UniYs Helpdesk upon identification of a defect or deficiency, and

follow up with an e-mail;
d. Acceptance: the Sheriff shali accept the Services after the set-up of the uritial group of
301aptops, expirarion of the 14-Day Field Test Period and correction of defects and
deficiencies identified by the SPPD and the Sheriff;
e. Prepare a scheduled plan for the replacement of Sheriff laptops that will maintain
compatibility and functionality with the software and hazdwaze used by the SPPD in the
operation of the Wireless Network. Failure to maintain the proper comparibility of the
laptops, including laptop operating system software, will not preclude the SPPD from
upgrading the software or hazdware as needed to maintain the Wireless Network. The
SPPD and the Sheriff shall meet in good faith to discuss the replacement plan. The SPPD
reserves the right to terminate this Agreement if the Sheriff does not comply with the
provisions of this pazagraph;
f. Should the Sheriff decide to install additional software on their laptops or alter the
configurarion of the laptops, it does so at its own risk. The Sheriff must provide staff
capable of providing support for the preparation, installation, maintenance and upgrades
of the additional softwaze. The SPPD may test software for wmpatibility with the
Wireless Netwark at the Sheriffls request. The tesring will be charged at a rate of
$75/hour per employee required to complete the work. Such testing may include actual
installarion of the software on Sheriff laptop(s) for testing purposes. The Sheriff agrees
to maintain additional software instalied on the laptops in a configurafion compatible
with the Wireless Network. If at any time laptop configurations implemented by the
Sheriff, ar at the request of the Sheriff, interferes with operation of the Wireless Network
or if software conflicts develop between software required for the successful use of the
Wireless Network and additional software installed by the Sheriff or at the request of the
Sheriff, the SPPD will charge at the above rate to correct the problem. Sheriff technical
staff must work with the SPPD as requested by the SPPD to resolve the problem.
Should the problem not be corrected within 5 working days the Sheriff agrees to remove
the additional software so that the Wireless Network will be restored to proper working
order as determined by the SPPD. Should the SPPD decide the software conflict is of
severe enough detriment to the operation of the Wireless Network, the SPPD may
require immediate steps be taken to restore the Wireless Network. These immediate
steps may include the immediate removal or disabling of the softwaze or the temporary
termination of Sheriff connection to the Wireless Network. The Sheriff may request the
SPPD to prepare a program installation file and wirelessly distribute to Sheriff laptops
software installations and upgrades for addifional software. The SPPD may accept or
decline to provide this service. Should the SPPD accept such a request, the Sheriff will
be chazged at the above rate. Charges incurred by the Sheriff for these services will be
added to monthly charges biiled to the Sheriff. These charges and all payments to be
made under this Agreement aze due irrespective of the SPPD's actions, under this
section, to take steps to restare the Wireless Network, remove or disable software, or
cause temporary termination of Sheriff connection to the Wireless Network;
g. Purchase licenses far and install anti-virus software on the laptops compatible with the
operating system soRware, System softwaze and Wireless I�etwork. Such softwaze will

be capable of automatically updating itself over the Internet;
h. Purchase licenses for Ghost software which enables crearion of disk images for each
laptop used by the Sheriff;
Pay for State CJDN (Criininal Jusrice Data Network) chazges for MDC (Mobile Data
Computer) connection of theu laptops to the State network. Sheriff agrees to promptly
provide SPPD with current State ID numbers for Sheriff laptops connected to CJDN;
Once the training described in Secrion 1.a5) has been completed, the Sheriffwill
organize a train-the-trainer approach to developing local experts in the operation of
laptops used in the Wireless Network. The intent of trris approach is that Sheriff
employees will be local experts serving as initial resources for Sheriff staff with
questions on the basic operation of the laptops, CAD functions and query functions;
k. The Sheriff will provide Sheriff staff to be the sole resource for training supervising and
responding to questions on the operation of the SherifPs SRA software applica6on or
any future applications or services installed by the Sheriff or at the Sheriff s request, and
that aze not determined by the SPPD to be essential for Services originally offered by the
SPPD;
l. This Agreement is far the SPPD to initially purchase for the Sheriff sufficient
MobileCop Information Server licenses, (241icenses with the initia130 laptops) to
maintain the capability for 80% of all users of the MobileCop equipped devices using the
Wireless Network to log on to MobileCop at any one time. Future additions of laptops
to the Wireless Network will require the Sheriff to acquire sufficient MobileCop
Informafion Server licenses to maintain the same proportion of laptops capable of
logging on to the Wireless Network at the same time. The Sheriff recognizes that these
licenses are concurrent licenses among all users, in and outside of this Agreement, of the
Wireless Network.
m. Sheriff laptops requiring repairs under the purchase or lease warranty may be brought to
SPPD for shipment to the laptop vendor. Once repairs are made the laptop will be
returned to SPPD for testing for connectivity to the wireless network. Sheriff will be
contacted to pickup the laptop once testing is completed. Any shipping charges will be
the responsibility of the Sherif£ If billed to SPPD the shipping charges will be added to
the monthly costs to Sheriff.
n. Sheriff laptops requiring repairs not covered by the warranty will be the responsibility of
the Sheriff for shipment to the vendor or other repair service and for direct payment of
shipping and repairs.
o. Any laptops sent by SPPD for repairs under the warranty that are determined by the
laptop vendor to require repairs not covered by the warranty will be referred to the
Sheriff for direct contact with the vendor as to approval far non-warranty repairs,
payment of non-warranty repair and shipping costs.

3. CostlPayment
a. On�time Payment: Upon signing of the Agreement and receipt of an invoice, the County
will make a one-time payment to SPPD of $44,695.10, which includes:

b. Monthly Fee — First 301aptops: Upon complefion of all Initial Installation Services,
successful activation of the wireless connection, and receipt of an invoice, the Sheriff
will pay the SPPD a monthly maintenance and connectivity fee ("Monthly Fee") of
$45.60 per activated laptop.
a The Monthly Fee of $1,368.00 (at $45.60 far each of 301aptops) includes the Sheriff's
proportionate percentage of the SPPD's costs for the following, shared among all law
enforcement agencies using the wireless connectivity, based on the number of activated
units:

Costs for laptops 31-90
A one-tnne payment of $1,480.93 for each of 31 to 901aptops will be invoiced upon
written request for the addition of Sheriff laptops to the Wireless Network. The Monthly
Fee for the additiona131 to 901aptops will be $4112 per activated laptop. The Monthly
Fee for any Sheriff laptop configured and connected to the Wireless Network by the
SPPD during the first half of any month shall be invoiced for the entire month. The
Monthly Fee for any Sheriff laptop configured and connected to the Wireless Network by
the SPPD during the second half of any month shall be invoiced beginning with the
following month.
The Monthly Fee for laptops 31-90 is based on the same category of costs shared by a
larger number of units.
Additional training per 10 pupils will be $600.00 for per 2 hour session plus $70.00 for
manuals.
Payxnents shall be made within thirty days of receipt of an invoice. Disputes and

calculation of interest are subject to the provisions of Minnesota Statutes §471.425.
g. The Monthly Fees set forth above shall remain in effect through December 31, 2007. No
later than October 31, 2007, and by October 31 of each renewal year thereafter, the
SPPD will notify the Sheriff's Department, in writing, of any increase in the Monthly
Fees to be effective for the following calendaz yeaz, and shall include with such
notification: 1) an explanation and documentation of the reasons for the increase,
including, but not limited to changes in the SPPD's personnel costs, including costs for
providing Helpdesk services, changes in the chazges by the wireless vendors, software
vendors or hardware vendors for their products or support and maintenance costs for
their products, or costs for mainta.iniug the SPPD Computer Center; and 2) any change in
the Sheriff's proportionate share.
4. Warranty
a. Softwaze to be installed under this Agreement is subject to the warranty provisions of the
agreements between the SPPD and software vendars.
b. The SPPD wazrants that the Wireless Network shall perform in accordance with the
provisions of this Agreement and the specifications of the hazdware and softwaze
manufacturer's users manuals, and that the Services shall be performed in a prompt,
professional and workmanlike manner.

a The above-idenrified individuals shall have the authority to transmit instrucfions, provide
required informarion, and assist in resolving any quesrions or issues that may arise. The
SherifPs contact shall also provide copies to the SPPD's contact of any relevant policies,
procedures, or standazds adopted by the Sheriff's Department that may have an impact
on the xrianner in which SPPD technical staff delivers the requested service.
6. Indemnification
Nothing in this Agreement shall constitute a waiver of the rights, privileges, and benefits that
each pariy is entitled to under Minnesota Statutes. Each party agrees that it will be responsible
for its own acts and/or omissions and those of its officials, employees, representatives, and
agents in carrying out the terms of this Agreement and the results thereof, to the extent
authorized by law and shall not be responsible for the acts and/or omissions of the other party
and the results thereof. The liability and the monetary limits of liability of the par[ies, their
officials, employees, representatives, and agents shall be govemed by provision of Minnesota
Statutes Chapter 466 and other applicable law.
Data Practices
Nothing in this Agreement can be construed to be contrary to Minnesota Statutes, Chapter 13,
Miunesota Government Data Practices Act, and in particular Minn. Stat. §§ 13.05, subds. 6&
11 and 1337, subd. 1(b). All ofthe data created, collected, received, stored, used, maintained,
or disseminated by the parties in performing functions under the Ageement is subject to the
requirements of Minnesota Government Data Practices Act and all parties must wmply with
those requirements. If any provision in this Agreement is in conflict with the Minnesota
Government Data Practices Act, the Act will control.

8. Term/Termination
a. Term — This Agreement will be effective upon final execution by both parties unril the
end of 2007. Thereafter, this Agreement shall automatically be renewed for an
addirional one-year period unless either pariy gives the other party cvritten norice of its
intent not to renew by November 1 of the then-current term. The term of this
Agreement, including all renewals, shall not exceed 4 years.
b. Teruiivation - Either party may tenninate this Agreement with or without cause. If
tennination is for cause, the parly receiving the norice sha11 have 120 days to cure the
breach. Either party may also terminate this Agreement without cause upon a one year
written notice to the other party.
c. Should terxnination by the Sheriff take effect during a time period for which the SPPD
has already paid license or maintenance fees, or for a time period for which such fees are
due and payable by the SPPD, for any software purchased for use by the Sheriff by the
SPPD, the Sheriff will be liable for its portion of the fees until the end of the term for
which the SPPD has paid the fees or for which such fees are due and payable by the
SPPD, regazdless of when the termination of this Agreement takes effect.
9. Conditions Outside Control of a Party.
No pariy to this Agreement can be held responsible far conditions outside the control of the
party claiming its occurrence, which are the direct result of force majeure which shall mean and
include acts of god; acts of public enemies; strikes or lockouts; enforceable governmental or
judicial orders; outbreak of war or insurrection, or acts of tenorism; insurrections; riots; civil
disturbances; earthquakes, floods, fires; explosions or other similar catastrophes or events not
reasonably within the parry's control.
10. Assignment
Neither pariy to this Agreement shall assign, delegate or transfer any rights ar obligations under
this Agreement without prior written consent from the other party.
11. Amendments
Any amendment or modification to this Agreement shail be in writing and shall not be effective
until executed by both parties to this Agreement.
12. Entire Agreement
This Agreement contains the entire agreement between the parties with regard to the matters set
forth herein.
