'I'he Gzantee may be required to supply L f documentation certifying that a reduction in non-federal resources occuned for reasons other than the receipt or expected receipt of federal funds. 2.4 Provide a11 necessary training to their employees concerning the use of equipment purchased through this grant contract, and shall not permit the equipment to be tampeied with or operated by individuals who aze not properly trained. 2.5 Assume total responsibility of the proper handling, use, and maintenance of the equipment and bear all costs of maintenance, repair andior replacement related to equipment. Equipment purchased through ttus grant contract is the property of the Grantee. 2.6 When practicable, any equipment purchased with grant funding shall be prominently marked as follows: "Purchased with funds provided by the U.S. Department of Homeland Security". 2.7 Comply with all program guidelines specified in the 2005 Homeland Security Grant Program CTUidelines provided to the Grantee by the State and incorporated into this grant contract by reference. Specifically, the Grantee is required to develop, implement, and adopt National Incident Management System (NIMS), and Homeland Security Presidential Directive (HSPD) that is comprised of 8 initiatives in their jurisdiction and the Grantee is required to document and submit docuxnentation to the State to support proof of compliance. 3 Time The Grantee must comply with all the time requirements described in this grant contract. In the performance of this grant contract, time is of the essence. Consideration and Payment 4.1 Consideration. The State will pay for all services performed by the Grantee under this grant contract as follows: (1) Compensation. The Grantee will be reimbursed an amount not to exceed $144.085.00, according to the breakdown of costs specified in Grantea's 2005 Homeland Security Grant Program Application, Attackunent A, which is attached and incorQornted into this grant contract. The Grantee will submit a written change request for any substitution o£ budget items in Attachment A, or any deviation of more than I S% from the approved budget category amounts in Attachment A. Change requests for substitutions of budget items, or a deviation of more than 15°to from the approved budget category amount must be given in writing to the State's Authorized Representative and at least 60 days prior to the Expiration date of this grant contract. Grantees whose requests have been approved will be notified in writing by the State's Authorized Representative to the Crrantee's Authorized Representative. Requests must be approved prior to any expendiiure by the Grantee. (2) Matching Requirements. (If Applicable.) Grantee certifies that the following matching requirement, for the grant contract, will be met by the Grantee: 0.00. (3) Total Ob[igation. Stat. § 16C.05, subd. 5, the Grantee's books, recoxds, documents, and accountmg procedures and practices relevant to this grant contract are subject to examinatiott by the State and/or the State Auditor or Legislative Auditor, as appropriate, for a minimum of six yeazs from the end of this grant contract. 10 Government Data Practices The Grantee and State must comply wath the Minnesota Govemment Data Practices Act, Minn. Stat. Ch. 13, as it applies to all data provided by the State under this grant contract, and as it applies to all data created, collected, received, stored, used, maintained, or disseminated by the Crrantee undec this grant contract. The civil remedies of Minn. Stat. § 13.08 apply to the release of the data referred to in this clause by either the Grantee or the State. If the Grantee receives a request to release the data refened to in this Clause, the Grantee must immediately notify the State. Any publicity regarding the subject matter of this grant coniract must identify the State and the Department of Homeland Security as the sponsoring agency and must not be released without prior written appraval from the State's Authorized Representafive. All publications created with fimding under this grant contract shall prominently contain the following statement: "This document was prepared under a grant from the Office of 5tate and Local Government Coordination and Preparedness (SLGCP), U.S. Department of Homeland Security. Points of view or opinions expressed in tl�is doctunent aze those of the authors and do not necessarily represent the official position or policies of SLGCP or the U.S. Department of Homeland Security." For purposes of ttus provision, publicity includes notices, informational pamphlets, press releases, reseazch, reports, signs, and similaz public notices prepared by or for the Grantee individually or jointly with others, or any subcontractors, with respect to the program, publications, or services provided resulting from this grant contract. Recipient acknowledges that SLGCP reserves a royalty-free, non-exclusive, and irrevocable license to reproduce, publish, or otherwise use, and authorize others to use, for federal govemment purposes: (1) the copyright in any work developed under an award or sub-award; and (2) any rights of copyright to which arecipient or subrecipient purchases ownership with Federal support. The 12ecipient agrees to consult with SLGCF regazding the allocation of any patent rights that arise from, or are purchased with, this funding. 12.2Endorsement. The Grantee must not claun that the State endorses its products or services. 13 Governing Law, Jurisdiction, and Venue Minnesota law, without regazd to its choice-of-law provisions, governs this grant contract. Venue for all legal proceedings out of this grant contract, or its bteach, must be in the appropriate state or federal court with competent jurisdiction in Ramsey County, Minnesota. 14 Termination 14.1 Termdnation by the State. The State may cancel this grant contract at any time, with or without cause, upon 30 days' written notice to the GranYee. Upon termination, the Grantee will be entitled to payment, determined on a pro rata basis, for services satisfactorily performed. 14.2Terminatzorz for Insufficient Funding. The State may immediately terminate this grant contract if it does not obtain funding from the Minnesota Legislahue, or other funding source; or if funding cannot be continued at a level sufficient to allow for the payment of the services covered here. Terminarion must be by written or fax notice to Uae Cnantee. The State is not obligated to pay for any services that aze provided after notice and effective date of termina#ion. However, the Grantee will be entitled to payment, determined on a pro rata basis, for services satisfactorily performed to the extent that funds aze available. The State wili not be assessed any penalty if the grant contract is terminated because of the decision of the Minnesota Legislature, or other funding source, not to appropriate funds. The State must provide the Grantee notice of the lack of funding within a reasonable time of the State receiving thaf notice. 14.3Termination for Failure to Comply. The State may take action to protect the interests of the State of Minnesota, including the refusal to disburse additional funds and requiring the refurn of all oz part of the funds already disbursed. 15 Data Disclosure Under Minn. Stat. § 270.66, and other applicable law, the Grantee consents to disclosure of its social security number, federal employer tas identification number, and/or Minnesota taY identification number, already provided to the State, to federal and state tax agencies and state personnel involved in the paysnent of state obligafions. These identification numbers may be used in the enforcement of federal and state tax laws which could result in action requiring the Grantee to file state taY retums and pay delinquent state tax liabilities, if any, or pay other state liabilities. Audits shall be made annually unless the state or local govemment has, by January 1,1987, a constitutional or statutory requirement for less frequent audits. For those governments, the federnl coguzant agency shall permit biennial audits, covering both years, if the govemment so requests. It shall also honor requests for biennial audits by governments that have an administrative policy calling for audits less frequent than annnal, but only audits prior to 1987 oz administrative policies in place prior to January 1, 1987. For subrecipients that are insfitutions of higher education or hosnitals If the grantee expends total direct and indirect federal assistance of $500,000 or more per year, the grantee agrees to obtain a financial and compliance audit made in accordance with OMB Circular A-110 "Requirements for Grants and Agreements with Universities, Hospitals and Other Nonprofit Organizations" as applicable. The audit shall cover either the entire organization or all federal funds of the organi�ation. The audit must determine whethez the subrecipient spent federal assistance funds in accordance with applicable laws and regulations. 2. The audit shall be made by an independent auditor. An independent auditox is a state or local government auditor or a public accountant who meets the independence standazds specified in the Generai Accounting Office's "Standards for Audit o£ Governmental Organizations, Programs, Activities, and Functaons." 4 5. The audit report shall state that the sudit was performed in accordance with the provisions of OMB Circulaz A- 133 (or A-110 as applicahle). The reporting xequirements for audit reports shall be in accordance with the Ameriean Institute of Certified Pu61ic Accounts' (AICPA) audit guide, "Audits of State and Local Governmental Units," issued in 1986. The federal govemment has approved the use of the audit guide. In addition to the audit report, the tecipient shall provide comments on the findings and recommendations in the report, including a pIan for corrective action taken or planned and coinments on the status of cosective action taken on prior findings. If conective action is not necessary, a statement describing the reason it is not should accompany the audit report. The grantee agrees that the grantor, the Legislative Auditor, the Stata Auditor, and any independent auditor designated by the grantor shall have such access to grantee's records and financial statements as may be necessary for the grantor to comply with ttae Single Audit Act Amendments of 1996 and OMB Circular A-133. Grantees of federal financial assistance from subrecipients are also required to comply with the Single Audit Act and OMB Circular A-133. 6.
