RESOLVED, that the proper City officers are hereby
authorized and directed to execute agreement between the City of
Saint Paul and the State of Minnesota with reference to installation
of mercury vapor lighting units on Trunk Highway 94 North Frontage
Road between Farrington and Wabasha Streets and on Trunk Highway
56 (Rice Street) between Fuller Avenue and John Ireland Boulevard
in Saint Paul, copy of which agreement is hereto attached, marked
"Exhibit A ", and incorporated herein.

THIS AEiiUMT made and entered into by and between the State of
Nimesota, Department of Highways, hereinafter referred to as the "stab",
and the City of St. Paul, hereinafter referred to as the "City", itIT1A88ETlie
WHNRW9 it is considered nxtually desirable to install thirty -file
(35) mercury vapor lighting units on Trunk Highway 94 North Frontage Road
between Farrington and Wabash& Streets and on Trunk Highway 36 (Riot Street)
between Puller Anne and John Ireland Boulevard in St. Paull
NOW, TM1FORR, IT IS AGRYID AS FOLLCV83
1. That the State shall install or cause to be installed the lighting
units at the above locations in accordance with plans and specifications
prepared by the State and approved by the City. Exhibit "A" attached hereto
and made a part hereof show the approximate location of these lighting-units.
2. The City agrees that upon completion of the installation of these
lighting units it will promptly reimburse the State =1,6T5.80 for the toot of
two (2) lighting units which amount includes 5 percent (3x) for engineering
and inspection.
Upon completion of the installation of the lighting systems tut
City shall maintain, keep in repair and provide the necessary electrical energy
for their operation, all at the sole cost and expense of the City. All
equipment installed by the State initially shall remain the property of the
State irrespective of any repairs by the City.
3. The City indemnifies, saves and holds harmless the State and all
of its agents and employees of and from any and all claims, demands, actions or
causes of action of whatsoever nature or character arising out of or by reason
of the performance of any work provided for hereby by the City, and further
agrees to defend without cost and expense to the State of Minnesota, any action
or proceeding commenced for the purpose of asserting any claim of whatsoever
character arising in conaection with or by virtue of the maintenance work to be
performed by the City.

k. Any and all .persons engaged in the aforesaid maintenance
work performed by the City who are not independent contractors or employees
of independent contractors or who are not employees of the State, shall be
considered employees of the City; and any and all claims that may arise under
the Workmen's Compensation Act of this State on behalf of said employees who
are not employees of the State while so engaged, and any and all claims made by
any third party as a consequence of any act or omission on the part of said City
employees or the employees of an independent contractor while so engaged
on any`of the work aontemplatod herein shall be defended or otherwise disposed
of without cost or obligation to the State.
