RESOLVED, that Montgomery Ward & Company, pursuant to its pertinent
application, hereby is given a permit to install, maintain, and operate an
280 -car capacity employees' parking facility at the southeast corner of Hamline
Avenue and North Frontage Road in the City of Saint Paul particularly described
as follows:
Lots 5, 69 I & J. Parcel #5, Bohn's Rearrangement,
according to the recorded plat thereof filed in the office
of the Registerof Deeds in and for Ramsey County, Minnesota
with driveways and necessary curb adjustments, in accordance with the final
plans therefor prepared by The Austin Company, Designers and Builders, hereby
approved and filed herewith, subject to the following conditions: that said
Montgomery Ward & Company shall be obligated at all times to fully indemnify
and hold harmless the City of Saint Paul against liability on account of any
and all claims for damages for injury to person or property resultant therefrom
or connected with said applicant's installation, maintenance, or operation of
said parking facility, and to procure and maintain, at all times, and at said
applicant's own cost and expense, public liability casualty insurance coverage
indemnifying said applicant and said City against liability on account of
personal injuries to the extent of $250,000 for injury to one person and $500,000
for personal injuries caused by any one accident, and on account of property
injuries to the extent of $100,000 on account of any single claim and
$150,000 on account of any single accident, and to file evidence of said
coverage with the Comptroller of said City, in form approved by the Corporation
Counsel.
RESOLVED FURTHER, that said permit, at all times, shall be subject
to said applicant's proper compliance with all applicable City ordinances and
State Statutes in respect of the installation, maintenance, and operation of
said parking facility.
RESOLVED FURTHER, that said permit -aa*ong other conditions, is made
subject to the following conditions: that neither said permittee nor its
successors in interest, in respect to the subject hereinabove described premises,
shall have any claim for an award of damages on account of any improvement
installed by said permittee or its said successor in interest, in or upon that

shall file its written acceptance of this resolution and all the provisions,
terms, and conditions of the same, in recordable form, approved by the

The City Council requested that you draw a resolution granting
the attached application of Montgomery Ward & Co., for a permit to install
and operate a 280 space employee's parking lot on Lots 5, 6, I & J, Parcel
# 5, Bohn's Rearrangement, in accordance with plans attached, and subject
further to the condition that in the event that the City decides to take
any part of the land up to a maximum of 10 feet for a widening of Hamline
Avenue that the permittee, Montgomery Ward -& Co., will not claim any
additional award of damages from-the City by reason of the installation
of curbing and /or black- topping, or any other improvement installed by
them on the ten feet, or any part thereof.

KNOW ALL MEN BY THESE PRESENTS, that MONTGOMERY WARD & CO., INCORPORATED,
an Illinois corporation, with General Offices at 619 West Chicago Avenue,
Chicago 7, Illinois, hereinafter referred to as "Wards", being duly qualified
as a foreign corporation to do business in the State of Minnesota, is in re-
ceipt of Council Resolution bearing Council File No. 212015, adopted by the
Council on April 3, 1964, respecting the following described real property
title to which is held in fee simple by Wards:
That property located in the City of Saint Paul particularly
described as follows: Dots 5, 62 I & J Parcel #5, Bohn's
Rearrangement, according to the recorded plat thereof filed
in the office of the Register of Deeds in and for Ramsey
County, Minnesota;
Wards does hereby accept said Council Resolution, including all of the
provisions, terms and conditions of same, subject only to the following:
Whereas said Council Resolution requires Wards at all times to procure
and maintain public liability casualty insurance coverage to the extent of
$250,000 for injury to one person and $500,000 for personal injuries caused
by any one accident, and on account of 'property injuries to the extent of
$100,000 on account of any single claim and $150,000 on account of any single
accident, Wards self insures the first $50,000 of risk due to personal in-
juries and property injuries, and maintains public liability casualty insurance
and property damage insurance for liability in excess of $50,000 to the extent
required by said Resolution. Now, therefore, Wards' acceptance is conditioned
on agreement on the part of the City of Saint Paul to accept Wards' agreement
of indemnification as set forth in said Coupeil Resolution as to the first
$50,000 of personal injury and property damage on the basis of Wards' self
insurance of said risk to the extent of $50,000.
IN WITNESS WHEREOF, the undersigned Corporation has caused this instru-
meat to be executed as of this first day of May, 1963.
