WI�EREAS, Regions Hospital also proposes to dedicate to the CiTy of Saint Paul (the "City") Easements
for Sewer Purposes, Exhibit B, Easements for Utility Purposes, Eahibit C, and an Easement for
Sidewalk Purposes, Exhibit D; now, therefore be it
RESOLVED, that with the accompanyang Utility Easement Certificate of Intended Non-Use, filed
voluntarily by District Energ,y St. Paul Inc. and District Cooling St. Paul Inc., a private non-profit
corporation; and the City of Saint Paul, a municipality under the laws of the State of Mituiesota,
Department of Public Works; Saint Paul Regional Water Services, a municipal corporation; Qwest
Corporation, a Colorado corporation; Comcast, a Pennsylvania corporation; made a part hereof by this
reference and filed in the office of the City Clerk of Saint Paul, the City, on behalf of these entities, will
zelease the easement rights to the utility easements in the vacated area referenced in Exhibit A, subject to
the following conditions:
1. Provided that in turn the City is granted the easements needed (sewer, utilities and sidewalk).
2. The existing lantern street laght located in the vacated portion of Capitol Heights (South of Robert)
is removed before construction begins, and at the petitioner's cost.
3. The petitioner moves Xcel Energy Electric facilities per agreement.
4. The petitioner moves Xcel Energy Gas facilities per agreement; and be it further
RESOLVED, that the proper City officials are hereby aathorized and directed to accept the easements
granted by Regions Hospital; and be it fmally
RESOLVED, that the pefitioners have paid the $300 fee for release of easements; and that the
pefltioners, their successors and assigns shall, within 30 days of the effective date of this resolution, file
with City Real Estate an acceptance in writing of the conditions of this resolution agreeing to comply in
all respects with these terms and conditions.

hereby acknowledged, does hereby grant, bargain, sell and.convey to the City of Saint Paul, a
municipal corporation of the State of Minnesota, its successors and assigns, as Gzantee, a
permanent access,.construction, and maiutenance easement for sewer purposes over, uudet and
across fhe fot3owing tract of land being in the !County of Ramsey, State of Minnesata, described
as follows:

To have and to ho2d the same forever. Grantor does covenant that it is well seized in fee
of the lanfl and prexnises aforesaid, and has gobd right to sell and convey tlie same free of alI "
encumbrances.
That Grantor also covenants that the above granted easement is in the quiet and peaceable
possession of the Graptee. Crrantor will warrant and defend against all persons lawfully claiming
ttte whole or any part tfiereof, subject to encumbrances, if any, hereinbefore mentioned. It is
intended and agreed that this agreement shalI be a covenant n�nning wifh the land and shall be
binding to the ful2esY e�ctent of the taw and equity for #he beaefit of the public. It is fwther
intended and agreed #hat this agreemenY and covenant shalt remain in effect without limitation as
to time.
Grantor shall assume all risk and liahility for ifself, its agents or employees for any injury �

Couid you (Xcel, Comcast, and Qwest) provide me with an update on the status of signing off on the
easement releases for the parking Ramp site at Capitol Heights, University, and Bellevue? i believe Jean
Borgen with the City Real Estate services has formally made the request for the certificates of non-
intended use and i understand Comcast may have aiready addressed it. I would like to update the owner
and their various legai and real estate people.
I understood from our meeting on January 22nd that everything could proceed smoothly and within the
schedule requested by Kraus Anderson. Am I correct in assuming the on site utility relocation work is
progressing?

Dear Ms. Borgen:
I am writing in response to your letter of December 19, 2006, wherein you requested that
Xcel Energy ("Xcel") comment on the referenced action.
Please be advised that Xcel has no objection to said action, provided that utility easement
rights in favor of Northern States Power Company, a Minnesota corporation d/b/a Xcel
Energy be retained within all that part of Capital Heights subject to the action. I have
conferred with a company field designer, who has told me that existing electric facilities
within Capital Heights will be removed within the next couple of months. When I have been
notified that ail such facilities have been removed and that service provided by them is no
longer required, I will release the described rights.
PLEASE PROVIDE A COPY OF THE ADOPTED RESOLUTION WHEREIN THE ABOVE
DESCRIBED EASEMENT HAS BEEN RESERVED.
No easement need be reserved in that part of Bellvue Street subject to this action.
As you are aware, inquiries regarding natural gas facilities must be addressed to gas
engineers at Xcel's Rice Street Office.
