WHEREAS, the CiTy of Saint Paul was issued a Storm Water Discharge Permit from the Minnesota Pollution Control Agency
on December 1, 2000; and
WHEREAS, under the conditions of this permit the CiTy of Saint Paul is required to conduct a watershed education program;
and
WF�REAS, the City of Saint Paul has an existing Storm Drain Stenciling Education Program coordinated by the Friends of the
Mississippi River; and
WHEREAS, the Friends of the Mississippi River has the knowledge and experience to conduct the Storm Drain Stenciling
Education Program.
NOW THEREFORE BE IT RESOLVED, by the City of Saint Paul that the Department of Public Works is authorized to enter
into the at[ached agreement with the Friends of the Mississippi River, and be it,
FINALLY RESOLVED, by the City of Saint Paal that the Mayor and the proper City officials aze authorized to execute the
attached agreement on behalf of the City of Saint Paul.

The City of Saint Paul was issued a Storm Water Dischazge Permit from the Minnesota Poliution Control Agency on December 1,
2000. Under the conditions di this permit, the City is required to conduct a water quality education program. FMR has been
successfully coordinating the s[enciling progam since 1995. ,

AGREEMENT
AN AGREEMENT, dated this of 2007, by and between the CITY
OF SAINT PALTL, Minnesota, hereinafter called the "CITY" and FRIENDS OF THE
MISSISSIPPI RIVER, 360 North Robert Street, Suite 300, Saint Paul, MN 55101, hereinafter
called "FMR".
WHEREAS, the CITY is in the process of conducting a Storm Drain Stenciling Education
Program; and
WHEREAS, the CITY desires to engage FMR to perform certain professional services in
accardance with this Agreement; and
WHEREAS, FMR desires to provide such professional services in accordance with this
Agreement;
NOW, THEREFORE, in consideration of the mutual terms and conditions, promises,
covenants, and payments hereinafter set forth, the CITY and FMR agree as follows:
SECTION 1. Pro ar� Objectives The Storm Drain Stenciling Education Program is
designed to meet the following objectives:
1. To stencil storm drains with the message "Please Dodt Pollute - Drains to
Mississippi River," and distribute multi-lingual educational door hangers to residents
and businesses in the stenciled neighborhoods in the City of Saint Paul.
2. To involve community residents in hands-on learning experiences about urban runoff
pollution and ways to prevent it.
3. To facilitate school service learning initiatives that include stortn drain stenciling as a
key component.
The program objectives will be implemented through the following activities:
1. Identify and organize approximately 1,200 students and other community volunteers
to carry out 2,000 volunteer hours of work on the program. Volunteers will stencil
2,400 storm drains and distribute 8,000 educational door hangers within the City of
Saint Paul.
2. Provide a 30-minute educational orientation to each volunteer group that participates.
3. Provide educational programs on urban runoff pollution with school classrooms that
participate.
4. Coordinate 1-2litter clean-ups with school and/or community groups.
5. Present 5 to 6 communiry workshops on urban runoff pollution and ways to prevent it
around the yard and home.
6. Present 2 community workshop/tours on small site rain gardens.
7. Coordinate the purchase, maintenance and starage of all stenciling and workshop
supplies.
8. Support the Metro Watershed Partners' Minnesota Water — Let's Keep it Clean storm
water education program.

SECTION 2. Scope of Services The CITY does hereby retain FMR to furnish
professional services. Specifically, FMR agrees to perform the following tasks associated with
Saint Paul's Storm Drain Stenciling Education Program:
Task 1. Staff Coordination The program will be carried out by FMR's Stewardship
Coordinator and Program Assistant. Interns or seasonal staff may also assist with the program
and will be trained by the Stewardship Coordinator. The Stewardship Coordinator will have a
good working knowledge of Saint Paul and the range of volunteer groups. The Stewardship
Coordinator to carry out the program under the direct supervision of the program manager
designated in this Agreement.
Task 2. Identify and recruit volunteers Continue to build on the volunteer base, which
has been established in past yeazs. Outreach to schools, neighborhood councils, scouts, service
groups, summer youth projects, YM/WCA's, corporations and other groups. Target schools that
are interested in building an educational unit around the stenciling program and/or who
participate in teacher workshops. Maintain a database of organizations and individuals involved
in the stenciling program.
Task 3. Train volunteers and �p leaders Train volunteers and provide an educational
introduction to the program, including the goals and objectives of the program, stenciling
procedures and safety concems. In some cases, identify and train volunteers to lead stenciling
parties throughout the season.
Task 4. Coordinate stenciling logistics Coordinate logistics for all stenciling parties.
Provide street maps and stenciling kits to all parties. Track drains stenciled, door hangers
distributed, number of volunteers and volunteer hours. Ensure that the activities are conducted in
an efficient and safe manner. Caution groups not to stencil on brick streets, brick sidewalks or
decorative curbing.
Task 5. School Crrouns Work with approximately 25 to 30 Saint Paul classrooms on the
stenciling program and provide each class with a one-hour lesson that reinforces the concepts of
urban runoff pollution and ways to prevent it. With approximately 10 to 15 classrooms, make
extra visits to facilitate additional activities to supplement the stenciling activity. Hands-on
education techniques will be employed in these lessons, and teachers will be given additional
activity ideas to incorporate into their curriculum.
Task 6. Litter Pick-up Events(s) Coordinate 1 to 2 litter pick-up events with
schools/community groups in Saint Paul neighborhoods or parks. Ensure that gloves, bags and
trash collection service are provided, in coordination with Public Works, Parks and or other
agencies/organizations. Seek media coverage of these events.
Task 7. Community Workshops Plan, promote and organize 5 to 6 community
workshops designed to increase understanding by residents about urban runoff issues. The
workshops will focus on understanding the Mississippi River Watershed, non-point source
pollution, and ways to prevent pollution from residential homes and yards from entering the
storm sewer system. A variety of lawncare and landscaping techniques will be presented along
with resources and printed materials for the participants to take home. Two of the workshops

will be promoted and presented to the public, 3 to 4 will be mini-workshops presented to district
council committees or other community groups.
Task 8. Rain Garden Workshoos Coordinate two public workshops and one tour that
focus on the specifics of implementing a rain garden on a residential site. Employ a consultant to
assist with the workshop and provide technical information to participants. Consult with the
Ramsey Conservation District and promote their matching grant program. The workshops will
include a tour of 2 to 3 existing rain gardens in St. Paul.
Task 9. Storm Water Education Program Provide financial support to the Metro
Watershed Partners' Minnesota Water — Let's Keep it Clean storm water education program in
the amount of five thousand and 00/100 Dollars ($5,000.00) in January of 2007.
Task 10. Publicize stencilin events Take photos of several stenciling groups and send
press releases to local media.
Task 11. Protram evaluation Conduct informal volunteer and teacher evaluations of the
program and provide a summary of results in the annual report.
Task 12. E ui ment and supplies Coordinate the purchase and storage of all stenciling
equipment and supplies including the purchase of 180 stencils, paint and stenciling kit
replacement supplies. Coordinate the printing of 10,000 doorhangers at RiverPrint to be paid for
by the CITY. All equipment and supplies are the properiy of the City of Saint Paul.
Task 13. R enorts Submit an interim report to Public Works with the June 30th invoice and
a final report will be included with the October 31 st invoice. Interim report to detail activities
and accomplishments to date as well as projected activities. Final report to include:
. A summary of stenciling events including group name, contact person and phone
number, location of stenciling, number of volunteers, volunteer hours, number of storm
drains stenciled and the number of door hangers distributed.
• Copies of any media coverage and photos of stenciling events.
• An inventory of equipment and supplies.
. Summary of evaluation results.
• Recommendations for changes or improvements.
SECTION 3. Changes in Scope of Services The CITY or FMR may request changes that
would increase, decrease, or otherwise modify the "Scope of Services".
SECTION 4. Proeram Timeline The services to be rendered by FMR shall be
commenced upon execution of this agreement and completed by December 31, 2007.
SECTION 5. Delavs In the event there are delays caused by actions beyond the control of
FMR, which change the completion time, the CITY will grant to FMR reasonable extensions of
the contract time.

SECTION 6. Termination This Agreement may be terminated by the CITY or FMR for
any reason whatsoever, at any time, upon the receipt of written notice of termination by either
party. Copies of all data, reports, programs and other written information prepared by FMR
prior to said termination shall become the property of the CITY and delivered to the CITY.
Such termination shall not affect any legal right of the CITY or FMR against either party for any
breach of this Agreement.
SECTION 7. Renresentative of CITY and FMR
(a) The CITY has designated Anne Weber to serve as manager of this Ageement, who
shall be responsible for all communications related to the day-to-day conduct of the Agreement.
The designated representative shall have the authority to transmit instructions, receive
information, and interpret and define the CITY'S policy and decisions pertinent to the work
covered by this Agreement.
(b) FMR has designated Irene Jones, as the program manager, who shall be authorized to
act on behalf of FMR regarding all matters involving the conduct of the performance pursuant to
this Agreement.
SECTION 8. Billin ae nd Payment
(a) In consideration for FMR'S faithful performance of this Agreement, the CITY will
reimburse FMR for services performed, as determined by the CITY' S representatives and based
on itemized statements. The CITY shall pay FMR an amount not to exceed the lump sum bid of
Fifty-two thousand two hundred sixty and 00/100 Dollars ($52,260.00). Invoices to be
submitted according to the schedule and in the approximate amounts as follows:
February 28, 2007 $22,740.00
June 30, 2007 $17,790.00
October 31, 2007 $11,730.00
(b) In the event that conditions arise during the course of this program that would alter the
scope of services described in this Agreement for which the CITY would request additional
professional services, FMR must make a request for extra compensation for the additional
professional services. Upon Agreement beriveen the CITY and FMR as to the amount of such
extra compensation when it has been determined that such an amount exceeds the maximum
amount mentioned above, a supplemental to this Agreement will be entered into establishing the
scope and extent of the additional professional services.
SECTION 9. Records and Dissemination of Information FMR agrees to maintain all
books, documents, papers, account records, and other evidences pertaining to work performed
under this Agreement in such a manner as will readily confortn to the terms of this Agreement
and to make such material available at its office at all reasonable times during the Agreement
period and for five (5) years from the date of the final payment under the contract for audit or
inspection by the CITY or other duly authorized representatives.
SECTION 10. Ownership of Documents All deliverable plans and reports that result
from FMK'S services under this Agreement shall become the properry of the CITY afrer final
payment is made to FMR with no right, title, or interest in said plans or reports vesting in FMR.

SECTION 11. Independent Contractor It is agreed by the parties that, at all times and for
all purQoses with the scope of the Agreement, the relationship of FMR to the CITY is that of
independent contractor and not that of employee. No statement contained in this Agreement
shail be construed so as to find FMR an employee of the CITY, and FMK shall be entitled to
none of the rights, privileges, or benefits of Saint Paul employees.
SECTION 12. E�c ual O�portunit�Emplovment FMR agrees that it will abide by Chapter
183 of the Saint Paul Legislative Code.
SECTION 13. Services Not Provided For No claim for services provided by FMR not
specifically provided for in this agreement will be honored by the CITY.
SECTION 14. Entire Agreement It is understood and agreed that the entire Agreement
supersedes all oral agreements and negotiations between the parties relating to the subject
matters hereof.
IN WIT'NESS WHEREOF, the parties hereto have executed this Agreement, the day and
year first above written.
