authorized to execute an agreement with the Highway Department
of the State of Minnesota, a copy of which has been marked
Exhibit "A ", attached hereto, and made a part hereof by reference,
the effect of which will be to extend the City's right to possession
of the Bluff Playground until such time as the Highway Department
is ready to use the same for highway purposes.

THIS AGREEMENT made this day of 1963,
by and between the State of Minnesota, acting by and through its Commissioner t
l
of Highways, James C. Marshall, hereinafter referred to as the "State ", and
the City of St. Paul, Minnesota, hereinafter referred to as the "City",
W ITNESSETH:
WHEREAS on November 2, 1962, the commissioners in the above entitled
action filed awards on certain properties of the City, comprising what is
known as the Bluff playground, and designated in the above action as Parcels
70, 70A, 70B, 70C, 70D, 73, 74, 74A, 74B, 74C and 75; and
WHEREAS appeals have been duly taken by the City from the awards on
each of the aforementioned parcels, and by the State on each of the above
parcels except Parcel 70A; and i
WHEREAS the State on December 18, 1962, paid the sum of $175,000.00
to the City as part payment for the taking of Parcel 70 in the above
action; and
WHEREAS as a condition to the award on said Parcel 70, the City was
to vacate the premises on or before February 17, 1963; and
WHEREAS by mutual agreement, the City has continued in the possession
and use of the Bluff playground facility to this date; and

WHEREAS the State is desirous of letting a certain contract
for the construction of T. H. 392, which contract will necessitate the
demolition and removal of the improvements on the Bluff playground
facility; and
WHEREAS under the regulations of the Bureau of Public Roads,
prior to the letting of such a contract, the State must certify to said
Bureau that the lands affected are vacated; and
WHEREAS it would be to the mutual benefit of the State and City
if the Bluff playground facility as encompassed by Parcels 70, 70A, 70B,
70C, 70D, 73, 74, 74A, 74B, 74C and 75 were to remain in operation for
as long a period as is possible:
NOW, THEREFORE, IT IS HEMY AGREED as follows:
1. The City shall remain in possession of the premises known as
the Bluff playground facility, including all buildings and appurtenances,
as encompassed by Parcels 70, 70A, 70B, 70C, 70D, 73, 74, 74A, 74B, 74C
and 75 in the above action, until such time as the State shall determine
that the vacation of the premises, so described, is necessary for the
construction of T. H. 392, or at such earlier time as the City may see fit
to vacate the premises.
2. The City shall vacate the premises known as the Bluff playground,
as described above, including all buildings and appurtenances, within
48 hours after receipt of notice from the State by the Commissioner of
Parks and Recreation and Public Buildings of the City, or at such earlier
time as the City may determine to vacate the premises. The City, prior to
vacation of the premises described above, will disconnect all utilities
servicing the area affected.
3. The State, by the allowance of possession and use to the City,
does not thereby waive its right to offset the fair and reasonable value
of the use and possession of the property against the interest accruing
