WI�REAS, the Council of the City of Saint Paul, as contained in the resolution Council File 07-270
(attached), approved Mazch 25, 2001, approved the proposal to dedicate easements to the City of Saint
Paul; and
WFIEREAS, a legal description error was found in the Dedication of Easement for Utility Purposes,
attached as E�►ibit A; and
WHEREAS, the petitioner and the City Public Works Division, Technical Services—Rea1 Estate, have
requested that the specific legal description, which does not substantively change the easement, be
conected; so therefore
BE IT RESOLVED, that the legal description and the map reflecting same, attached as Eghibit B, shall
be approved in fact, and approved to file for recording at Ramsey County; and be it further
RESOLVED, that all terms and conditions set forth in Council File 07-270 shall remain in full force and
effect.

7 WHER�AS, Regions Hospital also proposes to dedicate to the City of Saint Paul (the "City") Easements

RESOLVED, that with the accompanyang U6Iity Easement Certificate of Intended Non-Use, filed
votuntarily by District Energy St. Paul Inc. and District CooHng St. Paul Inc., a private non-profit
corporation; and the Ciry of Saint Paul, a municipality under the laws of the State of Minnesota,
Department of Public Works; Saint Paul TZegionai Water Services, a municipal corporaiion; Qwesf
Corporation, a Colorado corporation; Comcast, a Pennsylvania corQo�ation; inacle a part hereof hy this
reference and filed in the office of the City Cierk of Saint Paul, Yhe City, on behalf of these entities, will
reIease the easemenf rights to the utility easements in the vacated azea referenced in Eachibit A, subjecY to
the following conditions:
1. Provided that in turn the City is granted the easements needed (sewer, utilities and sidewalk).
2- The e�sting Iantern sireet light located in the vacated portion of Capitol Heights (South of Robert)
is removed before construction begins, and at the peritioner's cost.
3. The petitioner moves Xce] Energy Electric facilities per agreement.
4. The peritioner moves Xcel Energy Gas facili6es per agreement; and be if further
RESOLVED, that the proper City offieials aze hereby authorized and directed to accept fhe easements
granted by Re�ions Hospital; and be it finally
RESOLVED, that Ehe petidoners have paid the $300 fee for release of easements; and that the
petitioners, their successors and assigns shall, within 30 days of the effecrive date of this resolution, file
with City IZeal Estate an acceptauce in writing of the conditions of this resoIution agreeing to compIy in
aIl respects with these terms and conditions.

DEDICATTON OF EASEMENT
FOR UTILITY PURPOSES
Regions Hospital, a Minnesota Non-Profit Corporation as Grantor
for good and valuable consideration, to them in hanc3 paid and the receipt of which is
hereby acknowledged, does hereby grant, bargain, sell and convey to the City of Saint Paul, a
municipal corporation of the StaYe of Minnesota, its successors and assigns, as Crrantee, a
permanent access, construcrion, and maintenance easement for utility purposes over, under and
across the following tract of laad being in the County of Ramsey, State of Minnesota, described
as follows:
See attached, description and map, Page 3.
To have and to hold the same forever. Grantor does covenant that it is well seized in fee
of the land and premises aforesaid, and has good right to sell and convey the same free of all
encumbrances.
That Grantor also covenants that the above granted easement is in the quiet and peaceable
possession of the Grantee. Cnantor wi11 warrant and defend against all persons lawfully claiming
the whole or any part thereof, subject to encumbrances, if any, hereinbefore mentioned. It is
intended and agreed that this agreement shali be a covenant mm�ing with the land and shall be
binding to the fuliest extent of the law and equity for the benefit of the public. It is fitrtl�er
intended and agreed that this agreement and covenant sHall remain in effect without limitation as
to fime.
Grantor shall assume all risk and liability for itself, its agents or employees for any injury
to persons or property resulting in any manner from the conduct of its own operations and
operations of its agents or employees within the easement area described above, and for any loss,
cost, damage, or expense resulting at any time &om £ailure to exercise proper precautions, of or
by itself or its own agents or its own empioyees. Grantoz shall not be resgonsible for any injury
to persons or property resulting in any manner fzom the conduct of Grautee's operations and
operations of its agents or employees within the easement described above, or for any loss, cost,
damage, or expense resulting at any time from failure to exercise proper precautions, of or by
Grantee or its own agents or its own employees. Grantee's liability shall be governed by the
provisions of the MinnesoYa Municipal Liability Tort Act, Minn. Stat. 466.04, and other
applicable law.
