Tfus amendment is between the State of Minnesota, acfing through its Commissioner of Public Safety, Office of
7ustice Progams, 444 Cedaz Street, Suite 100, St. Paul, Minnesota 55101 ("STATE") and St Paul Police
Department, 367 Grove Street, St Paul, Mianesota 55106 ("Grantee").
Recitals
1 The STATE has a grant contract with the Grantee identified as Grant 2006-MGSF-00286/9300-1764 for the
purpose of funding the combined operations of the Criminal Gang Strike Force and Nazcotics Task Forces.
2 The STATE and the Grantee have agreed that additional funds and time are necessary for the satisfactory
completion of this proj ect.
3 The STATE and the Crrantee aze willing to amend the Original Grant Contract and previous amendments as
stated below.
Grant Contract Amendment
In this Amendment deleted contract terms will be struck out and the added contract terms wilt be underlined.
REVISION 1. Clause 1, "Term of Grant ContracY', Section 1.2 o£the Original Crant Contract is amended as
follows:

satisfactorily fulfilled, whichever occurs first.
REVISION 2. Clause 4, "Consideration and PaymenY', Section 4.1, Pazagraphs (1) and (3} of the Original
Grant Contract and Amendment No. 1 is amended as follows:
(1) Compensation. The Grantee will be reimbursed an amount not to exceed �95�98:AA $578.798.00
according to the breakdown of costs contained in Revised Elchibit A, which is attached and incorporated
into this grant contract. The Grantee will submit any revisions to Revised Exhibit A as described in
Section 4.2 (2) of this grant contract and the revised budget must be approved by STATE's Authorized
Representative before any expenditures can be made based on the revised budget.
(3) Total Obligation. The total obligation of the STATE for all compensation and reimbursements to the
Grantee under this grant contract will not exceed �9A $578.798.00.
$280,000.00 is available from January 1, 2006 through 3une 30, 2006. Funds not expended by the

Recitals

organization and operation of the Gang and Drug Oversioht Council (Council) and the combined operations

Term of Grant Contract
1.1 Bf.fective date. 7anuarv 1, 2006, or the ciate the State obtains all required signatures under Minnesota Statutes
Section 16C.05, subdivision 2, whichever is later. Once tUis grant contcact is fuRy executed, the lirantee may
claim reimbursement for expendittues incun'ed paTSUant to Clause �3 of this grant contraet. Reimbursement will
only be made for those expenditures made according to the terms of this grant contract.
1.2 Expiration date. December 31, 2�06, or until all obligations have been satisfactorily fulfilled, whichever occurs
first. '
1.3 Survival of Terms. The following clauses survive the expiration or cancellation of this grant contract: 8. Liability;
9. State Audits; 10. Government Data Practices; 12. Publicity and Endorsement; 13. Govexning Law, Jurisdiction,
and Venue; and 15. Data Disciosure.
2 Grantee's Duties
2.1 Acflvities. The Grantee, who is not a state employee, will perfotm all of the duties and tasks speeified in tha
app&cable Request for Proposal and the Grantee's grant application for this progracu, which aze incocporated'by
reference into ttris gFant contraet and aze on file with the State and located at 444 Cedar Street, Suite 100, St. Paul,
Minnesota. Grantee sball aLso comply with all program standards wtuch aze hereby incorporated by reference into
this grant contract and made a pazt of this gant contract Grantee will sign a joint powers agreement that addresses
common issues including but not limited to: pucpose, scope of work, work location, command structure, terms of
participation, and use of forfeited assets.
2.2 Reporiing Requiremenis. Gzantee shall report to the State as specified in the Office of Justice Program's Crrant
Manual, which is hereby incorporated by reference into this grant conhact and made a part of this grdnt contract.
(1) Financial Reporting. Grantee shall submit a financial reporting fortn to the State utilizing the format
identified by the State within 30 days afte�' the end of the reporting period.
(2) Progress Reporting. Giautee shall use forms presenbed by the State to submit a quarterly progress detailing
progress aclueved towards the accomplisimient of the program goats and objectives within 30 days after tha
end of reporting pariod.
(3) OtTier X equiremenfs. Grantee shall submit such other reports and attend meetings and trnivin$ as State shall
reasonably request.
(4} Evalualion. State shall have the authority, during the course of this grant period, to-conduct an evaluation of
the perfom?ance of the Grantee.
(5) Requirement Changes. State may modify or change all reporting forms at their discretion during the grant
period.

3 Time
The Grentee must comply with all the time requizemants desczibed in this grant. cAntrac� In the performance of this
grant contract, time is of the essence.
4 ConsiderationandPayment
4.1 Cansideration. The State will pay for all services perfortned by the Grantee under this grant wntract as follows:
(1) Compensation. The Grantee will ba reimbuised an aznount not to excced $280 000.00, according to the
breakdown of costs contained in Ext�ibit A, which is attached and incoiporated into this grant contract. The
Grantee will submit any revisions to Exiubit A as descnbed in Section 4.2 (2) of this grant contract and the
revise� budget must be approved Uy the State's Authorized Representative before any e�enditures can be
made based on the revised budget
(2) Travel Fa:�enses. Reimbuisement for uavel and subsistence expenses actuallY and neceSSanlY mcur�ed by the
Grantee as a result of this grant contract will be paid in the same manner and in no greater amount fluw
pmvided in the current "Commissioner's Plan" promulgated by the commissioner of Employee Relations
which is incorQorated into this �ant contract by reference. The Giantee will not be reimbursed for t[avel and
subsistence expenses incuned outside Minnesota unless it has received the State's prior written approval for
out of state trauel. Minnesota will be considered the home state for determining whether travel is out of state.
(3) Total Obligation. The total obligation of the State for ail compensation and reimbursements to the Grantee
under tUis gant contract will not exceed $280,000.00.

4.2 Fiscal Requirements. Giantee shall report to the State as specified in the Office Qf 7ustice Program's Grant
Manual.
(1) Financial Guidelines. Grantee shall comply with all policies, procedures, and provisions applicahle to each
source of funding received. Grantee shall comply with the current Office of Justice Piogam's Grant Manual.
No funds will be disbursed for activities not identifxed in the goals and ob}eetives or work plan snbmitted on
the grant application forms prescn�bed by the State. I3o funds fmm a specific funding source will be disbursed
for activiUes that do nat meet the requiremants of that funding source.
(2) Budget Revisioas. Grantee shall submit a written budget revision request to the State's Authorized
Itepresentative before any expenditure can be made 6ased on the revised budget. Subtnission and approval of
a budget amendment is necessary if a} a Iine item will deviate by $200 or 10%, whichever is higher, from the
appzoved budget, or b) a new line item that was not part of the approved budget will be created.
(3) Cioseout. Gzantee shall t�ave unti130 days after ihe Expiration daie of this grant contract, to submit a report of
all funds and intarest received and disbursed. If a report is not submitted within this time period, expenses
claimed on the report may be disallowed and the State may request a refund of those monies from tha Grantee.
(4) Records. Grnntee shall retain all financial records for a minimum of six (� years after the date of submission
of the final financial status report, or until completion of an audit wluch has commenced before the expiration
of this six-year pariod, or until any audit &ndings and/or recommendations from prior audit(s) have been
r;soived between the Grantee and State, wltichever is later.
4.3 Payment
Invaices. The Stafe will promptly pay the Crrantee after the fiirantee presents an itemized invoice for the services
actually performed and the State's Authorized Representative accepts the invoiced services. Tnvoices must be
submitted timely and according to the following schedule: Itemized invoices will he filed in arrears at Ieast
guatterlv but not more often than monthlv and within 30 davs of the oeriod covered bv the invoice for serviees

The Grantee is responsible for compliance cvith all federal requirements imposed on these funds and accepts full
financial responsibility for any requirements imposed by the Grantee's failure to comply with federal requirements.
5 Conditions of Payment
All services provided by the Grantee under tbis grant contract must 6e performed to the State's satisfactioA �
determined at the sole discretion of the State's Anthorized Representative and in accordance with all applicable federal,
state, and local laws, ordinances, tules, and regulations. The Grantee will not seceive payment for work found by the
State to be unsatisfactory or performed in vioiarion of fedetat, state, or loeal law.
Authorized Representative
The State's Authorized Representative is Jesse Standal Grants S��ialist Inteimediate Office of 3ustice Proeiams, 444
Cedar Street Suite 100 Sf Paul Minnesota 55101-5100. (6511284-3208. or his/her successor, and has the
responsibility to monitor the Grantee's perfonnance and the authority to accept the services provided under this grant
contract. If the services ue satisfactory, the State's Authorized Itepresentative will certify acceptance on each invoice
submitted for payment.

time during this grant contract, the Grantee must immediately notify the State.
7 Assignment, Ameudments, Waiver, and Grant Confract Complete
71 rissignment The Grantee may neither assign nor trausfer any rights or obligations under tbis grant contract
without the prior consent of the State and a fully executed Assignment Agreement, executed and approved by the
same parties who executed and appmved this grant conhact, or their successors in office.
'1.2 Amendments. Any amendment to this giant contract must be in writing and will not be effective until it has been
executed and approved by the same parties who executed and approved the original grant contract, or their
successors in office.
'13'Waiver. If the State faiis to enfoice any provision of this g'ant contract, that failure does not waive the provision or
its right to enforce it.
7.4 Grant Contract Complete. This grant contract contains all negotiatians and agreements between the State and the
Gcantee. No other understanding zegazding this grant contract, whether written or oral, may be used to bind either

8 Liability
The Grantee must indemnify, save, and hold ihe State, its agents, and employees l�am�less from any claims or causes of
action, including attomey's fees incurred by the State, arising from the performance of tnis grant contract by the
Grantee or the Grantee's agents oc r�mployees. This clause will not be construed to baz any legal remedies the Cttantee
may have for the 5tate's failure to futfill its o6ligations under this gant contract.
9 State Audits
Under Minn. Stat. § 16C.05, subd. 5, the Cmantee's books, zecords, doeuments, and accounting procedures and
practices relevant to this grant contract are subj ect to examination by the State and/or the State Auditor or Legislative

10 GovernmentDataPracfices
The Giantee and SSate must comply with the Minnesota Government BaYa Practices Ae�, Minn. Stat. Ch, 13, as it
applies to all data ptovided by the State under tlus grant contract, and as it applies to all data created, collected,
received, stored, used, maintained, or disseminated by the Grantee under this grant contract� The civil remedies of
Minn. Stai. § 13.08 apply to the reiease of the data reierred to in this clause by either the C,cantee or ine State_
If the Grant� receives a request to r�lease the data refeczed to in this Clause, the Grantee must itntnediatety notify the
State. The State will give the Cnantee instructions concemu�g the release of the data to the requesting party before the
data is released.
11 Workers' Compensation
The Grantee certifies that it is in cAmpliance with Mina Stat. § 176.181, subd. 2, pertaining to workecs' compensation
inc,��nce coverage. The Grantee's employees and agents wi11 not be considered State employees. Any cIaims that
may arise under the Minnesota Workers' Compensation Act on behalf of these employees and any claims made by any
third party as a consequence of any act or omission on the part of these employees aze in no way the State's obligation
or responsi6iiity.
12 Publicity and Endorsement
12.1 Pub&city. Any publicity regazding the subject matter of this gant contract must identify the State as the
sponsoring agency and must not be released without prior written approval from the State's Authorized
Representative. For purposes of this provision, publicity includes notices, informational pamphlets, press releases,
research, reports, signs, and similar public notices prepazed by or foz the Grantee individually or jointly with
others, or any subcontractors, with respect to the program, publicarions, or services provided resulting from this
grant contract.
12.2 Endorsement The Grantee must not claim that the State endorses its products or services.
13 Governing Law, Jurisdiction, and Venue
Ivlinnesota law, without regatd to its choice-of-law provisions, governs this grant contract Venue for all legal
proceedings out of this grant contract, or its breach, must be in the appropriate state or federal court with competent
jurisdiction in Ramsey County, Minnesota.
14 Termination
141 Terminatiox by the Stat� The State may cancel this gant contract at any time, with or without cause, upon 30
days' written notice to the Grantee. Upon teimination, the Grantee will be entided to payment, determined on a
pm rata basis, for services satisfactorily performed.
142 Terminalion by the Grantee The Grantee may request temvnation upon 30 day's notice to the State's
Authorized Agent Upon teimination the Grantee is entitled to payment for services actually performed and agrees
to return any unused funds to the State.
143 Terminatinn for Insu�cient Funding. The State may immediately terminate this grant contract if it does not
obtain funding from the Miunesota Legislature, or other funding source; or if funding cannot 6e continued at a
level sufficient ta allow for the payment of the services wvered here. Termination must be by written or fax notice
to the Grantee. The State is not obligated to pay for any services that aze provided after notice and effective date of
teimination. However, the Grantee will be entifled to payment, determined on a pro rata basis, for services
satisfactorily performed to the extent that funds aze available. The State will not be assessed any penalty if the
gant contract is terminated because of the decision of the Minnesota Legisiature, or other funding source, not to
appropriate fixnds. The State must provide tbe Gxantee notice"of the lack of fiinding within a reasonable time of the
State receiving that notice.
