COUNCIL RESOLUTION APPROVING TRANSFER OF BUS STOP SFIELTER FRANCHISE FROiVI AD
SHELTERS INC. TO CBS OUTDOOR INC.

WFIEREAS, on Sune 8, 2005, the Saint Paul City Council adopted Oidinance OS-457 ganting Ad Sheltexs, Inc. a Bus Stop
Shelter Franchise for July 1, 2005 through June 30, 2015, and
WHEREAS, On August 24, 2005, the Saint Paul City Council adopted Resolution OS-786 which authorized proper city officials
to enter into agreement to reduce the percentage of alcohol beverage advertising allowed under the Ordinance OS-457 from sixry
(60) to thirty (30) percent, and the agreement was executed on October 12, 2005, and
WHEREAS, Ad Shelters, Inc. has notified the City that CBS Outdoor Inc. has signed an agreement to purchase Ad Shelters Inc.,
and
WHEREAS, as per Ordinance OS-457, codified in the Saint Paul Legislarive Code as Appendix I,the francluse shall not be
transferred without the prior consent of the Saint Paul City Council, which consent shall not be unreasonably withheld, and
WIiEREAS, as per Appendix I, the transferee (CBS Outdoor Inc.) has shown fmancial responsibility as determined by the city
and has agreed in writing with Ad Shelters, Inc _to comply with all provisions of the franchise and agreement OS-786; and
WHEREAS, as per Appendix I, the transferee (CBS Outdoor Inc.) has provided documentation of the proposed change in
control, and compliance with the requirement that all such documentation, by its terms, be expxessly subordinate to the terms
and condirions of the franclrise;
NOW, THEREFORE, BE IT RESOLVED that the Saint Paul City Council approves the transfer of the Bus Stop Shelter
Franchise from Ad Shelters, Inc. to CBS Outdoor Inc.; and
BE IT FURTHER RESOLVED, The company shall, when it files its acceptance of this francluse, file a written confimiation
with the City, whereby it agees to comply with all tern�s and provisions of the Francluse and agreement OS-786, and shall also
file a description of the corporate ownership structure and corporate governance shvcture; and
BE IT FINALLY RESOLVED, that the effective date of the transfer of the Bus Stop Shelter Franchise shall take place on the
date of closing of the CBS Outdoor Inc. purchase of Ad Shelters, Inc., pending acceptance of the Franchise by CBS Outdoor Inc.
