1 WHEREAS, City officials, community leaders, and officials of the Salvation Army have
2 engaged in discussion and planning with respect to the possible development of a multi-use and
3 recreational facility, which will be part of a program operated under the legacy gift of Joan Kroc,
4 donor, said facility to be located adjacent or neaz to the existing West Minnehaha Recreation
5 Center ; and

7 WHEREAS, the City Council finds that it is in the public interest to have adequate
8 facilities servicing the public and recreational amenities that aze conveniently located within the
9 city and accessible by the public; and

WHEREAS, the Parks and Recreation chapter of the City of Saint Paul Comprehensive
Plan establishes as a matter of policy that the City shall "Pursue opportunities and joint use
partnerships to acquire or provide access to land for parks, open space, or recreation
development", and
WHEREAS, the neighborhood within which the facility would be ]ocated has been
targeted as one which is in need of additional social and recreational services; and
WHEREAS, the general site for such a facility within the area has been identified
although the exact boundaries will depend upon the final facility design, which is currently in
progress, as well as all necessary processes and approvals for the use of such land; now,
therefore, be it
RESOLVED, that the City of Saint Paul intends , as soon as possible, as part of the
development of the project known as the Kroc Center, to transfer to the Salvation Army, an
Illinois not for profit coiporation, a suitable tract of land in the City of Saint Paul, in the vicinity
of the West Minnehaha Recreation Center. The land shall be approximately 5 to 6 acres, the
approximate boundaries of which are unknown, and shall be for use as the location of the
planned Kroc Center development, a multi-use meetin�, recreation, and community center,
privately managed by Salvation Army. Sale of the land shall be for fair market value, at no loss
of value as well as no net loss of parkland to the city, and subject to conditions below.
F[JRTHER RESOLVED, that the transfer is conditioned upon the following:
35 1. All legal requirements for such a transfer are met, including any required
36 affirmative vote of the Saint Paul Parks Commission, City Council and planning
37 commission, and declaration on that the land is available for transfer.
38 2. The city has fee ownership, or other estate acceptable to Salvation Army, that it
39 can transfer to the buyer,

3. The transaction shall result in no net loss of pazkland and the sale price for the
property shali be sufficient to insure the replacement of any parkland sold.
4. The parties shall have duly entered into a purchase agreement and a development
agreement for the construction and operation of the Kroc Center in accordance
with all applicable laws, ordinances, and regulations, including the Constitutions
of Minnesota and of the United States of America.
5 Any financing, subsidy, contribution, or payment to be made by the city in relation
to the project has been duly approved by the city council, or any other body from
which approval is required, upon or after the date that this resolution is approved.
