APPROVAL OF FIRST AMENDMENT TO JOINT POWERS AGREEMENT FOR
ACOUISITION OF PO5T OFFICE BUILDING
WHEREAS, it was proposed that the St. Paul Port Authority ("Port") on behalf of the Ramsey
County Regional Raikoad Authority ("RCRRA") and the City of Saint Paul ("City") negofiate
the acquisition of the Post Office building located on Kellogg Blvd., St. Paui, Mn (the
"Project"); and
WHEREAS, the Project is a capital improvement project; and
WHEREAS, the City Council has approved a Joint Powers Agreement with RCRRA, Port and
the City and the City to has entered into the Joint Powers Agreement ("JPA"); and
WHEREAS, it has been fiuther proposed that a first amendment to the JPA be entered into for
the reasons set forth in the attached staff report and the City deems it to be in its best interests to
execute this first amendment ("First AmendmenY').
NOW THEREFORE BE IT:
RESOLVED, the City Council hereby approves the First Amendment substantially in the form
submitted and authorizes and directs the appropriate city officiais to execute the s�ame on behalf
of the City and further authorizes the Director of PED to negotiate changes to the First
Amendment that do not substantially change the City's obligations thereunder.

FIRST AMENDMENT TO JOINT POWERS AGREEMENT
BY AND AMONG
RAMSEY COUNTY REGIONAL RAILROAD AUTHORITY,
CITY OF SAINT PAUL, AND ST. PAUL PORT AUTHORITY
This First Amendment to Joint Powers Agreement by and among the St.
Paul Port Authority ("Contractor"), Ramsey County Regional Railroad Authority
("RCRRA"), a political subdivision of the State of Minnesota, and City of St. Paul,
a home rule charter city ("City").
RECITALS
WHEREAS, the parties hereto entered into a certain Joint Powers
Agreement executed as of September 13, 2005 ("JPA"), being the last written
date of the signers; and
WHEREAS, the parties desire to extend the term of the JPA to allow for
sufficient time to follow the Federal disposition process;
NOW, THEREFORE, IN CONSIDERATION OF THE ABOVE PREMISES,
the parties hereto agree as follows:
1. The JPA is hereby amended by extending the term thereof through
and including December 31, 2007.
2. That except as modified herein, the terms and conditions of the
JPA shall remain in full force and effect.
IN WITNESS WHEREOF, this First Amendment to JPA is duly executed
on the last date written below.
