PAUL FOENCIL N� ��+a � ° OFFICE OF THE CITY CLERK ' ' COUNCIL RESOLUTION—GENERAL FORM .+ ►RESENTED BY COMMISSIONER DATF Whereas, The Port Authoritq of the Citq of Saint Paul has indicated a desire to construct certain public sewers and dump excavation in areas along certain City streets to facilitate development of the Riverview Industrial Park and has further indicated its desire and willingness to pay for the cost of such public sewers and dump excavation if permitted to connect such sewers to the public sewers of the City of Saint Paul, and Whereas, The Port Authority is advertising for bids for a construction contract for building the E%CAVATION, REMOVAL and DISPOSAL of DUMt.' FILL MATERIAL, CONSTRIICTION of SANITARY and STORM SEWERS, PHASE V CONSTRUCTION, RIVERVIEW INDUSTRIAL PARR, AREA I, and is desirous of securing an authoriza- tion from the City of Saint Paul to have the contractor to phom the contract is awarded proceed immediately with the construction of such dump excavation and sewers; now, therefore, be it Resolved, That the Council of the City of Saint Paul hereby grants pern�ission to the Port Authority of the City of Saint Paul, its agents, seryants and employees and the contractor or contractors retained by it and their agents, servants and employees to construct the dump excavation of old "State Street Dump" and construct public sanitary"sewer in East Frontage�Road of Lafayette Freeway from Plato Boulevard to'about 250' South of Chester Street; construct public sanitary sewer in West Frontage Road of La�ayette Freeway from Plato Boulevard to Eaton Street; also, construct ' public storm sewer in East Frontage Road of Lafayette Freeway from Plato Boulevard to about 100 feet south of Chester Street; and, public storm sewer in West Frontage Road of Lafayette Freeway from Plato Boulevard to Eaton Street, said streets being located in the City of Saint Paul, Minnesota; and be it Further Resolved, That the permission to construct the aforesaid public storm sewer, sanitary sewer and�dump excavation be subject to the following terms and conditions: � ' 1. That the Port Authority agrees to protect and save harmless the City � of Saint Paul from all claims, causes of actions or actions arising out of or by virtue of the construction, and agrees to save harmless and defend the City against �n3! such claims, causes of actions or actions arising out of or by virtue of the operation, maintenance, reconstruction or use of such sewers. This provision to remain in ef�fect unless and until modified or eliminated in the contemplated forma.lized written agreement between the respective parties per- � taining to the overall Riverview Industrial Park development. • - 7. That the Port Authority agrees that it will save harmless and ��efend the City of Saint Paul against all claims, causes of actions or actions arising out of or by virtue of construction of the sewers and dump excavation herein authorized. 8. That upon completion of said storm sewer, sanitary sewer and dump excavation work to the satisfaction `of the Commissioner of Public Works, the City shall make final acceptance thereof and after the date of final acceptance, the City shall ma.intain, at the City's own expense, all dump excavation, sanitary sewer and storm sewers so constructed. ` 3. That it is contemplated in connection with the permission hereby granted by the City of Saint Faul that the City and the Port -- Authority of the City of Saint Paul will enter into a formalized V written agreement wl�i�ah will` incorporate therein provisions to effectuate and carry out the terms, provisions, conditions, and __�_ , intentions outlined in this resolution, and which �rill _also,coQer all phases of the intentions and responsibilities of ttie respective parties in the development of that proj.ect commonlq identified as the Riverview Industrial Park.
