1 Wf�EREAS, Comcast and the City of Saint Paul, Division of Parks and Recreation, wish to enter into a
2 sponsorship aureement whereby Comcast will financially support a Pazks and Recreation Movies in the

5 WHEREAS, the Council of the City of Saint Paul has previously authorized the Division of Parks
6 and Recreation to enter into such sponsorships; and
8 WHEREAS, the City believes that the Movies in the Pazk program is a benefit to the citizens of
9 Saint Paul and is consistent with the Division's mission to provide a wide variety of recrearional
10 opportunities across the city; now, therefore be it

12 RESOLVED that the proper city officials are hereby authorized to enter into the attached
13 Sponsorship Agreement with Comcast to present Comcast Movies in the Parks.

This Agreement is entered into this day of May, 2006, by and between
Comcast Corporarion, a(State ) corporation ("ComcasP') and the City of Saint Paul, a
municipal corporation, throuah its Division of Pazks & Recreation ("Cit�').
WHEREAS, Comcast and the City of Saint Paul wish to enter into a sponsorship
a�eement whereby Comcast will financially support a Parks & Recreation Movies in the
Pazk program; and
WHEREAS, the Council of the City of Saint Paul has previously authorized the
Division of Parks and Recreation to enter into such sponsorships; and
WHEREAS, the City believes that the Movies in the Park program is a benefit to
the citizens of Saint Paul and is consistent with the Division's mission to provide a wide
variety of recreational opporhxnities across the city.
Now, therefore, in consideration of the mutual agreements and consideration contained
herein, the parties agree as follows:
L Term: Parties agree that they will partner on the Movies in the Pazks program for the
period from May 1, 2006 through November 1 or 15, 2006. This Agreement may be
renewed far an additional one year period by mutual agreement of the parties unless it
has been terminated pursuant to Paragraph 4.
2. City Responsibilities:
A. City agrees that in ret�un £or the financial and value-in-kind support set
forth below that it will title its exisfing Movies in the Park program
"Comcast Movies in the Parks" during the term of this Agreement and any
renewal term.
B. City to purchase the necessary movie equipment for the Movies in the
Parks program.
C. City will manage each event including set-up and take down.
D. City shall be solely responsible for determining the schedule and venues
far the program and will communicate the schedule to Comcast.
E. ComcasYs name/logo will be featured in advertising or program flyers for
the Program, aclrnowledging it as a sponsor of the Movies in the Parks
program.
F. Comcast's name/logo will be featured on Parks and Recreation website as
a sponsar of the Movies in the Parks program, consistent with City
guidelines with respect to use of the websites.
G. The City will provide Comcast with a minimum of ten (10) movie
showings throughout the term, at which at least one Comcast banner will
be prominently displayed. Additional banners may be displayed if Parks
deems the location and placement appropriate.
H. The City will ensure the display of the Comcast logo at the opening and
closing of the movies, for a minimuxn of 15-30 minutes in a11, at a11 movie

showings. There will also be an option for a Comcast "Welcome" video
to be shown prior to the start of the movie.
City will organize a kick-off event for the Movies in the Parks program
which will include city officials, to which the media will be invited.
3. Comcast Responsibilities.
A. Comcast shall pay City the sum of $25,000 for the term of this agreement
payable to Parks and Recreation by June 10, 2006.
B. Comcast shall provide Parks and Recrearion with two (2) segments on
Comcast Newsmakers to be featured daily on CNN Headline News for
approximately four to five weeks. The in-kind value of these Comcast
Newsmakers interviews is $30,000.
1. The segments will be taped in the spring/summer months
preceding or during the run of the Movies in the Parks
program/season
2. The first taping will take placa in May, 20Q6 and will run
throughout June 2006.
3. The second taping will take place in July and run
throughout August, 2006.
4. Comcast will be responsible for the production and
scheduling of these segments.
C. Comcast shall provide Parks and Recreation with three hundred (300) 30-
second cable spots for advertisement and promotion of Parks and
Recreation events. The in-kind value of this advertisement is $33,000.
1. Spots will be produced in May 2006.
2. Spots will run on a to-be-determined basis, scheduled in
consultation with Comcast Corporate Affairs department.
D. If deemed possible, Comcast will provide Pazks and Recreation with
access to Comcast MGM movies when available and applicable at no cost
to Parks and Recreation, unless a cost has been agreed to in writing and
priar to the showing. Otherwise, Parks and Recreation will be responsible
for all costs associated with procuring movies for showing.
4. Terminarion.
A. This Agreement shall be subject to termination with cause by either party
at any time during the term hereof by giving written notice of notice of the

breach upon which the termination is based thirty (30) days prior to the
date when such terminarion shall become effecrive. In the event the other
party fails to cure the breach within said thir[y day period, the ternunarion
shall be effecrive on the thirtieth day.
B. The City may cancel this Agreement without cause by b ving written
notice thirty days prior to the date when such ternvnation shall become
effecrive for the following reasons:
1) a court of competent jurisdiction declazes the Agreement
void or voidable for any reason;
2) any law or policy is enacted making the use of govemment property for
advertising purposes illegal.
In the event of such termination, the money and services provided by Comcast
shall be pro-rated, and Comcast will provide the City with any in kind services
due and owing or the value of any such consideration already pa3d or provided
shall be reimbursed to Comcast.
5. Notice. All notices herein provided to be given, or that may be given by any party
to another, shall be deemed to have been fully given when served personally, or when
made in writing and deposited in the United States Mail, certified and postage prepaid,
and addressed to the parties at the addresses stated below:

6. Waivers of Liability: Each of the parties shall be responsible for its own acts
and the results of its own acts to the extent authorized by law and shall not be responsible
for the acts of the other party or the results of the other party's acts.
7. Amendments: Anything herein contained to the contrary not withstanding, this
Agreement may be, in writing, amended by mutual consent of the parties hereto.
8. Assignment: This Agreement may not be assigned or transferred without the
written consent of the City.
In witness whereof, the Parties have caused this Agreement to be executed by their duly
authorized representatives.
