RESOLVED, that, subject to the herein stated exceptions and with the accompanying Utility
Easement Certificates of Intended Non-Use, filed voluntarily on behalf of: Qwest
Corporation; Northern States Power Company, d.b.a. Xcel Energy (Gas); Xcel Energy
Electric; District Energy St. Paul, Inc. and District Cooling St. Paul, Inc.; Comcast of St.
Paul; MCI Metro Incorporated; St. Paul Regional Water Services; and St. Paul Department
of Public Works; made a part hereof by this reference and filed in the office of the City Clerk
of Saint Paul, the City, for itself and on behalf of these corporations and departments, waives
the right to the urility easements in the vacated area described above.
This vacation shall be subject to the terms and condiuon of Chapter 130, codified March 1,
1981, of the Saint Paul Izgisiative Code as amended, and to the following conditions:
1. That the peUtioner's, their successors and assigns shall pay $1,200 as an administrauve
fee for this vacauon which is due and payable within 60 days of the effecuve date of this
resolution.

2. That District Energy St. Paul, Inc. must retain easements and rights within the right-of-
way azea below the proposed vacated air rights azea. Disuict Energy St. Paul, Inc. will
approve this air rights vacation, within the azea defined above, provided that cost
reimbursement is agreed to for any required utility relocation or special provisions and
subject to the following conditions:
7 a. District Energy St. Paul, Inc. has and shall be permitted to maintain direct buried
8 heating facilities below the azea defined for street air rights vacauon.

rights area, shali be retaiued in the right-of-way for the benefit of District Energy St.
Paul, Inc. to maintain, inspect, repair construct or reconstruct the existing heating
utility or any new facilities related to the heating and cooling piping and/or heating
and cooling equipment or any part thereof and to enter upon said easement or any
portion at any ume and from time to ume.
a If a utility relocation or special provisions are required on existing heating uulity
or any new facilities due to the work in the overhead area or development of adjacent
properties associated with the overhead work, it shall only be completed by District
Energy St. Paul, Inc., its agents and its designated contractors. Full and complete
cost reimbursement is required for any required relocation or special provisions of
the piping in the area below or adjacent to the sueet air rights vacation.
d. The direct buried heating faciliues and future cooling faciliues below the street air
rights vacation azea and the area defined for utility easement purposes will be used to
serve the vazious buildings, including those for United Hospital. District Energy St.
Paul, Inc. and District Cooling St. Paul, Inc. shall be permitted to install the
necessary heating and cooling facilities within the subsurface area below the street air
rights vacation area.
e. In extending any new heating and cooling facilities consideration and
coordination will be granted to District Energy St. Paul, Inc. from United Hospital
for routing these faciliues in the right-of-way area below the area defined for street
air rights vacation.
3. That the proposed improvements do not interfere with ComcasYs existing facilities or
ComcasYs access to the said facilities to maintain, repair or upgrade them. Should the said
improvements in any way interfere with or prevent access to the said faciliues, the peutioner
or its successors shall provide new easements as required and the petitioner or its successors
shall assume ali costs of relocating facilities to the new easements.
4. That the peutioners, their successors and assigns agree to indemnify, defend and save
harmless the City of Saint Paul, its officers and employees from alI suits, acuons or claims of
any character brought as a result of injuries or damages received or sustained by any person,
persons or property on account of this vacation or peutioners use of this property, including
but not limited to, a claim brought because of any act of omission, neglect, or misconduct of
said peuuoners or because of any claims or liability arising from any violation of any law or
regulation made in accardance with the law, whether by the petiuoners or any of their agents
or employees.

I recommend a public hearmg before the City Council be held on April 19, 2006 to consider the
petition of the Al]ina Health System (dba United Hospital, Inc.) to vacate au� rights in Block 52,
Dayton and Irvme's Addition and Rice and Irvme's Addition, and the United Hospital Medical Mall
Addition.
The purpose of tivs vacation is to facilitate the construction of a skyway liak over Smith Avenue
connectmg the Heart Hospital Gold Ramp and the Nasseff Heart and Lung Institute and Specialty
Center.
