This vacation shall ba subject ta the ±erms and condirion of Chapter 130, eodified l�iarch i,
19II1, of the Saint Pau; Lzgislative Code as amended, and to the following conditions:
fl. That the petitioner's, their successors and assigns shall pay $1,200 as an administrative f'ee
for this ��acation which is due and payable within 60 days of the effective date of this
resolution.
2. An easement shall be retained on behalf of Qwest Corporation to maintain its existing
facilities.
3. An easement shall be retained on behalf of Xcel Energy Electric to maintain its existing
facilities.
4. An easement shall be retained on behalf of District Energy to maintain its existing
facilities.
32 5. That at the request of Department oi Public Works, the existing lighting feed will need to
33 be relocated. Any signal and lighting work to be completed, shall be done by Public Works
34 at the expense of the petitioner, it successors or assigns.

3 6. That the petitioners, their successors and assigns a�ee to indemnify, defend and save
4 harmless the City of Saint Paul, its officers and employees from all suits, actions or claims of
5 any character brought as a result of injuries or damages received or sustained by any person,
6 persons or property on account of this vacation or petitioners use of this property, incledina
7 but not limited to, a claim brought because of any act of omission, neglect, or misconduct of
8 said petitioners or because of any claims or liability arising from any violation of any law or
9 regulation made in accordance with the Iaw, whether by the petitioners or any of their agents
10 or employees.

12 7. That the petitioners, their successors and assigns shall, within 60 days of the effective date
13 of this resolution, file with the City Clerk an acceptance in wnting of the conditioas af this

Dear Juan,
This is in reply to your letter of August 8, 2005 relative to the petition of Allina Health System for the
vacation of aliey.
Qwest maintains buried telephone cables within the referenced area (see attached sketch). It is
assumed that these facilities will be in conflicf with the petitioners proposed constracfion plan.
Qwest Inc. will be asking for a five foot easement to protect our facilities once this area is surveyed and
staked by the petitioner. At this time the described area I have received does not contain enough
information to give me a running line where we need the [uture easement.
It is expected that the relocation expense if needed be paid by the petitioner. This will be more clearly
determined as the building site plans are developed.

Mal[Addition as described in the attached exhibi�
except as here noted:
District Energy St. Paul, Inc. must retain easements and rights within the vacated right-of-way. We will approve this vacation, within the
area defined above, provided that cost reimbursement is agreed to for utility relocation and subject to the following condifions:
1) District Energy St. Paul, Inc. has direct buried heating facilities within the area defined for street vacation. (See the attached map
for general location.)
2) An utiiity easement with access to subsurface, surface and overhead within the entire area shail be retained in the vacated rightof-
way for the benefit of District Energy St. Paul, inc. to maintain, inspect, repair, construct or reconstruct the ewsting heating utility or
any new facilities related to the heating piping and/or heaGng equipment or any part thereof and to enter upon said easement or
any portion at any time and from time to time. Maintain a twenty-foot (20') wide surface access and subsurface easement in the
area of our direct buried facilities. The easement shall be along the northwesterly 20' of the Right-Of-Way that is adjacent to the
northwesterly line of the Alley to remain, which is generally parallel to and between Smith Avenue and Pleasant Street, and is west
of Chestnut Street.
3) If a utility relocation is required, it shall only be completed by District Energy St. Paul, Inc., its agents and its designated
contractors. Full and complete cost reimbursement is required for any relocation of the heating piping in the area defined for street
vacation.
4) District Energy St. Paui, Inc. acknowledges that the direct buried heating tacilities within the area street vacation and the area
defined for utility easement purposes will be used to serve the new building, which is known as Nasseff Specialty Center.

the north/south a11ey lying within Block 65 and Irvine's Addition to St. Paul. Also enclosed is a
copy of the drawing identifying the proposed alley vacation and a new title commitment for the
adjoining property. I had previously provided the title commitment for the property within
United Hospital Medical Mall Addition.

If any defects, liens or encumbrances existing at Commitment Date are not shown in Schedule B, we may
amend Schedule B to show them. If we do amend Schedule B to show these defects, liens or
encumbrances, we shall be liable to you according to Paragraph 4 below unless you knew of this
information and did not tell us about it in writing.
4. LIMITATION OF OUR LIABILITY
Our only obligation is to issue to you the Policy referred to in this Commitment, when you have met its
Requirements. If we have any liabiiity to you for any loss you incur because of an error in this
Commitment, our liability will be limited to your actual loss caused by your relying on this Commitment
when you acted in good faith to:
comply witfi the Requirements shown in Schedule B- Section One
or
eliminate with our written consent any Exceptions shown in Schedule B- Section Two.
We shall not be liable for more than the Policy Amount shown in Schedule A of this Commitment and our
liability is subject to the terms of the Policy form to be issued to you.
5. CLAIMS MUST BE BASED ON THIS COMMITMENT
Any claim, whether or not based on negligence, which you may have against us concerning the title to
the land must be based on this commitment and is subject to its terms.
