FundingSource: Q36-34127 ActivityNumber:436-34127 Fi nancial Information: (Explain) i 6���5� Contract #02-13749-C AGREEMENT THIS AGREEMEI�'T, made and entered into this l�' day of March 2006, by and between Trail Automotive, hereinafrer called "Supplier", and the CITY OF STAINT PAIJL, hereinafter called "Cit}�'; WITNESSETH; IT IS MUTUALLY AGREED BY AND BETWEEN THE SUPPLIER AND THE CITY AS FOLLOWS: That all times Suppliers will keep the terms and conditions of this agreement confidential and shall not disclose usages hereunder to inquiries of third parties without the prior consultation with the City's liaison hereinafter names. 2. That automobiles fumished to the City by the Supplier hereunder shall be for the exclusive use of the City's Police Department and no other persons shall make use of such vehicle That the supplier wili have available during regular business hours for the City's use, automobiles of a make and model as may be agreed to by the parties. 4. That in consideration of the use of supplier's vehicle(s) the City agrees to pay Supplier the amount as outlined in the attached, per month. This agreement will not exceed fifty thousand dollars during the length of the contract based on the current need of eight lease vekucles per month. 5. That the City agrees to save and hold Supplier harniless from any and all claims azising out of the Ciry's use of the vehicles hereunder and shall, additionally, repair at its own expense any damage sustained by the vehicles during the course of City's use, normal wear and tear excluded, and that in no event shall the liability of the City exceed the limits set forth in MN Chapter 466. 6. That the City shall be responsible for supplying each vehicle rented hereunder with gasoline needed to make the vehicle operational, but no other maintenance obligarions shall be the responsibility of the City. 7. That the City will not use any vehicle for a period of more then one year (365 days) without Supplier's consent, but the City reserves the right to request and receive from Supplier a replacement vehicle of a type and make as above described at any time; time being of the essence in fulfilling requests for replacement vehicles. 8. That the City acknowledges the right of the Supplier to demand the retum of the vehicle rented hereunder upon twenty-four (24) hours' notice to the City and upon such notice, the City will return said autoinobile. 9. That the use of the vehicle rented hereunder are for the use of the City's Police Department and for the purpose of the admimstration of this agreement, Chief John Harrina on or his designee, 367 Grove, Saint Paul, Minnesota, shall be its liaison. b�- � SS 10. That this Agreement may be tertninated at any time by the Supplier or the City with written notice, submitted by either party, 3� days prior to the temunation date. 11 _ That the Supplier a�ees to cttange the oil and inspect all such vehicles every 3,000 miles with reasonable advanced notice to the Supplier at no cost to the City. 12. That the City will be responsib]e for ensuring such vehicles are inspected and maintained by the Supplier every 3,000 with reasonable advanced notice to the Supplier. 13. That this aa eement shall be in affect for one year uriless terminated by erther party pursuant to clause 10 14. That the Supplier agrees to abide strictly by Chapter 13, Minnesota Government Data Practices Act, and in particular Minn. Stat. §§ 13.05, subd. 6& 11 and 1337, subd. ](b) and Minn. Stat. §§ 138.77 & 15.17. All data created, collected, received, stored, used, maintained, or disseminated by the private person in performing functions under the Agreement is subject to the requirements of the Minnesota Government Data Practices Act and Supplier must comply with tbose requirements as if it were a government entity. The remedies in Minn. Stat. § 13.08 apply to the Provider. IN WITNESS THEREOF, the parties have set their hands the date first above written. Tzait Automotive will offer vehicles, with model yeazs fzom 2003-2006, to the City of St. Paul for a monthly fee of zhe foilowing aznounts. The usual applicable taxes, license fees, docuznentation fees, and transfer of [i[le fees will be extza. These fees, excludi[�, the applicable taxes, will be a[otal of $184 pez vehicle pex lease. These amounts are based off of 1,000 miles per month on each vehicle.
