Grantee's Duties The Grantee, who is not a state employee, will: 2.1 Perform the work in the Grantee's 2004 State Homeland Security Grant Program Application, Attachment A, which is attached and incorporated into this gzant contract. Approved eguipment, exercise, training, pianning, and/or management and admniistration costs identified in Attachment A were approved from the 2004 State Homeland Security Grant Program Guidelines incorporated into this grant contract by reference. 2.2 Comply with all program guidelines specified in the 2004 State Homeland Security Program Grant Application Packet provided to the Grantee by the State, and will comply with the standacds and requirements attached and incorporated into this grant contract. These adc�itional standards and requirements aze the following: a. Federal Audit Requirements, labeled Attachment B, which is attached and incorporated into this grant contract. b. Federal Assurances, labeled Attachment C, which is attached and incorporated into this grant contract. c. Grantees receiving $100,000.00 or more must complete and retum the Certification Regazding Lobbying form, labeled Attachment D, which is attached and incorporated into this grant contract. 2.3 Funds approved under this grant contract shall be used to supplement, and shall not be used to supplant, non- federal funds dedicated to this effort. The Grantee maybe required to supply documentation certifying that a reduction in non-federal resources occiured for reasons other than the receipt or eapected receipt of federal funds. 2:4 Provide all necessary training to their employees conceming the use of equipment purchased through this grant conh�act, and shall not permit the equipment to be tampered with or operated by individuals who are not properly trained. 2.5 Assume total responsibility of the proper handling, use, and maintenance of the equipment and beaz all costs of maintenance, repair and/or replacement related to equipment. 2.6 Equipment purchased through this grant contract is the property of the Grantee. 2004 State Homeland Securiry Program (OS/04) Page 1 � :: °-• — _ v. In the performance of this grant conhact, time is of the essence. 4 Consideration and Payment � 4.1 Consideration. The State will pay for all services performed by the Grantee under this graut contract as follows: (1} Compensafion The Caautee wIll be reimbursed an amount not to exceed 50 000.00 according to the breakdown of costs specified in Grantee's 2004 State Homeland Security Grant Program Applicarion, Attachment A, which is attached and incorporated into this grant contract. The Grantee will submit a written change request for any subsritution ofbudget items in Attactunent A, or any deviafion of more than 15% from the approved budget category amounts in Attachment A. Change requests for substitutions of budget items, or a deviation of more than I S% from the approved budget category amount must be given in writing to the State's Authorized Representative and at least 60 days prior to the Expiration date of this grant contract. Cnant�'es whose requests have been approved will be notified in writing by the State's Authorized Representative to the Grantee's Authorized Representative. Requests must be approved prior to any expenditure by the Grantee. (2) Matching Requirements. (If Applicable.) Grantee certifies that the following matching requirement, for the grant contract, will be met by the Cnantee: $0.00. (3) Total ObligaBon. The total obligation of the Sfate for all compensation and reimbursements to the Grantee under this gant contract will not exceed $50,000.00. 4.2 Payment (1) Grant Billing Form. The State will promptly pay the Grantee after the Grantee presents a Grant Billing Form for the services actually performed and the State's Authorized Representa6ve accepts the invoiced services. Grant Billing Form must be subnritted timely and according to the following schedule: a. Grantee will subsriit the Grant Billing Form along with copies of Cttantee's itemized invoices for actual costs incurred at least bi-annually due June 30 and December 31 for the life of the grant, but not more often than monthly and witkrin 30 days of the period covered by the Grant Billing Form. b. Expenditures for each state fiscal yeaz (July through June) of this grant contract must be for services satisfactorily performed within applicable state fiscal year. Final Grant Billing Form pertaining to the first state fiscal year of this grant contract must be received by the State no later than August 15, 2005. Reimbursements from the second state fiscal year may commence on or after July 1, 200�. The final Grant Billing Form pertaining to the second state fiscal year of this gant contract must be recei�-ed by the State within 45 days of the Expiration date of this grant contract. c. Grantee will submit financial and narrative performance reports at least bi-annually due June 30 and December 31, for the life of the grant, but not more often than monthly. The nazrative performance report shall consist of a comparison of actual accomplishments to the approved work plan in Attachment A. These reports must be submitted before reimbursement will be paid. (2) Federal funds. (Where applicable, if blank this section does not apply) Payments under thi, grant contract will be made from federal funds obtained by the State through CFDA # 97.004. The Grantee is responsible for compliance with all federal requirements imposed on these funds and accepts full financial responsibility for any requirements imposed by the Grantee's failure to comply ���ith federal requirements. 5 Conditions of Payment All services provided by the Grantee under this �rant contract must be performed to the State's satisfaction, as detemuned at the sole discretion of the State's Authorized Representative and in accordance with all applicable federal, state, and local laws, ordinances, rules, and reb lations. Assignment, Amendments, Waiver, and Grant Contract Complete 7.1 Assignment The Grantee may neither assign nor transfer any rights or obligations under this graut contract without the prior consent of the State and a fixlly executed Assigament Ageement, executed and approved by the same parties,Who executeci and approved this gant contract, or their successois in office. 7.2 Amendments. Any amendmeni to this grant contract must be in writing and will not be effective until it has been executed and approved by the same parties who executed and approved the original grant contract, or their successors in office. 73 Waiver. If the State fails to enforce any provision of tkus grant contract, that failure does not waive the provision or its right to enforce it. 7.4 Grant Contract Camplete. This grant contract contains all negofiations and agreements between the State and the Grantee. No other understanding regarding this grant contract, whether written or oral, may be used to bind either parry. 8 Liability The Grantee musf indemnify, save, and hold the State, its agents, and employees hamfless from any claims or causes of action, including attomey's fees incurred by the State, arising from the perfomiauce of this grant coniract by the Grantee or the Grantee's agents or employees. This clause will not be construed to bar any legal remedies the Grantee may have for the State's failure to fulfill its obligations under this grant contract. 9 State Audits Under Minn. Stat. § 16C.05, subd. 5, the Grantee's books, records, documents, and accounting procedures and practices relevant to this grant comract aze subject to examination by the State and/or the State Auditor or Legislative Auditor, as appropriate, for a minimum of six years from the end of this grant contract. 10 Government Data Practices The Grantee and State must comply with the Minnesota Govemment Data Pzactices Act, Minn. Stat. Ch. 13, as it applies to all data provided by the State under this grant contract, and as it applies to all data created, collected, received, stored, used, maintained, or disseminated by the Grantee under this grant contract. The civil remedies of Minn. Stat. § 13.08 apply to the release of the data referred to in this clause by either the Grantee or the State. If the Grantee receives a request fo release the data referred to in this Clause, the Grantee must immediately notify the State. The State will give the Grantee instructions conceming the release of the data to the requesting party before the data is released. 11 Workers' Compensarion The Grantee certifies that it is in compliance with Minn. Stat. § 176.181, subd. 2, pertaining to workers' compensation insurance coverage. The Grantee's employees and agents will not be considered State employees. Any claims that may arise under the Minnesota �Vorkers' Compensation Act on behalf of these employees and any claims made by any third par[y as a consequence of any act or omission on the part of these employees are in no way the State's obligation or responsibility. 2004 State Homeland Security Program (OS/04) Page 3 Grant Contract #2000-9591 12 Publicity and Endorsement 12.1 Publicity. Any publicity regarding the subject matter of this gant contract mus[ identify ihe State as the sponsoring agency and must not be released without prior written approval from the State's Authorized Representative. For purposes of this provision, publicity includes notices, informational pamphlets, press releases, research, reports, sigqs, and similaz public notices prepazed by or for the Cttantee individually or jointly with others, or any subcontractors, withrespect to the prograzn, publicafions, or services provided � resulting from this grant contract. 122 Endorsement. The Grantee must not claim that the State endorses its products or services. 13 Governing Law, Jurisdiction, and Venue Minnesota law, without regard to its choice-of-law pmvisions, govems this grant contract. Venue for all legal proceedings out of this grant conlract, or its breach, must be in the appropriate state or federal court with competent jurisdiction in Raznsey County, Minnesota. 14 Termination ;�" 14.1 Termination by the State. The State may cancel this grant contract at any tune, with or without cause, upon 30 days' written notice to the Grantee. Upon temilnation, the Grantee will be entitled to payxnent, determined on a pro rata basis, for services satisfactorily performed. 14.2 Termination for Insufficient Funding. The State may immediately tensunate this grant contract if it does nof obtain funding from the Minnesota Legislature, or other fuuding sburce; or if funding cannot be continued at a level sufficient to allow for the payment of the services covered here. Temunation must be by written or fa7c notice to the Grantee. The State is not obligated to pay for any services that are provided a8er notice and effective date of termination. Aowever, the Grantee will be entitled to payment, deteimined on a pro rata basis, for services satisfactorily performed to the extent that funds aze available. The State will not be assessed any penalty if the grant contract is tenninated because of the decision of the Minnesota Legislature, or other funding source, not to appropriate funds. The State must provide the Grantee notice of the lack of funding within a reasonable tnne of the State receiving that notice. 143 Termination for Failure to Comply. The State may cancel this gant contract immediately if the State fmds that there has been a failure to comply with the provisions of this grant, that reasonable progress has not been made or that the purpose for which the funds were granted have not been or will not be fulfilled. The State may take action to protect the interests of the State of Minnesota, including the refusal to disburse additional funds and requiring the retum of all part of the funds already disbursed. 15 Data Disclosure Under Minn. Stat. § 270.66, and other applicable law, the Grantee consents to disclosure of its social security number, federal employer taY identification number, and/or Minnesota tax identification number, already provided to the State, to federal and state tax agencies and state personnel involved in the payment of state obligations. These identification numbers may be used in t}ie enforcement of federal and state tax laws which could result in action requiririg the Grantee to file state taY retums and pay delinquent state tax liabilities, if any, or pay other state liabilities. Audits shall be made annually unless the state or local government has, by 7anuary 1, 1987, a constitutional or statutory reguirement for less frequent audits. The audit shall cover either the entire organization or all federal funds of the organization. The audit mnst determine whether the subrecipient spent federal assistance funds in accordance with applicable laws and regulations. 2. The audit shall be made by an independent auditor. An independent auditor is a state or local government auditor or a public accountant who meets the independence standards specified in the General Accounting Office's "Standazds for Audit of Govemmental Organizations, Programs, Activities, and Functions." The audit report shall state that the audit was performed in accordance with the provisions of OMB Circular A-133 (or A- 110 as applicable). The reporting requirements for audit reports shall be in accordance with the American Insfitute of Certified Public Accounts' (ATCPA) audit guide, "Audits of State and Local Governmental Units," issued in 1986. The federal govermnent has approved the use of the audit guide. In addition to the audit report, the recipient shall provide comments on the findings and recommendations in the report, including a plan for corrective acfion taken or planned and comments on the status of cosective action taken on prior findings. If corrective action is not necessary, a statement describing the reason it is not should accompany the audit report. 4. The grantee agrees that the grantor, the Legislative Auditor, the State Auditor, and any independent auditor designated by the grantor shall have such access to grantee's records and financial statements as may be necessary for the gantor to comply with the Single Audit Act Amendments of 1996 and OMB Circular A-133. 5.
