AGREE'_VIENT
School Resource Officer (SRO) Program
THIS AGREEMEIV't, made tlus day of , 2005, by and between INDEPENDENT
SCHOOL DISTRICT NO. 625, hereinafter referred to as "DistricY', and CITY OF SAINT PAUL POLICE
DEPARTMENT, hereinafter refesed to as "City",
WITNESSETH:
WHEREAS, the Boazd of Education of Independent School District No. 625 has by viriue of Boazd File No.
, and the City Council, City of Saint Paul has by virtue of Council Resolurion No. ,
authorized an ageement providing School Resource Officer (SRO) services to the District;
Now, therefore, IT IS HEREBY AGREED, by and between the parties, as follows:
I. General. The district agrees to pay City for the total program costs incurred as specified herein to
permit the assignment of School Resource Officers and Supervisor(s), all swom police officers, for law
enforcement and educational duties and services to be performed on behalf of the District during the
period of January I tluough December 31, 2006. The Scope of Services for this Agreement is as hsted
below.
2. Scope of Services. The SRO Program has three components:
a. Basic Servzces (Component A): The City will provide ten (10) SRO's for a period of 12 months.
These personnel will be dedicaYed to the duties of their school assignments. These personnel will not
be removed from the schools, except pursuant to section 6.
b. COPS (7niversal Hirang Program (Component B): The Cify will provide two (2) additional SRO's for
a period of 12 months whose posihons originated with funding from the COPS (Community Onented
Policing Services) Grant Program. These personnel will not be removed from the schools, except
pursuant to secuon 6.
c. PAL program (Component C): The City will use the services of three (3) SRO's from the end of the
regulaz school yeaz (June 14, 2006) hll the start of the next school yeaz (September 5, 2006) for the
operation of the Police AUiletic League (PAL) program which will be operated for the benefit of
students m the St. Paul Schools.
Term of Agreemen[. This Agreement will cover the period of January 1, 2006 through December 31,
2006, inclusive.
4. Condition of Employment All services and duties perfonned by the assigned Officers will be within
the course of employment by the City. O�cers, as City employees assigned under the Agreement,
will remam employees of the City and, therefore, aze covered by the City's Workers Compensation
Program, will be paid by the City, and are entitled to all benefits provided by their employer. Officers
assigned under the Agreement will be expected to abide by and aze govemed by the rules and
regulations of the City.
5. Indemnifica6on and Hold Harmless. Each party will indemnify and hold harmless the other party
for actions and representarions made by its own employees, officials, agents and representatives, which
occur in the performance of the terms of this Agreement or their employment duties and the results
thereof to the extent au[horized by law and shall not be responsible for the acts and/or omissions of the
other party or that party's employees, officials, agems or representatives and the results thereof. The
liability of the parties shall be limited and governed by provision of the Minnesota Torts Clazm Act,
Minnesota Statutes Chapter 466, et esq., and other applicable law.

6. Performance. Both pazties accept full responsibility for performance of rhe duties outlined herein but
neither the City nor the District shal] be held responsible for non-performance of iu duties or
responsibiliries under this Agreement if the party's performance was prevented by acts or events
beyond the party's reasonable conirol, including but not limited to: severe weather and storms,
earthquake or other natural occurrences, strikes and other labor unrest, power failures, electncal power
surges or cuirent fluctuations, nuclear or other civil or military emergencies, or acts of legislahve,
judicial, executive, or administiative authoriries. Additionally, each SRO will remain under the City's
direction and control, and will be subject to police emergency recalls for service, activation of any
Tactical Alert throughout the Ciry, and/or as officer necessiries arise elsewhere in the City. Emergency
recalUtacrical alertlofficer necessity decisions are within the Ciry's disczetion and are not sub7ec[ to
question or liability under this Ae eement.
Data Privacy. The City and Dishict agree to abide by Minnesota Statutes (Minnesota Govemment
Data Practices Act) as well as any other applicable federal, state, and local laws and ordinances.
8. Changes.
a. The Ciry or District may requesT changes that would increase, decrease, or otherwise modify the Scope
of Services. Such changes and methods must be agreed to and authorized in writing in advance by the
District and City. Any alteranons, amendments, deleuons or waivers of the provisions of this
Agreement shall be valid only when reduced to wriung and duly executed by the parties.
b. It is understood and agreed that this entire Agreement supercedes any and all oral agreements and
negotiations between the parties relating [o the subject matter herein.
c. If the School District wishes to increase the number of officers, the Ciry may honor such a request at
its sole discretion. The School District will fund the total program costs of the additional officers,
unless otherwise agreed to in writing by the parties.
Miscellaneous.
a. Any failure of a party to assez't any right under this Agreement shall not constitute a waiver or a
temunation of that right, this Agreement, or any provisions of this Agreement.
b. If a court or govemment agency with propez junsdiction detexmines that any provision of this
Agreement is unlawful and rules such provision void, the balance of this Agreement shall remain intact
and in full force and effect.
c. This Agreement shall be interpreted and consh according to the laws of the State of Minnesota. All
litigation related to trris Agreement shall be venued in the Distnct Court of the County of Ramsey,
Second Judicial District, State of Minnesota.
d. The School District may conduct a study and analysis of the'u dmg prevention efforts and the
enforcement duties at the schools. The Ciry shall have an active and participatory role in any of these
studies.
10. Payments and Biltings.
a. The City will bill the District for reimbursement as oudined herein for the costs of the SRO Program.
All bills will be paid according to the terms of the Minnesota Prompt Pay Law (35 days).
b. For the School DistricYs budgeting puiposes, in September of each year, the City will provide an
estimate of the costs of the SRO program for the following yeaz. The estimated costs for 2006 have
been identified and aze as stated in attached Exhibit A. The city will similazly provide cost esrimate of
services for the following year each September but providing this estimate does not create an
agreement for the following yeaz

a In all cases, actual costs and not a budget esrimate will forcn the basis for reimbucsement billings to the
School District. If at any time during the period of tlus contract, the City estimates, or has reason to
believe, that the fmal contract billing will exceed their original estimate by 10% or more, they shall
promptly notify the District in writing. The District or the City shall have the option of suspending this
progam for the balance of that school yeaz, but such suspension will not affect the annual renewal of
ttns contract, as specified herein.
11. Termination.
a. In the event that the SRO program is eliminated for any reason, this agreement will automatically
terminate. At that point, services will be billed and paid for the time the program was in effect and
police personnel provided. A new agreement must be executed prior to the resumption of the SRO
prograzn.
b. If either pariy wishes to termmate this agreement, it may do so by providing 60-day written notice to
the other party, unless otherwise provided herein. Termination may occur according to a schedule
mutually agreed upon in wnting by both parties.
