Except the westerly 100.00 feet thereof, the northerly 100.00 feet of
Block 3, Lexington Park Plat 11; and
WHEREAS, on May 5, 2004 Council approved CF#04-497, which vacated the City's
interest in said property and provided for the disposition of the properry through Chapter 51
of the Administrative Code, subject to conditions outlined in CF#04-497; and
WII�REAS, after considering bids for said property, a determination has been made as to
the process for which said property is to disposed of; so
THEREFORE BE IT RESOLVED, that the proper City Officials are hereby directed to
convey the property described above to ERS Development, LLC as outlined in the attached
Purchase Agreement; and
F'URTHER RESOLVED, any residential development of the above-mentioned property
will limit the number of living units to four or less.

12. Conveyarice shall occur within � days following execution of this Purchase Agreement, at which
tnne the titie to the premises shatl be conveyed to the seller. The Closing date may be postponed and
rescheduled by mutuaJ agreement of the parties hereto. The seller shall pay all recorc3ing costs
13. Seller shaII provide an affidavit on the date of closing, indicating that, to the best of its knowledge,
the Seller has not used or permitted the use of the subject property as a hazazdous waste disposal
facility as defined in section 115A.03 Subd. 10 of Chapter 121 of the Laws of Minnesota of 1983,
and that thera is no basis to conclude that this property has been subject to or contaminated by the
release of any hazardous substance, hazardous waste, pollutants of contaminants as defined in
Section 115B.02 ofthe Minnesota Statutes.
14. All warranties and representations made in this Purchase Agreement shall survive the ciosing and
the conveyance oftitle to the property. This Purchase AgreemenY and ali obligations provided shall,
to the exteni not iuliy satisfied and performed by or through the C2osing, survive the closing and the
conveyance of title to the property.
15. This Agreement is subject to approval by the St. Paul City Council.
