THIS AGREEMENT made and entered into this day of , 1965, by and bettiaeen �he Chicago and North ' t��ies ern Railti�ray ompany, hereinafter called "Railway Company", and the City of Saint Paul, a munici�al corporation, State of Minnesota, hereinafter called "Ci�y" . • UJITNE5SETH: WHEREAS, �he City desires to extend Harbor Street across �Ehe track and righ� of way of the Railti�ray Company at a point within �he northwest one-quarter (Nt�J�) of the northwest one-guarter .(NG�u) of Section 7, Township 28 Nor�h, Range 22 ti�des�, 3n the Ci�y of Saint Paul, Minnesota, as indicated on attached prin'� dated July 17, 1g6�-, marked 'F:xhibit "A", and . GJHEREAS, the Railway Company vrill d�rive no benefit Urhatever from the openin�; or extension of said public thoroughfare, but the City and its inhabitants tioi11 derive substan�Cial benefits therez"rom and City is willing to assume all of the exp�nsea and costs of the creation and o�pen3.n� of said crossin�, including a7.1 expenses neces- sitated to Railway Company as a consequence thereof, except that �he Rail�,�ay Company at its expense will furnish the flange rail and track spikes, and ti��FiEREAS, the Ci�y has entered condemna�Cion proceedings for the eighty-foot s�rip of land across Railtaay Company right of t+�ay tiaith the award of damages representin� land value only amountin� to �2,3�0.00; NOW, THER�'ORE, in consideration-of the premises and mutual � covenants herein contained, the parties hereto agree as follows : . _� 1 . The Railwa� Company consents �o the opening of said Ha.rbor Street in the loca'�ion as described and as shown on said Rxl-�ib�i t nA„ � 2. The City at i�s expense shall furnish all necessary ma.terials and labor to perform al]. grading and road surfacing, includ- ing that portion lying within the track zone, and shall install and maintain thereafter all drainage structures as may be required. The City at its expense shall also clear, and keep cleared, Railiraay Company property on the Water Street aide of Railway Company track of trees and brush i'rom the High Bridge or Smith Avenue on the west (approxi- mately 500 feet Urest of Harbor Street) and the dike closure structure on the east (approximately 600 feet eas� of Harbor Street). • 3. The RailU�ay Company shall by its own forces install crushed rock and flange rail.s in its track to receive �he street surfacing and install crossin� signs; and the City shall reimburse the Railvaay Company for the full expenses incurred by the Rail�vay Company for the furnishing of labor and materials in connection there- �, with, except, hovaever �Chat the Railway Company will bear the material ' expense of �he flan�e rails . It is unders�ood and agreed that �his agreement and . � , the� condemnation is for highVaay purposes only and for no other pur- poses . In the even� the City should ever discontinue use of the Ra.ilway Company's property covered by this agreement as a public highway, �he proper�y affec�ed by �he same shall be restored to the Railway Company free and clear of any claims by the City. 5, The Railway Company, together with its officers, . agen�s, tenants or employees shal7. be, by the City, saved harmless from. and indemnified against �.ny loss or dama.ges of any kind incident to or arisin.g in any way out of �he occupancy and use of the property of the Railway Company by men, material or equipmenti of the City or on behalf of the C3.ty 3n connection with any labor or material. to be furnished, under this agreement, by the City. 6. Upon completion of �he crossin� and �he placing of same into operation, �he Railroad shall thereafter ma.intain the surface of the roadway within the limits of the ends of the rai1. ties, and the C3.ty shall. thereafter maintain all other highvaay facilities, including drainage, street approaches �o the crossings, and road surfacing outside the track zone. 7. The City, by acceptance of this agreement, agrees that as additional consideration for the accep�ance of this agreement by the Railroad, it will pay to the Railroad an amoun� equal to the amount paid by the Railroad under any spec3.al tax or special assess- men� in connection with or on accouni; of �he construc�ion, maintenance, renovation, improvement, or replacement of the improvement described herein. 8. It is mutually understood, s�ipul.ated and agreed �hat, when opened, said crossing �aill present the hazards ordinarily to be encountered 3.n' any railroad-highway grade crossing; but tha'� there are no excep�ional or unusual hazards to be anticipa�ed; and that for the present and for the foreseeable future there is no necessity for, nor desirabi.lity of, any ex�raordinary crossing pro- tection by any manual or automatic signals, bells, gates, flagm�n, or separation of grades . Nevertheless, it is further agreed that in the event that at any time in the future any such special pro- tection at said crossing shall be required by any lawful authori�y, ' or any removal of emban�n.ents or structures in the vicinity of the crossing shall be required, �the City wi7.l assume the entire cost of the doing, furnishing and maintenance of �he same, or wi11 relieve the Railway Company from �he same in i�s entirety. 9. The City shall �apply to th� Minnesota Ra.ilroad and Warehouse Commission, or o�her proper authori�y if required, for authority to open and maintain such crossing; and the Railway Company consen�s to the making of an order by said Commission authorizing the opening of said crossing. It is understood and agreed that if and when so authorized, the same shall be upon the conditions specif3ed in this agreement and in �he condemnation proceed3.ngs . 10. This agreement is executed by the City of Saint Paul pursuant to the authority granted by Resolution of the Council of the City of Saint Paul, Minnesota, adop�ed , � a certified copy of� which is attached hereto and made a part hereof.
