as part of the 1Tational Sys�em of Interstate and Defense Highways, said plans -
being designated as State Project No. 6280-97; and �
jv'I�REAS, the construction of said trunk highway necessitates the relo-
cation of said fire alarm facilities and it is desired that the above work be
performed by the City, wi.th the State reimbursing the City for costs incurred by
the Citf as hereinafter set forth. ' �

division 2 provides:
���;rhenever the Commissioner o� Hight�rays shall de�ermine that the relocation
of any utility facility is necessi'��ated by the construction of� a project on the
routes of rederally-aided State trunk highv�ays, including urban extensions thereof,
� ti�rhich routes are included within the Dlational Syster� of Tnterstate "r�ight��ays, the .
otimer or operator of such utility faci.lity shall relocate the same in accorciance wi.th
the order of the Commissioner. After the completion of such relocation, the cost
� thereof shall.be ascertained and paid by the State out of trunk hight•ray funds;
provided, hotti*ever, the amount to be paid by the State for such reimburser�ent shall
not exceed the amount on which the Federal Government bases its reimbursement
for said Interstate System��, and •

(a) The City shall relocate i-ts Fire and Police Al.arm Faci1 ities
presently inplace along the route of Trunk �light•ray35E betwecn Farrington Street
and Cedar Street suUstan-tially in accordance with Exhibit "B", a��;ached hereto �
and made a part hereof. Said Lxhibit "B" shotirs the apvroximate location of the
t:Tor1c to be performed by the City hereunder. The Ci�y shall perform said �rork
t,rith its ovm forces, and shall furnish all labor, material and eauipment required
in connection therev�.th,

It is understood that the City shall coordinate i-ts work tirith the iror�c
to be done by the Statc's Contractor, and shall cooperate wi.th hi.m to the end
that �he t•:ork of both V�ill proceed in an orderly and�expecL.tious ma:iner.
(b) The City sha11 obtain a nermit from -the Sta�e �o perform. ar�y work
u?�on the -trunk highway right o� tiray. Application for such pErmit shall be made
�o the said District Engineer on ��Application for Utility Permit" form Tlo. 2525•

The statement to be furni.shed by the Ci�y shall shovr the ac-tual cost
of perfor�-,ing the work referred to in Articl.e II. . I� is conter�plated tha-t the
Federal Gove�^n�ent tiri1.1 reimburse the State in �he amount of 90 percent of the
relocation costs paid by the Sta�e to �he City. The actual cost of such relocation
shall be de�Er:nined by the State and -the cost thereof shall be paid by the State
out of trunlc hight,ray funds, provided, however, -the amount to be paid by the State
�or such relocation shall not exceed the amount on which the Federal Government

araount upon which i't t•ri1.l base its reimbursement to the State. It is further

expressly understood that in the event that any amount paid by the State is in
excess of the amount upon which the Federal Government bases its reimbursement,
. the City, upon notice from the State, shall forthv�rith pay over to the State the

The cos� of relocation provided fo-r in the preceding paragraph sha].l
mean �he amoun� paid by the City prope��� attributable to such relocation after
deductin� therefrom ar�y be�terment of the r�w facility, ar�y increase in value, ,
i.ncluding but not limited to credit for ex�ended service life, and any salvage
value derived fror� the old facility being relocated.
It is unders-tood and agreed that the utility relocations provided for
herein tirill not ex�end �he useful service befond the -time when the ovorall '
facilities o� �inich they are a part will remain in service.
All acti:al and related indirect costs of the City shall be accur�ulated .
in accordance ��ith its established accounting procedures. The City shall keep � ,
its records of t•rork nerformed and costs and expenses �incurred i.n accordance t•rith
said iolicy and Pm cedure r�emorandum 30-4, in such r►anner that said accounts may be
readily audited. The �rork to oe pzrformed by the City shall be under the �eneral
su�rvision of said District En�ineer, and shall be ;oerformed to his satisfaction

Statements submitted by the G�.ty to the State for payment for work

.performed hereunder sha11 be in se.ptuple and contain thereon a certification by a
res,ponsible City officiel to the effect that all of the 3tems therein are true az�d-
correct and have been expended upon the work ,performed under the provisions of
this agreemerrt.
It is estimated that the cost of work to be performed hereunder ia in
the sum of �510.OS as set forth in the attached statement designated as Exhibit "A".
. In the event it a.ppears at ar�y time that suoh cost will exceed said sum� the City
� shall prompt�y notify the Utilities Eng3neer of the De.partment of Highways
thereof in order that the State may encumber such additional f`unds as may be
deemed necessary. ' 1�II ` �
In the performance of the aforesaid relocat3on work, the City, for itseJ.f,
3ts assigns and successors in interest, agrees to comply with all the nondiscrim3.nation
• provisions set forth in Appendix ��A" attached hereto and made a part hereof.
For the .purpoaes of the aforesaid Appendix "A", the word "Contractor" shall
be taken to mean "City" as used herein. ,
VIII
The City indemnifies, saves and holds harmless the State and all of its
agents and employees of any frnm any and al1 claims, demands, actions or causes of
action of whatsoever nature or character arising out of or by reason of the execution
or .per�ormance of the work to be ,performed by the City .provided for herein and

further agrees to defend at its own sole cost•:and expense anQr action or proceeding �
commenoed for the pvrpose of asserting enp clai.m of whatsoever oharacter ar3.sing
. hereunder by virtue of the execution or performance of the taork to be .performed
by the City as provided for herein.

- � APPENDIX A
Non-Discrimination Provisions of Tltle VI of the Civil Rights Act of 1964.
During the performance of this contract, the contractor, for itself, its assignees and successors in
interest (hereinafter referred to as the "contractor"), agrees as follows:
(I) Comuliance with Re4ulations: The con�ractor will comply with the Regulations of the
Department of Commerce relative to nondiscrimination in federally-assisted programs of
the Department of Commerce (Title 15, Code of Federal Regulations, Part 8, hereinafter
referred to as the Regulations), which are herein incorporated by reference and made a
part of this contract.
(2) Nondiscrimination: The contractor, with regard to the work performed by it after award
and prior to completion of the contract work, will not discriminate on the ground of
race, color, or national origin in the selection and retention of subcontractors,
including procurements of materials and leases of equipment. The contractor will not
. participate either directly or indirectly in the discrimination prohibited by Section 8.4
of the Regulations, including employment practices when the contract covers a program set
forth in Appendix A-II of the Regulations.
(3) Solicitations for Subcontracts. Includin4 Procurements of Materials and Eauipment: In all
�oticitations either by competitive bidding or negotiation made by the contractor for work
to be performed under a subcontract, including procurements of materials or equipment,
• each potential subcontractor or supplier shall be notified by the contractor of the contrac-
tor's obligations under this contract and the Regulations relative to nondiscrimination on
the ground of race, color or national origin.
(4) Information and Reports: The contractor will provide all information and reports required .
. by the Regulations, or orders and instructions issued pursuant thereto, and will permit
access to its books, records, accounts, other sources of information, and its facilities
as may be determined by the State Highway Department or the Bureau of Public Roads to be
pertinent to ascertain compliance with such Regulations, orders and instructions. Where
any information required of a contractor is in the exclusive possession of another who
fails or refuses to furnlsh this information, the contractor shall so certify to the State -
Highway Department, or the Bureau of Public Roads as appropriate, and shall set forth what
•efforts it has made to obtain the information.
(5) Sanctions for Noncompliance: In the event of the contractor's noncompliance with the
, nondiscrimination provisions of this contract, the State Highway Department shall impose
such contract sanctions as it or the Bureau of Public Roads may determine to be appropriate,
including, but not limited to, '
, (a) withholding of payments to the contractor under the contract until the contractor
complies� and/or
, (b) cancellation, termination or suspension of the contract, in whole or in part.
(6) Incoraoration of Provisions: The contractor will include the provisions of paragraph
(I ) through (6) in every subcontract, including procurements of materials and leases of
equipment, unless exempt by the Regulations', order, or instructions issued pursuant
thereto. The contractor will take such action with respect to any subcontract or procure-
ment as the State Highway Department or the Bureau of Public Roads may direct as a means
of enforcing such provisions including sanctions for noncompliance: Provided, however,
that, in the event a contractor becomes involved in, or is threatened with, litigation
with a subcontractor or supplier as a result of such direction, the contractor may request
the State to enter lnto such litigation to protect the interests of the State, and, in
addition, the contractor may request the United States to enter into such litigation to
protect the interests of the United States.
