Between the City of Saint Paul and Amherst H. Wilder Foundation
THIS AGREEMENT, made and entered into this 1 day of October, 2006, by and between the
City of Saint Paul, Minnesota, a municipal corporation under the laws of the State of Minnesota,
hereina$er referred to as "City," and Amherst H. Wilder Foundation, whose address is 1295
Bandana Boulevazd North, Suite 21Q, Saint Paul, Minnesota 55108, hereinafter referred to as
"Consultant."
The City and Consultant, in consideration of the mutual terms and conditions, promises,
covenants, and payments hereinafter set forth, agree as follows:
SECTION 1. Scope of Services
Consuitant agrees to provide evaluation consultation services for the Saint Paul Police
DepartmentlMAS-SPIP Grant as described in its proposal dated May 24, 2006 and incorporated
herein by reference as Attachment A. The specific tasks, deliverables, time lines, etc. that make
up these services are as follows:
A. Goal 1: Develop a written evaluation plan and logic model including outcome targets.
B. Goal 2: Assist in the implementation of the evaluation plan and train program staff on
the proper use of evaluation instnunents and tools.
C. Goal 3: Assist the SPPD-MAS-SPIP Partnership to analyze the report on the final
evaluation results.
SECTION 2. Time For Completion
A. The services rendered by Consultant shall be commenced upon execution
of the Agreement and notificarion by the City to proceed and will be completed in
accardance with the schedule mutually aa upon with the City. Contract shall commence
on or about June 15, 2006 and run through September 30, 2008.
B. Consultant shall not proceed with any task without specific authorization from the Project
Manager designated by the City.
C. In the event that there are delays caused by actions of the City or which may be reasonably
requested by the Consultant which can change the completion date, Consultant shall request
an extension of time for completion of the proj ect. The Proj ect Manager will review the
request and may grant to the Consultant such extensions of contract time as may be
reasonable.
SECTTON 3. Billings and Payment
A. That for ConsultanYs faithful performance of this Agreement, the City hereby agrees to
compensate Consultant in the amount(s) and according to the schedule that follows.
1. Goal 1: $3,000
2. Goal2: $5,000

B. The above amounts shall fully compensate Consultant for all work and associated costs. The
City will honor no claim for services and/or costs provided by the Consultant not specifically
provided for in this Agreement. Total costs for the project shall not exceed $12,000.00.
C. Consultant shall submit an itemized invoice upon completion of each Goal. Upon receipt of
the invoice and verification of the charges by the Project Manager, the City shall make
payment to Consultant within tliirty (30) days.
D. In the event the Consultant fails to comply with any terms or conditions of the contract or to
provide in any manner the work or services as agreed to herein, the City reserves the right to
withhold any payment until the City is satisfied that conective action has been taken or
completed. This option is in addition to and not in lieu of the City's right to termination as
provided in the sections of this Agreement.
SECTION 4. Project Management
A. The City requires the Consultant to assign specific individuals as principal project members
and to assure that the major work and coordination will remain the responsibility of these
individuals during the term of the Agreement. Removal of any principal project member
without replacement by equally qualified individuals or without the prior written approval of
the City is grounds for termination of the Agreement by the City. ConsultanYs principal
project members are:

B. The City has designated Robert Thomasser, Sergeant, St. Paul Police Deparrinent as the
Project Manager for this Agreement, and the individual to whom all communications
pertaining to the Agreement shall be addressed. The Project Manager shall have the authority
to transmit instrucrions, receive information, and intexpret and define the City's policy and
decisions pertinent to the work covered by this Agreement.
SECTION 5: City Responsibilities
A. The City agrees to provide Consultant with access to any information from City documents,
staff, and other sources needed by Consultant to complete the wark described herein.
SECTION 6. Work Products, Records, Dissemination of Information
A. For puiposes of this Agreement, the following words and phrases shall have the meanings set
forth in this section, except where the context clearly indicates that a different meaning is
intended.
"Work product" shall mean any report, recommendation, paper, presentation, drawing,
demonstration, or other materials, whether in written, electronic, or other format that results
from Consultant's services under this Agreement.

`Supportzng documentation" shall mean any surveys, questionnaires, notes, research, papers,
analyses, whether in written, electronic, or in other format and other evidences used to
generate any and all work performed and work products �enerated under this A�
"Business records " shall mean any books, documents, papers, account records and other
evidences, whether written, electronic, or in other forma, belon�ing to Consultant and
pertaining to work performed under this Agreement.
B. All deliverable work products and supporting documentation that result from the Consultant's
services under this Agreement shall be delivered to the City and shall become the property of
the City after final payment is made to the Consultant with no right, title, or interest in said
work products or supporting documentation vesting in Consultant .
C. The Consultant a�ees not to release, transmit, or otherwise disseminate information
associated with or generated as a result of the work performed under this Agreement without
prior knowledge and written consent of the City.
D. In the event of termination, all documents finished or unfinished, and supporting
documentation prepared by the Consultant under this Agreement, shall be delivered to the
Caty by Consultant by the termination date and there shall be no further obligation of the City
to Consultant except for payment of amounts due and owing for wark performed and
expenses incurred to the date and time of temiination.
E. The Consultant agrees to maantain all business records in such a manner as will readily
conform to the terms of this Agreement and to make such materials available at its office at all
reasonable times during this Agreement period and for six (6) years from the date of the fmal
payment under the contract for audit or inspection by the City, the Auditor of the State of
Minnesota, or other duly authorized representative.
F. Consultant agrees to abide strictly by Chapter 13 ,Minnesota Government Data Practice Act ,
and in particular Minn. Stat.§§ 13.05, subd. 6 and ll; and 13.37, subd. 1(b) and Minn. Stat §§
138.17 and 15.17. All of the data created, collected, received, stored, used, maintained, or
disseminated by the Consuitant in performing functions under this Agreement is subject to the
requirements of the Minnesota Government Data Practices Act and Consultant must comply
with those requirements as if it were a governmental entity. The remedies in Minn. Stat. §
apply to the Consultant. If any provision of this Agreement is in conflict with the Minnesota
Government Data Practices Act or other Minnesota state laws, state law shall control.
SECTION 7. Equal Opportunity Employment
A. Consultant will not discriminate against any employee or applicant for employment for work
under this Agreement because of race, creed, religion, color, sex, sexual ar affectional
orientation, national origin, ancestry, familial status, age, disability, marital status, or status
with regard to public assistance and will take affirmative steps to ensure that applicants are
employed and employees aze treated during employment without regard to the same.
This provision shall include, but not be limited to the following: employment, upgrading,
demotion, or transfer; recruihnent advertising, layoff or termination; rates of pay or their
forms of compensation; and selection far training, including apprenticeship.

SECTION 8. Compliance With Applicable Law
A. Consultant agrees to comply with all federal, state, and local laws or ordinances, and all
applicable rules, regularions, and standards established by any agency of such governmental
units, wluch are now or hereafter promulgated insofar as they relate to the ConsultanYs
performance of the provisions of this Agreement. It shall be the obligation of the Consultant
to apply for, pay for, and obtain all pemuts and/or licenses required.
SECTION 9. Conflict of Interest
A. Consultant agrees that it will not contract for or accept employment for the performance of
any work or services with any individual, business, corporation, or government unit that
would create a conflict of interest in the performance of its obligations pursuant to this
Agreement with the City.
B. ConsultanYs acceptance of this Agreement indicates compliance with Chapter 24.03 of the
Saint Paul Administrarive Code: `Bxcept as permitted by law, no City official or employee
shall be a party to or have a direct financial interest in any sale, lease, ar contract wath the
City."
C. Consultant agrees that, should any conflict or potential conflict of interest become known,
Consultant will advise the Purchasing Systems Manager of the situation so that a
determination can be made about Consultant's ability to continue performing services under
the Agreement.
SECTION 10. Tnsurance
A. Consultant shall be required to carry insurance of the kind and in the amounts shown below �;�,�
for the life of the contract. Insurance certificates should state that the City of Saint Paul, its �
employees and officials are Additional Insureds.

2. Worker's Compensation and Emplover's Liability
a) Worker's Compensation per Minnesota Statute
b) Employer's Liability shall have minimum limits of $500,000 per accident;
$500,000 per employee; $500,000 per disease policy limit.
c) Contractors with 10 or fewer employees who do not have Worker's
Compensation coverage are required to provide the City with a letter verifyin� their
number of employees.

General Insurance Requirements
a) The policy is to be written on an occurrence basis or as acceptable to the City.
Certificate of insurance must indicate if the policy is issued on a claims-made or
occurrence basis. All certificates of insurance shall provide that the City's Division
of Contract and Analysis Services be given not less than thirty (30) days prior
written notice of cancellation, non-renewal or any material changes in the policy;
including, but not limited to, coverage amounts. Agent must state on the certificate
if policy includes errors and omissions coverage.
b) The Consultant shall not commence work until a Certificate of Insurance
covering all of the insurance required for this project is approved and the project
manager has issued a notice to proceed. Insurance must remain in place for the
duration of the original contract and any extension periods.
c) The City reserves the right to review Contractor's insurance poJicies at
any time to verify that City requirements have been met.
d) Nothing shall preclude the City from requiring Contractor to purchase
and Provide evidence of additional insurance.
e) Satisfaction of policy and endorsement requirements for General Liability and Auto
Insurance, of "each occurrence" and "aggregate" limits, can be met with an
umbrella or excess policy with the same minimuxn monetary limits written on an
occurrence basis, providing it is written by the same insurance carrier.
SECTION 11. Independent Contractor
A. It is agreed by the parties that, at all times and for all purposes within the scope of the
Agreement, the relationship of the Consultant to the City is that of independent contractor and
not that of employee. No statement contained in this Agreement shall be construed so as to
find Consultant an employee of the City, and Consultant shall be entitled to none of the
rights, privileges, or benefits of Saint Paul employees.
SECTION 12. Subcontracting
A. The Consultant agrees not to enter into any subcontracts far any of the work contemplated
under this Agreement without obtaining prior written approval of the City.
SECTION 13. Hold Harmless
A. The Consultant shall indemnify, save and hold hannless, protect, and defend the City, its
officers, agents, and employees from all claims, actions or suits of any character brought for
or on account of any claimed or alleged injuries or damages received by any person or
property, including the City, resulting from any act or omission by any person employed by
Consultant in carrying out the ternns of this Agreement.

SECTION 14. Assignment
A. The City and the Consultant each binds itself and its successors, legal representatives, and
assi�s of such other party, with respect to a11 covenants of this Agreement; and neither the
City nor the Consultant will assign or transfer their interest in this Agreement without the
written consent of the other.
SECTION 15. Termination
A. Tlus Agreement will continue in fuil force and effect until completion of the project as
described herein unless either party terminates it at an earlier date. Either party to this
A�eement may terminate it by giving no less than thirty (30) days written notice of the intent
to terminate to the other party.
B. With Cause. The City reserves the right to terminate this Agreement if the Consultant violates
any of the terms or does not fulfill, in a timely and proper manner, its obligations under this
Agreement as determined by the City. In the event that the City exercises its right to withhold
payment or terminate under this Section, it shall submit written notice to the Consultant ,
specifying the extent of such withholding ar terminarion under this Section, the reasons
therefore, and the date upon which such withholding or termination becomes effective. Upon
receipt of such notice, the Consultant shall take all actions necessary to discontinue furCher
commitments of funds to the extent that they relate to the terminated portions of this
Agreement.
C. In the event of termination, the City will pay Consultant for all services actually, timely, and
faithfully rendered up to the receipt of the notice of termination and thereafter until the date of
termination. The Consultant will deliver all work products and supporting documentation
developed up to the time of termination prior to the City rendering final payment for service.
SECTION 16: Default by Consultant
A. In the event Consultant fails or neglects to comply with any term or condirion of this
Agreement or to provide the services stated herein, City shall have the right, after written
notice, to cease payment hereunder. This remedy shall be in addition to any other remedies,
including terminarion, available to the City in law or equity. The City shall be entitled to
recover reasonable attomey's fees and costs of collection associated with enforcing its rights
hereunder.
SECTION 17. Amendment or Changes to Agreement
A. City or Consukant may request changes that would increase, decrease, or otherwise modify
the Scope of Services. Such changes and method of compensation must be authorized in
writing in advance by the City.
B. Any alterations, amendments, deletions, or waivers of the provisions of this Agreement shall
be valid only when reduced to writing and duly signed by the parties.
C. Modifications or additional schedules shall not be construed to adversely affect vested rights
or causes of action which haue accrued prior to the effective date of such amendment,
modification, or supplement. The term "this AgreemenY' as used herein shall be deemed to

include any future amendments, modifications, and additional schedules made in accordance
herewith.
SECTION 18. Notices
A. Except as otherwise stated in this Agreement, any notice or demand to be given under this
Ab eement shall be delivered in person or deposited in United States Certified Mail, Retum
Receipt Requested. Any notices or other communications shall be addressed as follows:

SECTION 19. Waiver
A. Any fault of a party to assert any right under this Agreement shall not constitute a waiver or a
termination of that right, this Agreement, or any of this AgreemenPs provisions.
SECTION 20. Survival of Obligations
A. The respective obligations of the City and Consultant under these terms and conditions, which
by their nature would continue beyond the termination, cancellation, or expiration hereof,
shall survive termination, cancellation or expiration hereof.
B. If a court or govermnental agency with proper jurisdiction detenmines that this Agreement, or
a provision herein is unlawful, this Agreement or that provision, shall terminate. If a
provision is so terminated but the parties legally, commercially, and practicably can continue
this Agreement without the terminated provision, the remainder of this Agreement shall
continue in effect.
SECTION 21. Interpretation of Agreement, Venue
A. This Agreement shall be inteipreted and construed according to the laws of the State of
Minnesota. All litigation related to this Agreement shall be venued in the District Court of the
County of Ramsey, Second Judicial District, State of Minnesota.
SECTION 22. Force Majeure
A. Neither the City nar the Consultant shall be held responsible for performance if its
performance is prevented by acts or events beyond the party's reasonable control, including,
but not limited to: severe weather and storms, earthquake or other natural occurrences, strikes
and other labor unrest, power failures, elech power surges or current fluctuations, nuclear
or other civil military emergencaes, or acts of legislative, judicial, executive, or administrative
authorities.

SECTION 23. Entire Agreement
A. It is understood and agreed that this entire Agreement supersedes all oral a�eements and
negotiations between the parties relating to the subject matters herein.

Proposal to the St. Paui Police Department to provide
evatuation consultation
Statement of goals and objectives
If selected as the contractor, Wilder Reseazch will develop a logic model including outcome
tazgets and evaluation plan for the SPPD-MAS-SPIP Partnerslup and provide your organization
with the necessary tools and training to implement the evaluation plan. In addition, we will
develop evaluation tools and create a feasible timeline that will enable the St. Paul Police
Depariment and its collabararive parmers to implement the evaluation plan by September 2006.
Then, Wilder will provide technical assistance during the evaluarion implementarion (and we
have the capacity to facilitate focus groups, provide notetaking at focus groups or other meetings,
and to conduct interviews with participants or service recipients, although these direct evaluation
tasks are not included in the initial budget for this project.) Finally, Wilder will work with
program staff and the Steering Committee to compile and report on all data collected during the
evaluation process. This evaluation consultation servlce has the following goals, objectives,
costs, and timeline:
Goall: Develop a written evaluarion plan (including impiementation guidelines) and logic
model including outcome targets. (cost $3,000)
Objective 1: Wilder staff will meet with Steering Committee (and program staff as
needed) to review program activities and develop a logic model with outcome targets.
Wilder will deliver a draft logic model based on the granY application to facilitate this
discussion; the outcome tazgets will be determined through discussion with program staff
and the Steering Committee. Wilder will revise the logc model and incorporate the
outcome targets based on feedback from the Steering Committee
Objective 2: Wilder staff will meet with the Steering Committee (and program staff as
needed) and use the finalized logic model to develop an evaluation plan. Wilder staff will
prepare an evaluation plan including surveys and other evaluation tools. Wilder will
submit draft materials to the Steering Committee for review and will finalize the
instruments after incorporating feedback from the Steering Committee.
Goa12: Assist in the implementation of fhe evaluation plan and train program staff on the proper
use of the evaluation instruments and tools. (cost $5,000)
Objective 1: Wilder will meet with the program staff to review the evaluation plan and
instruments/tools (developed in Goal 1). Wilder will provide training (up to 2 half-day
sessions as needed) on how to implement the plan and urilize the evaluation instnunents.

Objective 3: Wilder will attend Steering Committee meetings and other prograzn-related
meetings as needed to update the Steering Committee on the progress of the evaluation
and provide other evaluation-related consultation (not to exceed 40 hours.) (on-going
from the contract execution through the end of the grant)
Objecrive 4: Wilder will work with progratn staff to compile evaluation data collected
for the first year of the program. Wilder will analyze the results and prepaze a summary
(in the form of an informal memo) for the program staff and 5teering Committee on the
pro�ress of the evaluafion, both in terms of implementation and also in tezms of progress
toward targeted outcomes. Wilder will present the results and facilitate a discussion with
the Steering Committee to make adjustments as needed to the evaluation plan or program
activities. (completed at the midway point of the �ant)
Goa13: Assist the SPPD-MAS-SPIP Partnership to analyze and report on the final evaluarion
results by June 30, 2008. (cost $4,000)
Objective 1: Wilder will work with program staff to compile all data from the program
evaluation. Wilder will complete data entry and data analysis using bofh qualitative and
quanfitative methods. Wilder staff will meet with the program staff (and the Steering
Committee if appropriate) to discuss the preliminary findings and to deterxnine an
appropriate fo�nat for the final evaluation report, completed by the end of the grant.
Objective 2: Wilder will prepaze a draft evaluation report based on the outline to be
determined by the Steering Committee (Objecfive 1) and addressing the outcome targets
in the logic model. The Steering Committee and program staff will be given an
opporiunity to provide up to two rounds of revisions to the report. Then, Wilder will print
and bind 25 copies of the final report. (If more copies are needed, Wilder will provide
these at our cost, which is typically about $2 to $5 per report.)
Objective 3: Wilder will develop a stand-alone summary (approximately 4 to 8 pages) to
be used for distribution to wider audiences, and especially targeted to the Muslim/East
African community in St. Paul, policy-makers, and funders. Wilder's communicarions
staff will work with the Steering Committee and program staff to design a suirnnary that
is easy-to-read and culturally appropriate. The purpose of the suriunary will be to
illustrate the program's successes and challenges and to info�n about this initiative.
This cost estimate does not include printing, although Wilder provides this service and
will print the summaries at our cost, which is typically $010 to $0.25 per copy.
Objective 4: Wilder will present the results of the evaluation to the Steering Committee
and pmgram staff (or a wider audience, if appropriate).
Therefore, Wilder can complete the project as described above, assuming program staff and
Steering Committee members are able to meet and provide feedback on written products within
the reqnired timeframes, for a total cost of $12,000.

Description of deliverables
Throughout the duration of this study, we will provide consultation to program staff and the
Steering Committee that will help define the paraxneters of the evaluation plan and identify
strategies that will lead to successful implementation and accomplishxnent of the program's
outcome targets. We will meet face-to-face and exchange telephone and email communications
on a regular basis with program staff to ensure full awareness on the progress of the project and
any potenrial challenges, events, or incidents that may affect the project. During this time, we
will also provide feedback to the SPPD-MAS-SPIP Partnership on their efforts to unplement the
evaluation plan. T'he products that will be produced by Wiider during this project (and will
become the propezty of the St. Paul Police Department for future evaluation use) will include:
• A program logic model
■ A written evaluation plan
■ Any surveys or other evaluation tools or instruments created by Wilder for this evaluation
• Any database or other tracking mechanism to help program staff utilize the data gathered
with the evaluation tools (this bid does not include the cost of database soRware)
• Ray data files in SPSS or Microsoft Excel format, if needed
• A mid-grant progress report in the form of an informal memo
• A final evaluation repoft (25 bound copies included)
• A stand-alone summary (no printing included, but we will create a PDF of the docuxnent
at no exira cost)
Organizational background
Wilder Research is the reseuch division of the Amherst H. Wilder Foundation, a large
community-based human services institution located in Saint Paul, Minnesota. Wilder
Foundafion and Wilder Research are comznitted to improving the health and well-being of
Minnesota residents, particulazly those with limited access to resources, and those who face
special challenges in meeting their daily living needs. Our organization has been conducting
community-based research since 1917, when one of our staff inembers conducted a household
study that helped define the initial public health codes for the City of Saint PauL Wilder
Research is highly experienced and committed to research and evaluation that is useful,
culturally competent, cost-effective, confidential, and respectful of individual dignity.
Our long-standing miss:on is to improve Yhe lives of individnals, families, and communities
through health and human services research. As such, Wilder Research has a long history of
developing and implementing best-practices research for both process-oriented and outcomes-

based program evaluations. This expertise is grounded in the evaluarion of the Wilder
Foundation's mulfi-disciplinary services to adults, children, and families. Among the szrvices
Wilder Provides are: children's mental health services, izzunigrant adjustment programs, adult
day health pzograms, home health and visiting nurses program, supported living and other
housing-based community support services, youth leadership, and neighborhood development
programs. Wilder Reseazch evaluates all of these programs. Examples of ouz work, including

organizations upon request.
It should be noted that a11 research conducted by the Wilder Research meets or exceeds industry
standazds regazding ettrical conduct and confidentiality. Only trained staff members whose work
duties directly relate to a a ven project have access to confidential client data for that project.
Strategies aze included in every research pro}ect to protect participants' identiries and to ensure
informed consent for participation. All Wilder Reseazch staff members have received training in
HIPAA standards.
Qualificatioias of key personnel
Greg Owen, Ph.D., Consulting Scienrist
Greg Owen is a Consulting Scientist at Wilder Research where he provides both study direction
and training in the azea of program evaluation and related consultation to direct service
programs. Greg received his Ph.D. in Sociology from the University of Minnesota in 1981 and
has more that 20 years of research and evaluation experience. He also serves as a adjunct
professor of Health and Human Services Administration for St. Mary's University. Greg has
been responsible for directing the Statewide Homeless Study and the Statewide Transitional
Housing study for the Minnesota Housing Finance Departments of Human Services, Economic
Security, Education, and Housing Finance, and advises several of Minnesota's Iniriative
Foundations on evaluation design and implementation. Greg will provide supervisory oversight
for this project.
Nicole Martin, M.P.P., Research Associate
Nicole received her Master's de�ee in Public Policy from the Hubert H. Humphrey Institute of
Public Affairs at the University of Minnesota and is currently a Ph.D. student in Sociology at the
University of Minnesota. Nicole is a Research Associate with Wilder Research. She has
experience doing a variety of studies, including literature reviews, evaluation design, data
analysis, and collection and synthesis of original information. She is affiliated with the White
Earth Band of Ojibwe and has experience doing research on American Indian popularions and
other communifies of color. Nicole is currently working on a lazge tobacco study funded by the
Nlinnesota Partnership for Acrion Against Tobacco {MPAAT) focusing on reducing the hazm
tobacco causes in West African communities in Minnesota. She also desigped and implemented
a child care needs assessment in the predominantly East Afiican community in the Cedar-
Riverside neighborhood in Minneapolis for Children's Home Society and Family Services.

Nicole will be involved in all stages of this project and will lead the evaluation design,
implementation and reporting processes.
Karen Ulstad, B.�i., Survey Analyst
Karen has her Bachelor's de�ee in political science from the University of Minnesota. She has
heen with Wilder Reseazch since 1986. Kazen offers significant expertise in the design, review,
and testing of survey instruments and other evaluation tools and has expertise in quality
assurance. New interviewers receive their basic training from Kazen, who brings over 16 yeazs
of experience in telephone and face-to-face interviewing, as well as other data collection
methods. Karen will be responsible for reviewing all evaluation tools designed for the Aisn High
grant as well as participating in the trauung of Aim High program staff.
