COOPERATIVE AGREEMENT
SUPPLEMENT NO. 2
THIS SUPPLEMENTAL AGREEMENT made and entered into by and between the
State of Minnesota, Department of Highways, hereinafter referred to as the
X
"State ", and the City of St. Paul, Minnesota, acting by and through its City
Council, hereinafter referred to as the "City",
!I WITNESSETH:
WHEREAS the State and the City did enter into an agreement dated October
25, 1964 (numbered Minnesota Highway Department Agreement No. 54328) and a
supplement thereto dated August 3, 1965, whereby the City agreed to construct
under contract a City sewer project designated by the City as the "St. Anthony
Park Storm Water Relief Sewer System - Contract A" (City Project No. 64- S- 460A),
from near Bayless Place and Trunk Highway No. 250 southerly along Trunk Highway
No. 250 to Trunk Highway No. 94 and thence to the Mississippi River, in accordance
with City plans and specifications therefor, hereinafter referred to as the
"Sewer Project "; and

WHEREAS said "Sewer Project" will jointly serve the City and the
State, the State did designate said "Sewer Project" plans and specifications
as State Projects No. 6242 -33 (T.H. No. 280) and No. 6282 -66 (T.H. No. 94),
and did agree to share in tYn cost of constructing said "Sewer Project" as
set forth in said Agreement No. 54328; and
WHEREAS said "Sewer Project" plans provide, among other things, for the
construction of a 54 -inch reinforced concrete pipe storm sewer and a 15 -inch
reinforced concrete pipe sanitary sewer around the site of a proposed bridge at
Eustis Street and Wabash Avenue; and
WHEREAS the State did request the City to construct a manhole on the
54 =inch storm sewer in the vicinity of Wabash Avenue to provide an outlet for
storm water drain connections for Trunk Highway No. 94; and
WHEREAS it is also necessary to construct a drop manhole on the 15 -inch
sanitary sewer at Wabash Avenue to provide a more satisfactory connection for the
existing 12 -inch sanitary sewer in Wabash Avenue in lieu of*the pipe connection
indicated in said plans for said "Sewer Project "; and
WHEREAS it is the desire of the parties to this agreement that said
manholes be constructed by the City's construction contractor, with the State
reimbursing the City for its proportionate share of the additional cost of such
construction as hereinafter set forth.
IT IS, THEREFORE, MUTUALLY AGREED AS FOLLOWS:
I
A storm sewer manhole shall be constructed on the "Sewer "Project" 54 -inch
storm sewer at Wabash Avenue, and a drop manhole shall be constructed on the said
"Sewer Project" 15 -inch sanitary sewer at Wabash Avenue, in accordance with the
City's "Contract Change Agreement" No. 3 to City Project No. 64- S460A, Contract
!.' No. L -6717, with.its construction contractor the Michigan Sewer Construction Co.,

which was signed by the City Chief.Engineer September 30, 1965. Said City
contract change agreement, on file in the office of the City Commissioner of
Public Works at St. Paul, Minnesota and in the office of the Commissioner of
Highways at St. Paul, Minnesota, is made a "part hereof by reference with the
same force and effect as though fully set forth herein.

In addition to payments to be made by the State to the City in accord-
ance with Article VII of said Agreement No. 54328 and Article II of said supplement
thereto dated August 3, 1965, the State shall, upon completion of the "Sewer
Project" in accordance with City plans therefore as modified by Article I hereof,
pay to the City the sum of $633.88 as its full share of the cost of said additional
sewer construction. Said sum of $633.88 represents the State's 40 percent share
of said additional sewer construction cost plus an amount equal to 6 percent
thereof as the State's share of engineering costs incurred by the City in
connection therewith.
It is understood and agreed however, that the amount to be paid by the
State out of trunk highway funds hereunder for work performed in connection with
ii
the portion thereof which is chargeable to Interstate Trunk Highway No. 94, shall
not - exceed the amount on which the Federal Government bases its reimbursement
for such Trunk Highway No. 94 work. It is expressly understood that in the event
that any amount paid by the State in connection with work chargeable to said
Interstate Trunk Highway No. 94 is in excess of the amount upon which the Federal
Government bases its reimbursement, the City upon notice from the State, shall

forthwith pay over to the State the difference in said amount.

In the event it appears at any time that the amount to be paid by the
State to the City hereunder is about to exceed the said sum of $1,029,703.93
because of increases in the estimated quantities of work items, the City
shall promptly notify the District Engineer of the Minnesota Department of
Highways thereof in order that the State may encumber such additional funds
as may be deemed necessary.
III
The City shall without cost or expense to the State obtain all
easements, construction permits and drainage outlet rights that may be
required in connection with the construction to be performed hereunder outside
of the limits of the Trunk Highway rights of way or City streets, and shall
promptly furnish the State with certified copies thereof.
IV
The City indemnifies, saves and holds harmless the State and all of
its agents and employees of and from any and all claims, demands, actions or
causes of action of whatsoever nature o3� character arising out of or by reason
of the changed conditions which made it necessary for the City to construct a
portion of the "Sewer Project" in accordance with the aforesaid City construction

"Contract Change Agreement ", and further agrees to defend at its own sole cost
and expense any action or proceeding commenced for the purpose of asserting any
claim of whatsoever character arising out of such change in construction.

Except as amended and modified herein the terms and conditions of

said Agreement No. 54328 dated October 28, 1964 and the supplement thereto dated
August 3, 1965 shall otherwise remain in full force and effect.
VI
Before this agreement shall become binding and effective, it shall
be approved by resolution of the City Council of said City and shall also
receive the approval of the Federal,Bureau of Public Roads and of such State
officers as the law may provide in addition to the Commissioner of Highways.

WHEREAS, Charles F. Roney ha-s been employed by the City of St.
Paul as a fireman from March 20, 1929, to December 30, 1962; and
WHEREAS, employee contends that he has sustained a personal
injury in the nature of an occupational diseaseIand has retained an
attorney and has commenced a proceeding before the Industrial Commission;
and
- WHEREAS, it is the employer's contention that any disability sus-
tained by employee is the product of degenerative heart disease, not
arising out of and in the course of his employment with the City of
St. Paul;;and
WHEREAS, a compromise settlement has been negotiated between
counsel for the City and counsel for employee, acceptance of -which
is deemed in the best interests of the City, now, therefore, be it
RESOLVED, That the stipulation of settlement negotiated between
the parties, dated December 1, 1965, is hereby approved and that out
of the Workmen's Compensation Account of the General Fund, $9,180.00
representing 204 weeks of compensation at the rate of $45.00 a week
for compensation accrued bretween December 31, 1961, and December 3,
1965, _ be paid Charles F. Roney, for disability resulting from his
injuries sustained while employed by the Department of Public Safety,
Bureau of Fire Protection; that of said -sum, $6,885.00 be paid directly
to Charles F. Roney and the sum of $2,295.00 to his attorney of record,
Gerald B. Forrette; in full satisfaction for all legal services
rendered to December 3, 1965;
FURTHER RESOLVED, That from and after December 3, 1965, Charles F.
Roney be paid compensation benefits at the rate of $45.00 a week until
a maximum payment of $17,500.00 has been reached, said payments to be
made in the following manner;- to the employee, the sum of-`$33.75, and
