PAUL COUNCIL NO OFFICE OF THE CITY CLERK FILE COUNCIL RESOLUTION - GENERAL FORM WHEREAS, It has been found necessary to change, modify and amend certain portions of the plans and specifications heretofore approved for rebuilding the Sheer Fence at the Robert Street Bridge, as approved January 13, 1966, by Council Resolution C. F. No. 226772; now therefore, upon the recommendation o#' the Commissioner of Public Works, be it RESOLVED, That the plans and specifications for the above named improve- ment, as approved by the Council, be and the same are hereby changed, modified and amended in accordance with Addendum No. 1, which is attached to and made a part of this Resolution and of the aforementioned plans and specifications; and that further, all interested parties be notified of this Addendum. I:'I MAS, It is considered mutually desirable that the City undertake the performance of the work hereinafter described, and that the City shall supervise the work to its completion on the basis of the terms and conditions hereinafter set forth. 1`a-1, THEREFORE, it is agreed as follows: I The City shall, with its own forces and equipment, make the following necessary repairs on Mississippi River Bridges Nos. 9036 and 5357 located on Robert Street and on Smith Avenue respectively: (1) Repair damage to Navigational Lights on Robert Street Bridge No. 9036 in accordance with the hereinbefore described plan and detail cost estimate sheets for said work. (2) Repair damage to Navigational tjj-,,hts on Smith Avenue High Bridge No. 5357 in accordance with the hereinbefore described plans and detail cost estimate sheets for said work. II No changes in the plans or the character of the work shall be made by the City without prior written approval of the State. In event such change or changes involve items of work not referred to in Paragraph I, the City and the State shall enter into a supplemental agreement before a of the work is � pp gr any performed covering the division of +i cost of such work between the City and the State. III The City shall furnish all labor, equipment and materials necessary to accomplish the aforesaid work. IV A11 repair work contemplated herein shall be completed during the calendar year of 1966. IMM Maintenance Agreement No. 1135 W The Estimated Cost of all extraordinary maintenance work as outlined in Paragraph I hereof including Engineering Costs is $2,500. In the event that at any time it appears that the total cost of the work shall exceed the estimated cost, l� the City will notify the State's Chief Engineer of the estimated additional cost. The States shall then determine whether to terminate this agreement, or to proceed with the vrork under the new Cost Estimate. In the event that the State decides to terminate, it shall, to the extent and in the manner hereinafter provided, pay the City for all work Cone up to the date of termination. Upon termination or completion of the work the State will pay to the City an amount equal to the actual cost of the work done, plus op of such actual costs, the additional 6% being an allmrance to cover Engineering Costs, including supervision, inspection and incidental expenses. In all events the State's 'liability hereunder shall be limited to $2,500, or, to the amount of any revised cost estimtes which have been approved by the State. VI Payments shall be made by the State upon submission to it by the City of a detailed invoice in triplicate sho:vzng all labor, materials and equipment used on each project enumerated in Paragraph I hereof. Said invoice shall contain a certificate by the City's Chief Engineer to the effect that all items of vrork, labor, material and ex--penses therein are complete, true and correct and were actually, reasonably and necessarily expended by the City in the performance of the work shown therein. The labor costs for which the State will reimburse the City as provided herein i ill. be at the established rates paid by the City at the time the work is performed. Rental for the City ovmed equipment vrill be paid for at the rates established by the City ar_d currently in effect and in use by the City in its a:•m operations at the time the wort: is performed. If it becomes necessary for the City to rent equipment other than trucks, reimbursement by the State to the City vrill be limited to the ar:eount paid to the lo:•rest bidder folloriir_g an appropriate solicitation for quotations from ovmers of the required kind of equipment. - 3 - Maintenance Agreement Tito. 3135 If i,,becomos necessary for the City to rent trucks on a contract basis for work on these projects payment by the State to the City shall be at current rates e.�tablished by action of the City Council'. 2'Mterials used in connection irlth work performed hereunder trill be paid for uy the State at the actual cost thereof to the City where such materials are purchased solely for the project. I-There materials used are taken from City stores or obtained under existing blanket contracts payment will be made by the State at current rates charged by the City. to City street improvement projects. VII The parties do further agree, anything to the contrary herein notwithstanding, 'Vial the Commissioner of High;mys of the State of I- annesota, either in his individual oi- official capacity, shall not be personally responsible or liable in any canner to -,.-he City for any claim, demand, action, or causes of action of any kind or character arising out of or by reason of the execution of this agreement or the negligent performance and completion of the work and improvements provided for herein or arising out of any contract let by the City for the performance of any of the work provided for herein. The City agrees to save harmless the State, its employees, and its Commissioner of Highways from any and all liability arising out of any damages resulting from or claimed to result from the negligence of the City or its employees, contractors or subcontractors, in the performance of this contract and the work provided for herein. VIII Any and all employees of the City while engaged in the performance of any work or services required or provided for herein shall be considered employees of the City only and not of the State, and any and all claims that may or might arise under the Workmen's Compensation Act of the State of Ydnncsota on behalf of said employees while so engaged and -any and all claims made by any third parties as a consequence of any act or omission on the part of said City ermloyees while so engaged on any of the work or services .provided to be rendered herein shall be the sole obligation and responsiVAlity of the City. - 4 - . r ♦ o ` Maintenance Agreement 11o. 1135 IN TESTIMONY M EREOF, the parties have duly executed this Agreement by their duly authorized officers and caused their respective seals to be hereunto affixed.
