WITNESSETH: In considerarion of the muhxal terms and condirions, promises, covenants, and payments hereinafter set forth, the City and Supplier agree to amend contract #02-13312-C as follows: That in consideration of the use of the supplier's vehicle(s) the City agees to pay Supplier for the sum of fifteen dollazs ($ I5.00) per day, per vehicle, to a maacimum of four hundred fifty dollazs ($450.00) per month per vehicle plus all applicable sales tas. This agreement will not exceed forty nine thousand nine hundred dollus ($49,900) during the length of the contract based upon eightlease vehicles per month. For the City: By Chief of Police By Director, Department of Finance By Assistant City Attorney For the Supplier: By Signature AGREEMENT �fj- THIS AGREEIv1ENT, made and entered into this ln day of January 2005, by and between Ron Sason Ford, hereinafter called "Supplier", and the CITY OF SAINT PAUL, hereinafter called "City"; WITNESSETH; IT IS MUTUALLY AGREED BY AND BETWEEN TI� SUPPLIER AND THE CI'I`Y AS FOLLOWS: That at all times Supplier will keep the terms and conditions of this agreement confidential and shall not disclose usages hereunder to inquiries of third parties without prior consultation with the Ciry's liaison hereinafter named. 2. That automobiles fiirnished to the City by the Supplier hereunder shall be for the exclusive use of the City's Police Department and no other persons sha11 make use of such vehicles. That the supplier will have available during regular business hours for the City's use, automobiles of a make and model as may be agreed to by the parties. 4. That in consideration of the use of supplier's vehicle(s) the City agrees to pay Supplier for the sum of fifteen dollazs ($15.00) per day, per vehicle, to masimum of four hundred fifty dollars ($450.00) per month per vehicle plus a11 applicable sales ta7i. This agreement wili not exceed thirry thousand dollazs ($30,000) during the length of the contract based upon the current need of five lease vehicles per month. 5. That the City agrees to save and hoid Supplier harinless from any and all claims arising out of the City's use of vehicles hereunder and shall, additionally, repair at its own expense any damage sustained by the vehicles during the course of City's use, normal wear and teaz excluded, and that in no event shall the liability of the City exceed the limits set forth in MN Chapter 466. 6. That the City shail be responsible for supplying each vehicle rented hereunder with gasoline needed to make the vehicle operational, but no other maintenance obligations shall be the responsibility of the City. That the City will not use any vehicle for a period of more than one yeaz (365 days) without Supplier's consent, but the City reserves the right to request and receive from Supplier a replacement vehicle of a type and make as above- described at any time; time being of the essence in fulfilling requests for replacement vehicles. 8. That the city acknowledges the right of the Supplier to demand the retum of the vehicle rented hereunder upon twenty-four (24) hours' notice to the City and upon such notice, the City will return said automobile. ^ 9. That the use of the vehicle rented hereunder aze for the use of the City's Police "� `�' Department and for the purpose of the administration of this agreement, Commander Todd Axtell, 367 Grove Street, Saint Paul, Minnesota, (651)266-5619 shall be its liaison. 10. That this Agreement may be terminated at any time by the Supplier or the City with a written notice, submitted by either par[y, 30 days prior to the termuiarion date. 11. That the Supplier agrees to change the oil and inspect all such vehicles every 3,000 miles with reasonable advance notice to the Supplier at no cost to the City. 12. That the City will be responsible for ensuring such vehicies aze inspected and maintained by the Supplier every 3,000 miles with reasonable advanced notice to the Supplier. 13. That this agreement shall be in affect for one yeaz unless terminated by either party pursuant to clause 10. 14. That the Suppiier agrees to abide strictly by Chapter 13, Minnesota Government Data Practices Act, and in particulaz Minn. Stat. §§ 13.05, subd. 6& 11 and 1337, subd. 1(b) and Minn. Stat. §§ 138.17 & 15.17. All ofthe data created, collected, received, stored, used, maintained, or disseminated by the private person in performing functions under the Agreement is subject to the requirements of Minnesota Government Data Practices Act and Supplier must comply with those requirements as if it were a government entity.
