05-707Cou[aCn.Fn.a# OS� 7D7 PRESENTED BY REFERRED TO GztE� S�r # �� 503 RESOLUTION CITY OF SAINT PAUL, NIINNESOTA /3 COMMPI"I'EE: DATE 2 W��as, the RiverCentre Authority ("RCA"), is an agency of the City of Saint 3 Paul, established and governed under special state law, to do, among other things, 4 equip, maintain, manage and operate the facilities commonly known as the Saint 5 Paul RiverCentre complex; and 7 W�xEas, the Saint Paul Convention and Visitors Bureau (CVB) is a nonprofit 8 corparation presently authorized pursuant to a City contract and special state law to 9 expend a portion of the City's hotel-motel tax revenues to manage and operate a 10 convention bureau to market and promote the City as a tourist or convention center; 11 and 12 13 W��as, combining the missions, goals, structures and financing presently 14 undertaken separately by the RCA and CVB into a single entity, can establish a 15 common marketing mission and vision for Saint Paul; and 16 17 W��as, the Saint Paul City Council adopted Council File 04-1148 stating the 18 City of Saint Paul's support of special legislation that would effectively pernut the 19 combining of the functions presently undertaken by the RCA and the CVB into a 20 single, newly-created non-profit corparation to market and promote the RiverCentre 21 complex and the City of Saint Paul; and 22 23 W�xxEAS, during the recently completed 2005 regular session of the Minnesota 24 Legislature, the State of Minnesota enacted 2005 Minn. Laws, Chapter 152, Art. 1, 25 Sections 1 and 38 (the "Special Law"), which, among other things, authorizes the 26 City of Saint Paul to participate in the creation of a nonprofit organization and to 27 contract with a nonprofit organization to market and promote the city as a tourist or 28 convention center; and 29 30 W�xxEAS, the Special Law requires the City of �aint Paul to timely comply with 31 Minnesota Statues, section 645.021, subdivisions 2 and 3, which requires approval 32 by resolution by a majority vote of all members of the governing body of the local 33 unit. 34 O S- 70'7 2 NOW, THEREFORE BE IT RESOLVED, by the Council of the City of Saint Paul, 3 the Special Law pursuant to the provisions contained therein, is in all things 4 adopted herein by reference and approved; 5 6 AND BE IT FURTHER RESOLVED, that the City Clerk, as the chief clerical 7 officer of the City of Saint Paul, shall forthwith file with the Secretary of State, in a 8 form prescribed by the Attorney General, a certificate stating the essential facts 9 necessary to the aaoption and approval of saia law in compliance with Minn.
