WHEREAS, a proposal is pending before the Interstate
Commerce Commission providing for a merger which would result
in the Union Pacific Railroad acquiring the Rock Island Railroad;
and
WHEREAS, hearings are presently being conducted by
the Interstate Commerce Commission considering the effect of
such a merger upon the public interestf and
WHEREAS, traditionally, Saint Paul, in conjunction
with Minneapolis, has been regarded as one of the major freight
interchanges in the country; and
WHEREAS, due to the importance of Saint Paul as a
major point of freight interchange, local midwestern railroads
have traditionally serviced Saint Paul and the entire surrounding
region;and

WHEREAS, the City of Saint Paul as well as other

Pacific and Rock Island Railroads; and
WHEREAS, Saint Paul is currently the headquarters of
three midwestern railroads which employ substantial numbers of
people and which pay substantial amounts of taxes, thereby
benefiting this community; now, therefore, be it
RESOLVED, by the Council of the City of Saint Paul
that it herewith goes on record in opposition to the proposed
merger between the Union Pacific and Rock Island Railroads and
hereby expresses its opposition and concern to the Interstate
Commerce Commission; and be it ,
FURT�R RESOLVED, That the City Clerk is herewith
directed to send a certified copy of this resolution to the
Interstate Commerce Commission, reflecting the Council's op-
position to said proposed merger; and be it
FINALLY RESOLVED, �`hat the City Clerk is herewith
directed to send copies of this resolution to all congressional
representatives and senators representing the State of Minnesota.

As you may know, the Tnterstate Commerce Commission will
assign hearings on these proposals this year for the purpose
o:C cross-examination of the witnesses of the applicants. Since
the Interstate Commerce Commission is a quasi-judicial body,
members of Congress have no authority to intervene in matters
which are brought before it for consideration. However, it is
my policy to convey the comments of interested parties to the
members of the Interstate Commerce Commission so that they
may be made a part of the official record.
I have received a nia.4nb�r of letters from people who share
your views on these proposals and I have called them to the
attention of the I.C.C. I appreciate knowing your views on
these proposals .

Dear Mr. Gerber:
This will acknowledge receipt of your recent letter commenting
on the possible merger of the Union Pacific Ra.ilroad with the Rock Is-
land. This merger application, I am told by the staff of the Interstate
Cougnerce Commission, had been sent for hearing yesterday in Chicago. This
hearing would also address itself to the matter of the Southern Pacific
taking over certain parts of the Rock Island line if it is to be merged
with the Pacific.
I am told that the Department of Justice and certain other rail-
roads pressured the ICC for a postponement of this March 7 meeting. This
request for postponement was based on a request for a complete study of
the traffic interchanges between middle west and western railroads. The
ICC has granted the request for postponement, and no new date has been
set for the hearing. I am told that this traffic interchange study will
possibly require months to complete.
The request made by the Chicago Northwestern to acquire control
of the Rock Island routes has been filed with the ICC but this matter has
not been set for hearing and I have gained the impreasion that it would,
in any event, �follow the Union Pacific-Rock Island hearing. I have
brought your interest in these merger questions to the attention of the
ICC and I must say that I appreciate having the benefit of your comments,
particularlq as to the effect the Union Pacific-Rock Island merger would
have on rail service in the middle west.

Dear Mr. Gerber:
Thank you for your letter of March 3 and the enclosed reso-
lution in connection with the proposed merger of the Union Pacific
Railroad Company and the Chicago, Rock Island � Pacific Railroad Com-
pany. I have recently heard from the Interstate Commerce Commission
concerning the status of this merger.
At the request of several of the parties to the proceedings
on this merger, the Interstate Commerce Commission has postponed till
some future date the liearing which was scheduled to take place on
March 7 in Chicago. Arrangements will be made at these future hear-
ings for the presentation of testimony of all interested parties and
those who have been permitted to intervene in the proceedings. For
this reason, they should begin preparation of their testimony so that
they may be ready to proceed at the subsequent hearings. The Commis-
sion has given every assurance that its final decision will rest upon
careful consideration of the factual record developed at the public
hearings.
I can certainly understand that this m erger might create
economic hardship to a great many communities in the Midwest. For
this reason I am hopeful that the I.C.C. will give serious considera-
tion to the economic consequences of the proposed merger.

Thank you for your good letter opposing the proposal
of the Union Pacific Railroad to merge With the Chicago Rock
Island and PaciPic Railroad, and supporting Chicago and
Northwestera's proposal to merge with the Rock Island.
The� Union Pacific proposal is, o� course, a matter
of great concera to all of ua who axe interested in continued
economic grawth and development in the Midwest. The matter
is still under. coasideration by the Interst�ate Commerce
Commission, with no final decision expected for several weeks
at least. Upon inquiry with the ICC, I was infbrmed that the
Chicago and Northwestern Railroad's praposal for a merger
with the Rock Islaad will- be given every thorough aad serious -
consideratioa.
I was very interested. in qour �rarm support of the
Ch3cago and Northwestern RailWay, for I, too, have found
them over the years to be a most reliable, responsible, and
progressive company which has contr�b.uted considerably to
economic growth i;in the Midwest area.
