WHEREAS, the Council of the City of Saint Paul, upon the petition of the City of Saint Paul, as
contained in the resolution Council File #OS-346, approved Apri120, 2005, approved the petirion to
vacate and discontinue as public property the right-of-way described in said resolution, attached hereto
forreference;and
WHEREAS, an error was found the description attached to said resolution as EXHIBIT °°A" and
WHEREAS, the petitioner has requested that the description in said resolution be amended; so
THEREFORE BE IT RESOLVED, that Council File #OS-346 is hereby amended with the following
change:
REMOVE EXHiBIT "A" AND REPLACE WITH EXEIIBIT "A" (as revised OS/02/2005)
BE IT FURTHER RESOLVED, that all terms and conditions set forth in Council File #OS-346
shall remain in full force and effect.

11 Saint Pau1 Legislative Code as at�ended, and to the following conditions:

13 1. That a permanent utility easement shall be retained withiu the vacated right-of-ways to protect the
14 interest of Northern States Power Company, dba as Xcel Energy.

16 2. That permanent utility easements shall be retained within the vacated right-of-ways to protect the
17 interest City of St. Paul, Department of Yublic Works and the Metropolitan CouncIl Environmental
1& Services to access and maintain its facilities_

That with any conveyance of this vacated properry, the grantee, their successors and assigns, a�ee to
indemnify, defend and save harmless the City af Saint Paul, its officers and employees from all suits,
actions or claims of any chazacter brougfit as a result of injuries or damages received or sustained by
any person, persons or property on account of this vacation or the grantee's use of property, including
but not limited to a claun brought because of any act of omission, neglect, or misconduct of said
grantee or because of any claims or liabiIity arising from any violation of any law or regulation made
in accordance with the law, whether by the grantee or any of their agents or employees.
That the petitioners, tfieir successors and assigns shall, within 60 days of the effective daEe of this
resolution, file with the City Clerk an acceptance in wriYing of the conditions of khis resolution and
shalI, within the period(s) specified in the terms and conditions of this resolution, comply in atl
respects with these terms aad conditions.
