' � JOINT AND COOPERATIVE AGREEMENT ���4�� ESTABI.I SH I NG METROPOLITAN TRANSIT COMMI�SION Proposal of Transportation Committee. Hennepin County Leaque of Municipalities�, to be presented to the Leaque Membersh(p on March 3, 1966 The parties to this agreement being governmental units of the State of Minnesota, and pursuant to the provisions of Minnesota Statutes, Section 471 .59, having legal J authority to enter into this agreement to do and perform the things herein agreed, do hereby establish a Metropolitan Transit Commission. I . DEFINITIONS For the purposes of this agreement the terms used herein will have the mean( ngs as defined in this Article. ' a. "Commi ss i on" means the organ i zat i on �reated by. ,tti i s agreement, the 'fu I�I name of which is the Metropotitan Transit Commission. It shall be a public agency of i ts membe rs. b. "Metropolitan Area" means the area contained within the boundaries of Scott, Dakota, Carver, Washington, Anoka, Ramsey and Hennepin Counties. c. "Board" means the Board of Commissioners of the Commission, which shall be its governing body. d. "Member" means a governmental unit which enters into this agreement. e. "Governmental Unit" means any city, village or town. f. "Council" means the governing body of a governmental unit which is a member of the Canmission. g. "Quorum" means seven Commissioners of the Board ot Commissioners. II . BASIS AND PURPOSE Section I. The parties hereto, by their respective governing bodies, have in- . vestigated the facts necessary to ascertain and hereby find and declare: a. That the above defined Metropolitan Area constitutes a rapidly developing urban area in which problems related to mass transportation are greatly increasing both in number and complexity; b. That the parties he reto,individually and collectively,aFe affected by said probtems and any attempt to solve them and the welfare, prosperity and enjoyment of the inhabitants of said area will be benefi•ted by mutual action with respect thereto; c. The general purpose ot this agreement is to provide an organization which can engage in research, study, investigation and other activities pertaining to mass transportation in the Wletropolitan Area and which can advise and assist any agency �• .� � - ' -2- ot government with respect thereto. III . MEMBERSHIP Section I . Any governmental unit wholly or partially within the Metropolitan Area may elect to become a member of the Commission by adoption of such a resolution by its governing body. Membership of such governmental unit in the Commission shall become effective upon the filing with the secretary of the Commission, a copy of this agreement du ly� execufied by i ts proper ofif i cers pursuant to authori ty conferred by i ts governing body. Section 2. This agreement shall become effective when it has been so authorfzed by seven governmental units, including the City of Minr.eapolis and the City of St. Paul , and when executed copies of this agreement from such seven or more governmental units together with certified copies of resolutions authorizing the same have been duly filed. Until the Commission has been established and its secretary appointed, filings of such resolutions and executed copies of this agreement shall be ma�e with the City Clerk of #he City of Minneapolts. Section 3. Governmental units joining the Commission after its initial organiza- , tion and after contributions by members have been made to finance its activi�Yies may be added on the favorable vote of a majority ot the then existing Board of Commis- sioners and upon such terms and conditions as shall then be specified by such Board and accepted by such governmental unit in wrlting, filed by the secretary of the Commission. I V. GOVERN I NG BODY Section I . The governing body of the Metropolitan Transit Commission hereby established, shalt consist of eleven commissioners who shall be appointed as follows: a. Th ree qualified voters of the City of Minneapolis; iwo to be appointed by its Council subject to the approval of its Mayor, and one to be appointed by its Mayor sub ject to the approva I of a ma jori ty of the members of i ts Ci ty Counci I . b. Three qualified voters of the City of St. Paul ; two to be appointed by its Council subject to the approval of its Mayor, and one to be appointed by its Mayor subject to the approval of a majority of the members of its City Council ; c. Two qualified voi-ers residing in Hennepin County appointed by a majority vote of the Mayors of those members situeted in Hennepin County except the City of Mi nneapo I i�s. d. Two qualified voters residing in Ramsey County appointed by a ma,jcrity vote of the Mayors of i-hose members situated in Remsey County except the City of St. Paul ; ! ,� � • -3- e. One qualified voter residing in the Metropolitan Area other than Hennepin and Ramsey Counties to be appointed by a maj�rity vote of the Mayors of those members situated outside the boundaries of Ramsey and Hennepin Counties. f. Each such appointing authority shall in the same manner it appoints said Commissioners, also appoint an alternate for each Commissioner appointed by it. Said alternate to act in the absence of such Commissioner except that an alternate shall not se rve as an officer of the Commission. Section 2. Each appointing authority shall within thirty days of such appoint- ment file with the secreta ry of the Commission a record thereof. � Section 3. Subdivision I . The term of each Commissioner appointed pursuant to the provisions of this Arttcle shall be one year and shall commence on February I of each year except that the terms of the Commissioners first appointed shall be from the date of their appointment and shall terminate on January 31 , 1967. Vacancy shall be filled for the unexpired term of any Commissioner by the authority which appointed him in like manner as the original appointment was made; Commissianers shall serve until their successors are appointed and qualified. Subd. 2. Any Commissioner may be replaced by the authori-Fy which �appointed him in the same manner as his appointment was made and a record of such action filed with the secretary of the Commission. Subd. 3. Commissioners shall serve without salary, Out ot pocket expenses in- curred for attendance at Commission meetings may be reimbursed by the Commission. Section 4. Subdivision I . Within thrity days after the effective date of this agreement, the Mayor of the City of Minneapolis and the Mayor of the City of St. Paul shall call the first meeting of the Board of Commissioners, which meeting shal ! be held not (ater than twenty days nor less than -ten days after such call . Subd. 2. At the first meeting of the Board and in February of each year there- afte r, the Board shall elect firom its Commissioners a chairman and a secretary and such other officers as it deems necessary to conduct its meetings and aftairs. At the organizational meeting or as soon thereafter as it may be reasonably done, the Board shall adopt rules and regulations gove rning its procedures, including the time, place and frequency of its regular meetings. Such rules and regulations may be amended from time to time at either a regular or a special meeting of the Board provided that a ten-day prior notice ot the proposed amendment has been furnished to each person to whom noti ce of the Board meeti ngs i s requi red to be sent; a 'ma,,jor(�:� +�otp of all Commissioners shall be sufficient to adopt any proposed amendment to such rules and regulations. • 4� � . • ' 1 V• POWERS AND DUTIES OF THE BOARD The Board of Commissiioners shall , as the same re,late to mass transportation in the Metropolitan Area, have the following powers and duties: . a. It shall act as a central agency for the collection, coordination and dissemina- tion ot information involving transportation facilities, rates, schedules, routings and related matters; b. It shall review and investigate such information with the aim of making recom- mendations to the appropriate governmental agencies and transit operators; c. It may propose transit experiments that seem likely to succeed in benefiting the area and may support such other proposals for transit experiments that it deter- m i nes wou I d be des i rab le; d. It shall investigate and advise its members with respect to proposed legisla- tion and other activities related to mass transportation; e. It may suggest, recommend, or propose legislation and may support the same before any division or unit of government, including the legislature and committees the reof; f. It shall make use ot any research, studies or other information that may be available to it or to its members from any governmenfial agency or other source and the members hereof shall make available to the Board any such information that they may possess; g, It may collect and receive moneys, subject to the provisions of this agree- ment, from its members and from any other source approved by the Board; h. It may incur expenses and make expenditures necessary and incidental to fihe effectuation of the purposes of this agreement; i . It may employ such persons as it deems necessary to accomplish its duties and powers. Any such employees shall be employees of the Commission and shall not , be deemed to be emp loyees nor sub ject to the Ci vi I Servi ce orother personne I proce- dures or ru les of any member hereof; J. It may contract for or receive gratuitously space, materials and supplies to carry out its activities. k. It shall , on June I of each year, make a financial accounting and report to its members, and all ot its books, reports and records shall be available for and open to examination by its members at all reasonable times; I . It may recommend changes in this agreement to the members; m. Each member reserves the right to conduct separately or concurrently similar activities as those of the Commission. • o. I t may recei ve grants from federa I or state governments, or pri vate sources to f i nance trans i t experi ments; however, s uch trans i t experi rr.ents may not be f i nanced by member contributions. VI . FINANCIAL MATfERS Section I . The activities of the Commission shall be financed by payments by members. The Board shalf establish the amount of the required contributions of all � members for each calendar year. The total amount of requi red contributions of inembers for any catendar year shall not exceed $50,000. Determination of the total annual re- quired contribution for each year after 1966 shall be made by the Board on or before July Ist of the preceding calendar year. The contribution of each member shall be that proportion of said total required contributions as the valuation of taxabfe real property within its boundaries bears to the total of such property valuation tor all members; contributions to be made by members should be made as follows: One-hal f thereof on or before February Ist of each year and one-hal f thereof on or before August Ist of each year. Nothing in this section shall be construed to prevent a member from vo I untari I y contri buti ng more than the amount of i ts requ i red contri buti on. Section 2. Upon the initial organization of the Board of Commissioners as herein provided, the then members thereof shall advance to the Commission the sum ofi $25,000. The Board shall assess such contribution from the then members on the same basis of real estate assessed valuation as set forth in Section I of this Article. and the members shall respectively pay such assessed amounts to the Board within 30 days after notice of said assessment. Thereafter, in computing subsequent annua� contributions from members the Board shal I consider previous contributions of those members and gi ve credi fi therefor. Section 3. Commission funds may be deposited, collected and expended by the Board to accomplish the purposes of this agreement. 0 rde rs, checks, drafts and othe r legal instruments shall be signed or executed by the chairman and secretary of the Boa rd. � VII . DURATION Section I . The Commission shall be of continuing duration for as long as there are seven or more members thereof. This Commission shall cease to exist when a statu- tory Commission becomes ope rative, exercising substantially the same, or greater powers d , ♦ � . � '' ,� � • P -6- . than this Commission. All members shall be required to pay the first two years' dues unless the Commission is abolished during the two year period. In that event, unex- pended funds shall be returned to members on a pro-rata basis. Thereafter, withdrawal of any membe�r at the end of any calendar year may be accomplished by the member filing written notice with the secretary of the Commission prior to June 15th of that year, giving notice of withdrawal at the end of the year. Section 2. The membership of any member shall terminate upon its failure to pay to the Commission the contribution assessed to it pursuant to the provisions of Arti cle VI of th is agreement, Section 3. If a governmental unit withdraws from the Commission before the dissolution of the Commission, or if, by reason of default in contributions required to be made to the Commission the membership of the governmental unit is automatically terminated, such governmental unit shall have no claim to the assets of the Commission. Vtll . DISSOLUTION Upon the unanimous agreement of all the then members the reof, or upon the member- ship of the Commission being reduced to less than seven members, the Commission shall be dissolved. Upon dissolution, all property of the Commission shall be sold and the proceeds thereof, together with moneys on hand shall be distributed. Such distribution of Commission assets shall be made in proportion to the total contribution to the Com- mission by the members during the preceding three years. Each appointing authority shall within thirty days of such ap.point- ment file with the secretary of the Commission a record thereof. . S( Section 3. Subdivision I . The term of each Commissioner appointed pursuant to !i � j� -the provisions of thls Article shall be one year and shall commence on February I of each year except that the terms of the Commissioners first appointed shall be from the date of their appointment �and shall terminate on January 31 , 1967. ' � V. � . , POWERS AND DUTIES OF THE BOARD The Board of Commissiioners shall , as the same relate to mass transportation in the Metropolitan Area, have the following powers and duties : • a. It shall act as a central agency for the collection, coordination and dissemina- ' tion of information involving transportation facilities, rates, schedules, routings and related matters; - ' b. It shall review and investfgate such information with the ai�n of making recom- mendations to the appropriate governmental agencies and transit operators; c. It may propose transit experiments that seem likely to succeed in benefiting the area and may support such other proposals for transit experiments that it deter-' mines would be desirable;' ' d. It shall investigate and advise its members Yrith respect to proposed legisfa- tion and othe r activities related to mass transportation; e. It may suggest, recommend, or propose legislation and may support the same � • • ' , � before any division or unit of government, including the (egislature and committees � the reof; � ' , f. It shall, make use of any research, studies or other information that may be _ available to it or to its members from any governmental agency or other source and the ....,_..� . members hereof shall make available to the Board any such info�rmation that they may ' possess; � g. It may collect and receive moneys, subject to the provisions of this agree- � ' ment, f rom i ts membe rs an d f rom any othe r sou rce app rove d by the Board; , h. It may incur expenses and make expenditures necessary and incidental to ' the effectuation of the` purposes of this agreement; , � � i . It may employ such persons as it deems necessary to accomplish its duties and povrers. Any such empioyees shall be employees of the Ce�ission and shall not � be deemed to be employees nor subject to the Civil Service orother personnel proce- dures or rules ot any member hereof; j. It�may cont ract for or receive gratuitously space, mate rials and supplies to carry out i ts acti vi ties. k. The activities of the Commission shall be financed by payments by , members. The Board shal ( establish the amount of the required contributions of all members for each calendar year. The i�otal amount of •requi red contributions of inembers for any calendar year shall not exceed $50,000. Determination of the total annual re- . quired contribution for each year after 1966 shall be made by the Board on or betore July Ist of the preceding calendar year, The contribution of each member shall be thafi proportion of said total required contributions as the valuation of taxable real prope rty within its boundaries bears to the total ot such property valuation for all ' members; contributions to be made by members should be made as follows: - One-hal f thereof on or before February Isi- of each year and one-hal f thereof on or before August Ist of each year. Nothing in this section shall be construed to ' prevent a member firom vo I untari I y contri buti ng more than the amount of i ts �;requ i red ' contribution. Section 2. Upon the initial organization of the Board of Commissioners as herein provided, the then members thereof shall advance to the Commission the sum of $25,000. The Board shall assess such contribution from the then membe rs on the same basis of real estate_assessed valuation as set forth in Section I of this Article. and the members shafl respectively pay such assessed amounts to the Board within 30 days after notice of said assessment. Thereafter, in computing subsequent annual contributions from members the Board shal I consider previous contributions of those members and gi ve credi t therefor. � Section 3. Commission funds may be deposited, collected and expended by the Board to accomplish the purposes of this agreement. In that event, unex- pended funds shall be returned to members on a pro-rata basis. Thereafter, withdrawal ot any member at the end of any calendar year may be accomplished by the member filing written notice with the secretary of the Commission prior to June 15th of that year, giving notice of withdrawal at the end of the year. - Section 2. The membe rship of any membe r shall te rminate upon its failure to pay � to the Commission the contribution assess�d to it pursuant to the provisions of - � • Arti cle VI of th i s agreement. • � �'p �Section 3. It a governmental unit withdraws from the Commission before the dissolution of the Commission, or if, by reason of dofault in contributions required to be made to the Commission the membershlp of the governmental unit is automatically terminated, such governmental unit shall have no claim to the assets of the Commission. , VIII . � DISSOLUTION Upon the unanimous agreement ot al I the then members thereof, or upon the member- ship of the Commission being reduced to less than seven members, the Cor,imission shall be dissolve�. Upon dissolution, all property of the Commission shall be sold and the proceeds fihereof, together with moneys on hand shall be distributed.
