That with any conveyance of this vacated property, the grantee, their successors and assigns, agree to 21 indemnify, defend and save harniless the City of Saint Paul, its officers and employees from all suits, 22 actions or claims of any character brought as a result of injuries or damages received or sustained by 23 any person, persons or property on account of this vacation or the grantee's use of property, including 24 but not limited to, a claim brought because of any act of omission, neglect, or misconduct of said 25 grantee or because of any claims or liability arising from any violation of any law or regulation made 26 in accordance with the law, whether by the grantee ar any of their agents or employees. 27 28 4. In addition they own sewers and easements which cross these vacated streets. See attached photo. We should retain access and utility easement rights for MCES within the vacated streets. 3) Use the attached legal description for the vacation of the streets. In addition, before transferring the City owned parcel to Meritec, please be advised of the following: 1) There are existing sewers and easements running through the parcel to be conveyed. Apparently MCES and Capital Region Watershed own these easements. They will need to be notified and sign off on this on this project. 2) Street Engineering was questioning how Meritec will provide access and improved street frontage for their project. 3) The property transfer may need lot spiit approval prior to recording.
