i WHEREAS, the City of Saint Paui, acting through its Valuation Engineer, has secured an agreement

WHEREAS, said property described is necessary for street widening in connection with the
improvement of White Beaz Avenue between Beech and Reaney, said property was Final Ordered for
acquisition on October 27, 2004 with Council File Numbered 04-1032. The value at which said
property may be purchased at is in the amount of One Hundred Thirty Five Thousand Dollars
($135,000), this being a fair and reasonable value for the subject property; and
WHEREAS, the Valuation Engineer has recommended the purchase of said property at the
recommended value, sub}ect to the terms and conditions agreed upon between Fee Owner and City of
Saint Paul as specified in the attached purchase agreement;
SO THEREFORE BE IT RESOLVED, that the proper City Officials aze hereby authorized and
directed to pay Michael E. Adams the sum of $135,000.

Real Fstate Taxes : Property taaces payable in 20�5 shall be pro-rated to the day of closing. The
seller wili pay outstanding assessments, delinquent tases and liens on the property, any outstanding
amount will be wi[hheld from the purchase price. The buyer shall pay all future property taxes.
Seller shall pay all assessments levied against the property as of the date of closing.

9. Seller shali provide the Buyer, within ten days of signing this Purchase Agreement, an Owner's
Certificate of Titie. The Buyer agrees to update any name conections on the Title. Seller agrees,
at Sellers's cost and expense, to correct or remove any exceptions or "clouds" on the title as shown

10. Ciosing shall occur within 90 days following execution of this Purchase Agreement, at which time
the tifle to the premises shall be conveyed to the City. The Closing date may be postponed and
rescheduled by mutual agreement of the parties hereto. The Buyer shall pay all closing costs
11. Seller shall provide an�davit on the date of closing, indicating that the Seller has not used or
pernutted the use of the subject property as a hazardous waste disposal facility as defined in section
115A.03 Subd. 10 of Chapter 121 of the Laws of Minnesota of 1983, and that there is no basis to
conclude that this property has been subject to or contaminated by the release of any hazardous sub-
stance, hazazdous waste, pollutants of contaminants as defined in Section 115BA2 of the Minnesota
Statutes.
12. The Seller shall sign an agreement to lease the property from the buyer for a term lasting from the
date of closing untii June 1, 2005.
13. Ali warranties and representations made in this Purchase Agreement shall survive the closing and
the conveyance of title to the property. This Purchase Agreement and ali obligations provided shall,
to the extent not fully satisfied and performed by or through the Closing, survive the closing and the
conveyance of title to the property.
14. This Agreement is subject to approval by the St. Paul Ciry Council.
