1 BE IT RESOLVED, that, upon the peution of the Port Authority of Saint Paul, as documented in Real
2 Estate Division File Number 27-2004, public properties hereinafter described are hereby vacated and
3 discontinued as public property:

7 BE IT FURTHER RESOLVED, that, subject to the herein stated exceptions and with the
8 accompanying Utility Easement Certificates of Intended Non-Use, filed voluntazily on behalf of Qwest
9 Corporation, Northern States Power Company, d.b.a. Xcel Energy (Gas Distribution), Northem States
10 Power Company, d.b.a. Xcel Energy-Electric (Area 1 only), District Energy St. Paul, Inc. and District
11 Cooling St Paul, Inc., MCI Network Services, Inc., Comcast of Saint Paul, Inc., Saint Paul Regional
12 Water Services, and the Department of Public Works, made a part hereof by this reference and filed in
13 the office of the City Clerk of Saint Paul, the City, for itself and on behalf of these corporations and
14 departrnents, waives the right to the utility easements in the vacated azea described above.

16 This vacation shail be subject to the terms and condition of Chapter 130, codified March 1, 1981, of the
17 Saint Paul i.egislative Code as amended, and to the fotlowing conditions:

That the petitioner's, their successors and assigns shall pay $1,200 as an administrative fee for
this vacation which is due and payable within 60 days of the effective date of this resolution.
That the petitioner shall not have this resolution recorded with the County Recorder Office untii
such time that the Westrninster Junction Business Center plat is ready for filing.
That a permanent utility easement shall be retained within the vacated area to protect the interest
of Northern States Power Company, d.b.a. Xcel Energy- Electric Area 2 only).
That the petitioners, their successors and assigns agree to indemnify, defend and save hasrciless
the City of Saint Paul, its officers and employees from all suits, actions or claims of any chazacter
brought as a result of injuries or damages received or sustained by any person, persons or
property on account of this vacation or petitioners' use of this property, including but not Ilmited
to, a claim brought because of any act of omission, neglect, or misconduct of said petitioners or
because of any claims or liability arising from any violation of any law or regulation made in
accordance with the law, whether by the petitioners or any of their agents or employees.

3 5. That the petitioners, their successors and assigns shall, within 60 days of the effective date of this
4 resolution, file with the City Clerk an acceptance in writing of the conditions of this resolution
5 and shall, within the period(s) specified in the terms and conditions of this resolution, comply in

vacate portions of streets, alleys and easements as described in the attached
Exhibits. Your Petitioner, the Port Authority of the City of Saint Paul, respectfuliy
states and alleges that it is the fee owner of record of the real estate abutting the
portions of right-of-way easement and an alley described as follows:
(See Attached Exhibits for Legal Descriptions and Drawings)
The proposed areas to be vacated are crosshatched and denoted as parcels on
the attached Exhibits.
The proposed vacations are necessary for the completion of the Phalen Corridor
and the Westminster Junction Business Center projects.
Your Petitioner herein requests that there be no assessrrient of compensation to
Petitioner on account of the value of the accrual; and that in lieu of a bond, and
by acceptance of the terms of the vacation, the Petit+oner agrees to fully
indemnify, defend and save harmless the City of Saint Paul and the Board of
Water Commissioners, its officers, agents, employees and servants from all
suits, actions or claims which may arise from any injuries or damages received or
sustained by a break in any service pipe, water main, or connection in said
vacated areas, arising out of or resulting from any action or negligence of the
Petitioner, its employees, agents or business invitees.

Your Petitioner herein further requests that the provisions of the Saint Paul
Legislative Code, Chapter 130, pertaining to the reservations of easements,
rights and other claims for the installation, maintenance and operation of any
sewer, water, gas, telephone, or electricai main, pipe or conduit, or any other
conduit of public instrumentality for the City of Saint Paul and for other persons or
corporations having public instrumentalities in the land to be vacated, be waived
upon presentation to and approval by the City Council of statements to the effect
that any such instrumentality wiil be abandoned.
WHEREFORE, your Petitioner respectfully requests your Honorable Body to
vacate the portions of right-of-way easement and an alley for the purposes
above-stated.
