St. Paul. Minnesota 55101 ("State'� and Citv of St. Paul. 15 West Kello g Rlvd. St. Paul. MN 55102 ("Grantee"). Recitals 1 Under Minn. Stat. §§ 12.22 and 299A.01 Subd 2(41 the State is empowered to allocate and disbtuse federal aid made available through the Department of Homeland Security and is empowered to enter into this grant contract. 2 The State is in need of the distribution of federal fiirids to eligible grant recipients pertaining to the 2004 Homeland Security Grant Program, Awazd Number 2004-GE T4-0028, to purchase equipment for protecting fust responders and strengthen terrorism response capabilities by providing funding for exercises, training, planning and organizational activities. , 3 The Grantee represents that it is duly qualified and agees to perform all services described in this grant contract to the satisfaction of the State. Grant Contract � 1 Term of Grant Contract 1.1 Effective date: Julv 1. 2004, or the date the State obiains all required signatures under Minnesota Statutes Section 16C.05, subdivision 2, whichever is later. The Grantee must not begin �york under this grant contract until this contra¢t is fully executed and the Grantee has been notified by tbe State's Authorized Representarive to begin the work. 1•2 Expiration date: November 30. 2005, or until all obligations have been saGsfactorily fulfilled, whichever occurs fust. 13 Suwiva! ofTerms. The following clauses survive the expiration or cancellation of this grant contract: 8. Liability; 9. State Audits; 10. Govemment Data Practices; 12. Publicity and Endorsement; 13. Goveming Law, Jurisdiction, and Venue; and I5. Data Disclosure. Z Grantee's Duties The Grantee, who is not a state employee, will: 2.1 Perform the work in the Grantee's 2004 State Homeland Security Grant Program Application, Attachment A, which is attached and incorporated into this �ant contract. Approved equipment, exercise, training, plamiing, and/or management and administrafion costs identified in Attachment A were approved from the 2004 State Homeland Security Grant Program Guidelines incorporated into this grant contract by reference. 2.2 Comply with all program guidelines specified in the 2004 State Homeland Security Program Grant Application Packet provided to the Grantee by the State, and will comply with the standards and requirements attached and incorporated into this grant contract. These additional standards and requirements aze the following: a. Federal Audit Requirements, labeled Attachment B, which is attached and incorporated into this grant contract. b. Federal Assurances, labeled Attachment C, which is attached and incorporated into this grant contract. c. Grantees receiving $100,000.00 or more must complete and return the Certification Regazding Lobbying form, labeled Attachment D, which is attached and incorporated into this grant contract. 23 Funds approved under this grant contract shall be used to supplement, and shall not be used to supplant, non- federal funds dedicated to this effort. The Grantee may be required to supply documentation certifying that a reduction in non-federal resources occurred for reasons other than the receipt or expected receipt of federal fixnds. 2.4 Provide all necessary training to their employees conceming the use of equipment purchased through this grant contract, and shall not permit the equipment to be tampered with or operated by individuals who are not properly trained. 2.5 Assume total responsibility of the proper handling, use, and maintenance of the equipment and bear all costs of maintenance, repair and/or replacement related to equipment. 2.6 Equipment purchased through this grant contract is the property of the Grantee. 2004 State Homeland Security Program (OS/04) Page 1 (�{-�5°t Grant Contract #2000-9591 3 Time The Grnntee must comply with all the time requiremen�s described in this gant contract. In the performance of this grant contract, time is of the essence. 4 Consideration and Payment 4.1 Consideration. The State will pay for all services performed by the Grantee under this grant contract as follows: (1) Compensation. The Grantee will be reimbursed an amount not to exceed 50 000_00 according to the breakdown of costs specified in Grantee's 2004 State Homeland Security Grant Progcam Application, Attachment A, wluch is attached and incoiporated into this giant conh The Grantee will submit a written change request for any substitution of budget items in Attaclunent A, or any deviation of more than 15% from the approved budget category amoiints in Attachment A. Change requests for substitutions of budget items, or a deviation of more than IS%$om the approved budget category amount must be given in writing to the State's Authorized Representative and at least fi0 days prior to the Expiration date of this grant conhact. C,rantees whose requests have been approved will be notified in writing by the State's Authorized Representative to the Grantee's Authorized Representative. Requests must be approved prior to any expenditure by the Grantee. (2) Matching Requirements (If Applicable.) G[antee certifies that the following matching requirement, for tlje gcant contract, will be met by the Grantee: 0.00. (3) Total Obligafion. The total obligation of the State for all compensation and reimbursements to the Grantee under this grant contract will not exceed 50 000.00. 4.2 Payment. (1) GrantBitling Form. The State will promptly pay the Grantee after the Grantee presents a Grant Billing Form for the services actually performed and the State's Authorized Representative accepts the invoiced services. Grant Billing Form must be submitted timely and according to the following schedule: a. Grantee will submit the Grant Billing Form along with copies of Grantee's itemized invoices for actual costs incurred at least bi-annually due June 30 and December 31 for the life of the grant, but not more often than monthly and within 30 days of the period covered by the Grant Billing Form. b. Expenditures for each state fiscal year (July through June) of this grant contract must be for services satisfactorily performed within applicable state fiscal yeaz. Final Grant Billing Form pertauring to the first state fiscal year of this grant contract must be received by the State no later than Auwst 15, 2005. Reimbursements from the second state fiscal year may commence on or aRer July I, 2005. The fmal Grant Billing Form pertaining to the second state fiscal year of this grant contract must be received by the State within 45 days of the Expiration date of this grant contract. c. Grantee will submit financial and narrative performance reports at least bi-annually due June 30 and December 31, for the life of the grant, but not more often than monthly. The narrative perfoimance report shall consist of a comparison of actual accomplishments to the approved work plan in Attachment A. These reports must be submitted before reimbursement will be paid. (2) Federal funds. (Where applicable, if blank this section does not apply) Paytnents under this grant contract will be made from federal funds obtained by the State through CFDA # 97.004 Public Law 108-90 the Deoartment of Homeland Security Ap�rooriations Act 2004. The Grantee is responsible for compliance with all federal requirements imposed on these funds and accepts full financial responsibility for any requirements imposed by the Grantee's failure to comply with federal requirements. 5 Conditions of Payment All services provided by the Grantee under this grant contract must be performed to the State's satisfaction, as detemuned at the sole discretion of the State's Authorized Representative and in accordance with all applicable federal, state, and local laws, ordinances, rules, and regulations. If the services aze satisfactory, the State's Authorized Representative will certify acceptance on each Giant Billing Form submitted for payment. If the Grantee's Authorized Representative changes at any time during this gant contract, the Grantee must immediately notify the State. Assignment, Amendments, Waiver, and Grant Contract Complete 71 Assignment The Grantee may neither assign nor transfer any rights or obligations under tlris grant contract without the prior consent of the State and a fully executed Assignment Ageement, executed and approved by the same parties who executed and approved this giant contract, or their successors in office. 7.2 Amendments Any amendment to this gant contract must be in writing and will not be effective until it has been executed and approved by the same parties who executed and approved the original grant contract, or theit successors in offtce. _ � 7.3 Waiver. If the State fails to enforce any provision of this grant contract, that failure does not waive the provision or its right to enforce it. 7.4 Grant Con[raM Comp[efe. This grant contract contains all negotiations and agreements between the State and the Grantee. No other understanding regazd'mg this gant contract, whether written or oral, may be used to bind either party. 8 Liability The Grantee must indemnify, save, and hold the State, its agents, and employees hamiless from any claims or causes of action, including attomey's fees incurred by the State, arising from the performance of this grant contract by the Grantee or the Grantee's agents or employees. This clause will not be construed to bar any legal remedies the Grantee may have for the State's failure to fulfill its obligations under this grant contract. 9 State Audits Under Minn. Stat. § 16C.05, subd. 5, the Grantee's books, records, documents, and accounting procedures and practices retevant to this grant contract aze subj ect to examination by the State and/or the State Auditor or Legislative Auditor, as appropriate, for a minimum of six years from the end of this grant contract. 10 Government Data Praetices The Grantee and State must comply with the Minnesota Govemment Data Practices Act, Minn. Stat. Ch. 13, as it applies to all data provided by the State under this grant contract, and as it applies to all data created, coilected, received, stored, used, maintained, or disseminated by the Grantee under this grant contract. The civil remedies of Minn. Stat. § 13.08 apply to the release of the data referred to in this clause by either the Grantee or the State. If the Grantee receives a request to release the data referred to in this Clause, the Grantee must immediately notify the State. The State will give the Grantee instructions conceming the release of the data to the requesting party before the data is reieased. 11 Workers' Compensation The Grantee certifies that it is in compliance with Minn. Stat. § 176.181, subd. 2, pertaining to workers' compensation insurance coverage. The Grantee's employees and agents will not be considered State employees. Any claims that may arise under the Minnesota Workers' Compensation Act on behalf of these employees and any claims made by any third party as a consequence of any act or omission on the part of these employees aze in no way the State's obligation or responsibility. 2004 State Homeland Securiry Program (OS/04) Page 3 U4-�5°I Grant Contract #2000-9591 12 Pnblicity and Endorsement 12.1 Publicity. Any publicity regazding the subject matter of this giant contract must identify the State as the sponsoring agency and must not be released without prior written approval from the State's Authorized Representative. For puiposes of this provision, publicity includes notices, informational pamphlets, press releases, research, reports, signs, and similaz public notices prepazed by or for the Grantee individually or ,jointly with otheis, or any subcontractors, with respect to the program, publications, or services provided resulting from this grant contract. 12.2 Endorsement. The Grantee must not claim that the State endorses its products or services. 13 Governing Law, Jurisdiction, and Venue � Minnesota law, without regard to its choice-of-law provisions, governs this grant contract. Venue for all legal pmceedings out of this grant contract, or its bteach, must be in the appropriate state or federal court with competent jurisdiction in Ramsey Counly, Minnesota. � 14 Termination 14.1 Termination by the State The State may cancel tlris grant contract at any time, with or without cause, upon 30 days' written notice to the Grantee. Upon temiination, the Grantee will be entitled to payment, detennined on a pro iata basis, for services satisfactorily performed. � 14.2 Termination for Insu�cient Funding. The State may immediately terminate this grant contract if it does not obtain funding from the Minnesota Legislature, or other funding source; or if funding cannot be continued at a level sufficient to allow for the payment of the services covered here. Tennuiation must be by written or fax notice to the Grantee. The State is not obligated to pay for any services that are provided after notice and effective date of temunation. However, the Grantee will be entitled to payment, detemuned on a pro rata basis, for services satisfactorily performed to the extent that funds aze available. The State will not be assessed any penalty if the grant contract is temiinated because of the decision of the Minnesota Legislature, or other funding source, not to appropriate funds. The State must provide the Grantee notice of the lack of funding within a reasonable time of the State receiving that notice. 143 Terminatinn for Failure to Comply. The State may cancel this grant contract unmediately if the State fmds that there has been a failure to comply with the provisions of this grant, that reasonable progress has not been made or that the purpose for which the funds were granted have not been or will not be fulfilled. The State may take action to protect the interests of the State of Minnesota, including the refusal to disburse additional funds and requiring the return of alLpart of the funds akeady disbursed. 15 Data Disdosure Under Minn. Stat. § 270.66, and other applicable law, the Grantee consents to disclosure of its social security number, federal employer tax identification number, and/or Minnesota tac identification number, already provided to the State, to federal and state ta7c agencies and state personnel involved in the payment of state obligations. These identification numbers may be used in the enforcement of federal and state tax laws which could result in action requiring the Grantee to file state taac retums and pay delinquent state tax liabilities, if any, or pay other state liabilities. Audits shall be made annually unless the state or local govemment has, by January 1, 1987, a constitutional or statutory requiremeni for less frequent audits. For those govenunents, the federal cognizant agency shall permit biennial audits, covering both yeazs, if the govemment so requests. It shall also honor requests for biennial audits by govemments that have an adminish-ative policy calling for audits less frequent than apnual, but only audits prior to 1987 or administrative policies in place prior to January 1, 1987. The reporting requirements for audit reports shall be in accordance with the American Institute of Certified Public Accounts' (AICPA) audit guide, "Audits of State and Local Govemmental Units," issued in 1986. In addition to the audit report, the recipient shall provide comments on the findings and recommendations in the report, including a plan for corrective action taken or planned and comments on the status of corrective acrion taken on prior fmdings.
