Dear Sir:
The Council, on April 24, 1968, referred the pnoposal of North Star
Communications for a proposed telephone survey of City Departments to
our offiee, and requested that �e prepare an agreement for execntion by
the City and North S`tar Co�nunications, said agree�nent bei.ng identical
to that prepared by the Cowlty Attorney.

Attached please find such an agreement, which is herewith returned
to the council for its consideration of the same. I suggest that if the
agreement meets with the Conncil�s approval� that North Star be invited
to appear before the council Por the purpose of answering ar� questions
that may be posed. If the Council i.a satisfied, that they wish to proceed
itith the proposal of North Star�s, then the agreement ma.y be exeeuted by
the parties.

THIS AGR,EE�IENT, made ancl entered int�o this day
of , 1963, Ueti,reen the City o� Saint P�,ul ,
a municipal corporation, hereinafter referred to .a.s "City" , and
North Star Counnunications , Inc. , hereinafter referred to as
"Consultant" ; .
j�iEREAS, Consultant has proposed to malie a survey of
the present telephone couununication systems of the City, and
. the City has expressed a clesire to obtain such services; now,
therefore, it is hereby agreed:
Consultant agrees to survey the telephone communication
systems of the City, inventorying all equipment ancl analyzing the
type of equipment for the purpose of achieving the same or an
improved service at a reduced cost to the City.
Consultant agrees to review the City' s past telephone
bills, comparing the charges s�rith the in'ventory of equipment to
determine the accuracy of the telephone charges therefor. In the
event the City is being over—billed for equipment , Consultant
shall negotiate zJith the ATorth��estern Bell Telephone Company to
obtain a refund for such erroneous billing. In the event there
is a refun.d for •over—billing, the City agrees to pay Consultant
one—half (1/2) of the amount of such refund, provided, however,
that the Consultant shall furnish satisfactory proof to the City
� that such refund was made by Northilestern Bell Telephone Company
• through the efforts of Consultant. ' •
Consultant agrees t�o prepare reports to indiviclual City
departments setting forth the results of Consultant ' s survey of
the telephone cou►munication s3Tstem of that • department , and shall

also provide a comprehensive report of the City' s complete
� telephone communication system as surveyed. The Consultant
shall complete his survey and' present his reports within n�ne
(g) months from the date of this agreement. The City ancl�or its
• departments are given the option of accepting or 'rejecting the
suggestions and proposecl changes made in the report of Con- ,
sultant. If the City and�or department adopt any or all of the
� changes reconunended by Consultant, the City agrees to pay .
Consultant a sum equal to the savings achieved by such change
during a period of ten (10) months of service. The City shall
pay such sum in ten (10) equal installments, the first installment
being due on the day the order for reconunended changes is placed
with Norths�restern Bell Telephone Company and the remaining nine (9)
payments to be paid over the following nine (g) month periad.
, For the purpose of this agreement, Consultant shall be
deemed to be an independent contractor and not an employee of the
City. Any and all employees of the Consultant or o�her persons ,
while engaged in the performance of any s�rork or sercices required
� by the Consultant under this agreement , shall not be considered
employees of the City and any and all claims that may or might
arise under the j�lorkmen' s Compensation Act of Minnesota on behalf
, of said employees or other persons i,rhile so engaged and any and
all claims made by any third party as a consequence of any act or
� omiss�ion on the part of the Consultant ' s employees or other �
persons ��rhile so engaged on any of the work or services to be
renclered shall in no way be the obligation or responsibility of
the City. The Consultant shall pay, as they become due, all just
claims for work, tools , machinery, slcill, materials, insurance

premiums , equipment and supplies furnished, �renderecl or per—
formed in the e�ecution o� this agreement .
It is agreed by and bei;�veen the parties hereto that
this agreement does not obligate the City to accept and�or order
the recommended changes made. by Consultant; provided however tY�at
if the ehanges reeomiuenclecl by Consultant are foll�oiled, then the
City agrees to pay Consultant the fees set out above.
