WHEREAS, the City of Saint Paul (City) has conducted a study along White Beaz Avenue from
Interstate 94 to Lazpenteur Avenue East to find traffic safety problems, identified as a safety concern
was the intersection of White Bear Avenue and Seventh Street East; and

5 WHEREAS, the property at 1778 Seventh Street East is needed to complete improvements
6 necessary to remedy traffic safety concerns at the above-mentioned intersecrion by widening the
7 street. The value at which said property may be purchased is in the amount of One Hundred Seventy-
8 One-Thousand Dollazs ($171,000), this being a fair and reasonable value for said property; and
10 WFIEREAS, the City and property owner, the North East Neighborhood Development Corporation
11 (NENDC), have also agreed that the above-mentioned value is a fair and reasonable purchase price for
12 property at 1778 Seventh East, so

14 THEREFORE BE IT RESOLVED, that the proper City Officials aze hereby authorized and directed
15 to enter into an agreement to purchase 1778 East Seventh Street from the NENDC at the above-
16 mentioned value plus any closing costs incurred by NENDC.

5. Purchase price: $171,000 (One Hundred Seventy-One Thousand Dollazs) plus closing costs

6. Real Estate Taxes: Buyer shall pay the remaining property tazes due in 2004 and thereafter.
Buyer shali pay all assessments levied against said property as of the date of closing.
8. Type of Conveyance required: Seller shall convey marketable fee tide by Warrantv Deed.
9. Seller sha11 provide the Buyer, within thirty days of signing this Purchase Agreement, an Abstract
of Title and/or an Owner's Certificate of Title. The Buyer agrees to update any name corrections on
the AbstracUTitle. Seller agrees, at Sellers's cost and expense, correct or remove any exception or
"clouds" on the title as shown on the "Commitment to Insure" title examination report.

10. That the seller realizes in order for the City of Saint Paul (Buyer) to comply with City's
improvement of the aforementioned properiy the City must have ttus property in hand within tlurty
days.
1 i. The closing shall occur within 30 days or less following execution of this Purchase Agreement, at
which time the rifle to the premises shall be conveyed to the City. The Closing date may be
rescheduled by mutual agreement of the parties hereto. Buyer shall pay all closing costs.
12. Seller shall provide an affidavit on the date of closing, indicating that the Seller has not used or
permitted the use of the subject properiy as a hazardous waste disposal facility as defined in section
115A.03 Subd. 10 of Chapter 121 of the Laws of Minnesota of 1983, and that there is no basis to
conclude that this property has been subject to or contaminated by the release of any hazazdous sub-
stance, hazazdous waste, pollutants of contaminants as defined in Section 115B.02 of the NTinnesota
Statutes.
13. All warranties and representations made in this Purchase Agreement shall survive the closing and
the conveyance of Utle to the propefty. This Purchase Agreement and all obligations provided sha11,
to the extent not fully satisfied and performed by or through the Closing, survive the closing and the
conveyance of title to the property.
14. This purchase of property by the City is subject to St. Paul City Council approval.
