10 BE IT FURTFIER RESOLVED, that, subject to the herein stated exceptions and with the
11 accompanying Utility Easement Certificates of Intended Non-Use, filed voluntarily on behalf of Qwest
12 Corporation, Northern States Power Company, d.b.a. Xcel Energy, District Energy St. Paul, Inc. and
13 District Cooling St Paul, Inc., MCI Network Services, Inc., Comcast of Saint Paul, Inc., Saint Paul
14 Regional Water Services, and the Department of Public Works, made a part hereof by this reference and
15 filed in the office of the City Clerk of Saint Paul, the City, for itself and on behalf of these corporations
16 and departments, waives the right to the utility easements in the vacated area described above.
17 This vacation sha11 be subject to the terms and condition of Chapter 130, codified March 1, 1981, of the
18 Saint Faul Legislative Code as amended, and to the following conditions:
19 1. That the petitioner's, their successors and assigns shall pay $$2,000.00 as an administrative fee
20 for this vacation which is due and payable within 60 days of the effective date of this resolution.
21 2. That a permanent utility easement sha11 be retained on, over, under and across the above
22 described Pazcels 10, 11, 12 and 13 on behalf of the City of Saint Paul, Department of Public
23 Works to reserve the right of the City to maintain and operate any sewer in or upon said easement
24 and to enter upon said easement or any portion thereof at any time and from time to time, for the
25 purposes of future consriuction, reconstnxction, inspecting, maintaining or repairing the same or
26 any part thereof. Any development or use of the properry sha11 be subject to the following
27 conditions:

a. No buildings, structures, trees or any temporary structure, material storage, fixture, ar any
other objects that will prohibit normal access to utility facilities for maintenance purposes
will be permitted within the easement area.
b. Improvements in or upon the above described easement that do not prohibit the City from
exercising its reserved rights may be allowed by obtaining written pernussion from the
Department of Public Works Sewer D'avision with the understanding that the restoration
and costs of such improvements shall be the sole responsibility of the petitioner, its
successors and assigns in the event the City exercises its reserved easement rights.

written permission from the Departrnent of Public Works.
No change in surfacing within the easement area will be pernutted without written
pernussion from the Deparhnent of Public Works.

1 e. The pefitioner, its successors and assigns sha11 indemnify, defend, and save harniless the
2 City of Saint Paul, its officers, agents, employees, and servants from all suits, actions, or
3 clauns which shall arise from any injuries or damages received or sustained by any break
4 in any service pipe or connecrion in said reserved easement arising out of or resulting
5 from any action or negligence of the petitioner, its employees, agents, or business
6 invitees.
7 3. That a permanent utility easement shall be retained within the above described Pazcels 1 and 8 to
8 protect the interest of Northem States Power Company, d.b.a. Xcel Energy.
9 4. That the appropriate City officials shall issue pemuts to allow Northern States Power Company,
10 d.b.a. Xcel Energy, to relocate existing faciliries currently located within the area proposed for
11 vacation to the north side of VJhitall Street.
12 5. That any improvement in the vacated property shall not interfere with, or prevent access by
13 Comcast of St. Paul, Inc. for the purpose of maintenance, repair or replacement of, or upgrade to
14 its exisbng utility facilities. Should any unprovement in any way interfere with or prevent access
15 to the said facilities, the petitioners or their successors shall provide new easements as may be
16 required, and shall assume all costs of relocating facilities to the new easements.
17 6. That any site plans involving reconfiguration of the property to be vacated and/or abutting
18 properties shall be subject to approval by the Department of Fire and Safety.
19 7. That the petitioners, their successors and assigns agree to indemnify, defend and save harmless
20 the City of Saint Paul, its officers and employees from all suits, actions or claims of any character
21 brought as a result of injuries or damages received or sustained by any person, persons or
22 properry on account of this vacation or petitioners' use of tlus property, including but not limited
23 to, a claim brought because of any act of omission, neglect, or misconduct of said petitioners or _
24 because of any claims or liability arising from any violation of any law or regulation made in
25 accordance with the law, whether by the petitioners or any of their agents ar employees.
26 8. That the petitioners, their successors and assigns shall, within 60 days of the effective date of this
27 resolution, file with the City Clerk an acceptance in writing ofthe conditions of this resolution
28 and shall, within the period(s) specified in the terms and conditions of this resolution, comply in
29 all respects with these terms and conditions.

PETITION FOR VACATION OF
PORTIONS OF STREETS, ALLEYS AND EASEMENTS WITHIN THE PHALEN
CORRIDOR AND WESTMINSTER BUSINESS CENTER PROJECTS
TO: THE HONORABLE COUNCIL PRESIDENT
AND MEMBERS OF THE CITY COUNCIL
The undersigned does hereby petition the City Council of the City of Saint Paul to
vacate portions of streets, alleys and easements as described in the attached
Exhibits. Your Petitioner, the Port Authority of the City of Saint Paul, respectfully
states and alleges that it is the fee owner of record of the real estate abutting the
portions of streets, alleys and easements described as follows:
(See Attached Exhibits for Legal Descriptions and Drawings)
The proposed areas to be vacated are crosshatched and denoted as parcels on
the attached Exhibits.
The proposed vacations are necessary for the completion of the Phalen Corridor
and the Westminster Junction Business Center projects.
Your Petitioner herein requests that there be no assessment of compensation to
Petitioner on account of the value of the accrual; and that in lieu of a bond, and
by acceptance of the terms of the vacation, the Petitioner agrees to fully
indemnify, defend and save harmless the City of Saint Paul and the Board of
Water Commissioners, its officers, agents, employees and servants from all
suits, actions or claims which may arise from any injuries or damages received or
sustained by a break in any service pipe, water main, or connection in said
vacated areas, arising out of or resulting from any action or negligence of the
Petitioner, its employees, agents or business invitees.

Your Petitioner herein further requests that the provisions of the Saint Paul
Legisfative Code, Chapter 130, pertaining to the reservations of easements,
rights and other claims for the installation, maintenance and operation of any
sewer, water, gas, telephone, or electrical main, pipe or conduit, or any other
conduit of pubGc instrumentality for the City of Sa+nt Paul and for other persons or
corporations having public instrumentalities in the land to be vacated, be waived
upon presentation to and approval by the City Council of statements to the effect
that any such instrumentality will be abandoned.
WHEREFORE, your Petitioner respectFully requests your Honorable Body to
vacate the portions of streets, alleys and easements for the purposes above-
stated.

WHEREAS, the Port Authority has undertaken the PhalenlBoulevard Westminster
Junction Susiness Center development; and
WHEREAS, the properties include public righfs of way which may have been vacated
in whole or in part by the City of Saint Paui; and
WHEREAS, title defects have been uncovered that require additio�al requests from
the Council of the City of Saint Paul for vacation of parts of streets within the Phalen
BoulevardNVestminster Juncfion Districts;
NOW, i"HEREFORE, SE IT ftESOLVED BY THE BOARD OF COMMiSSIONERS O�
THE PORT AUTHORITY OF 7HE CITY OF SAINT PAUL, that the President is hereby
authorized and directed to execute on behalf of the Port Authority any and all petitions to the
