1 RESOLUTION ACCEPTING GRANT FROM STATE OF MIlVNESOTA AND
2 APPROVING RENOVATION OF ROY WILHINS AUDITORIUM AND
3 CONTRACTS RELATED THERETO

6 WHEREAS, the Roy Wilkins Auditorium (the "Auditorium") is an integral component of the
7 City of Saint PauPs (the "City") civic center complex, and thus is a vital and valuable City asset;

WHEREAS, the Auditorium was last renovated in 1983; and
WHEREAS, the Auditoriuzn, including the ballrooms located therein, is in immediate need of
renovation so as to keep the facility operationai and maintain its competitiveness among other
national and regional civic centers; and
WI3EREAS, in recognition of the foregoing, the 5tate of Minnesota during the 2003 legislative
session has awarded the City a grant in the amount of $2,300,000.00 (the "GranY') consisting of
state bond proceeds, to be osed for asset preservation of the Auditorium; and
WHEREAS, pursuant to 1969 Minn. Laws, chapter 1138, section 8, subdivision 2, as amended,
the RiverCentre Authority (the "RCA"), as an agency of the City, has among its duties, the
responsibility for building, equipping, maintaining and operating the Auditorium; and
WHEREAS, the RCA Board of Members approved RCA Resolution No. 3364 (a copy of which
is attached hereto and incorporated herein) approving the expenditure of the Grant for use in the
asset preservation plans for the Auditorium as detailed in said Resolution (the "Project") and
authorizing the Executive Directar of the RCA to negotiate and execute all contracts necessary to
undertake and complete the Project; and
WI3EREAS, the RCA is using the services of the City's Purchasing Department to facilitate the
Proj ect, including the solicitation, negotiation and execution of contracts related thereto; and
WI3EREAS, among the contracts which the City and the RCA will seek to negotiate and execute
in connection with the Project is a project labor agreement (the "AgreemenY') with the St. Paul
Building And Trades Council (the "Council"); and
WHEREAS, the following unique set of factors make it critical that the Project be completed on
time and within budget: (1) failure to complete the Project on time will likely cause both a loss of
revenue due to bookings of events that will have to be canceled or postponed as a consequence of

1 delays in complerion and a loss of credibility with those customers whose events would be
2 canceled or postponed; (2) a limited Project budget leaves very little room for increased costs
3 caused by delays; and (3) close coordination among all workforces will be necessary to avoid
4 disrupting the Auditorium's ongoing operarions during conshuction; and
6 WHEREAS, in light of the immediate foregoing factors, an Agreement is warranted so as to
7 facilitate the timely and efficient completion of the Project by: (1) making available a ready and
8 adequate supply of highly trained and skilled workers; (2) permitting the City and the RCA to
9 accurately determine Project labor costs at the outset of the Project and to establish uniform
10 working condirions for all construction crafts for the duration of the Project; (3) allowing for the
11 negoriation of specialized terms and condirions which because of the parCicular circumstances
12 relating to a particular proj ect, may be requvred for the effective conshuction of the Proj ect (4)
13 providing a negotiated commitment which is a legally enforceable means of assuring labor
14 stability and labor peace over the life of the Project (5) avoiding work stoppage following
15 expuation of a collective bazgaining agreement; and (6) facilitating equal employment
16 opportunities on the Project.

18 NOW, THEREFORE BE IT RESOLVED that the City accepts the Grant, approves the Project
19 plans and and that upon approval of the Project by the state, the City,by and through those
20 individuals designated under Chapter 86 of the City's Admivistrative Code to execute contracts
21 on behalf of the City, and the RCA, by and through its Executive Director, may enter into an
22 grant agreement with the State of Minnesota for the Project, and that the City and RCA certify
23 that they will comply with all applicable laws and regulations as stated in any such grant
24 agreement; and

26 BE IT FURTHBR RESOLVED that the City by and through those individuals designated under
27 Chapter 86 of the City's Admimstrative Code to execute contracts on behalf of the City, and the
28 RCA by and through its Executive Director, are hereby authorized to execute such contracts as
29 are necessary, including a project labor agreement with the Council, to implement the Project on
30 behalf of the City and the RCA.

RESOLUTION APPROVING WILHINS REMODELING PROJECT AND EXPENDTTURE
OF STATE BONDING PROCEEDS
WHEREAS, the last renovation of the Roy Willdns Auditorium was completed in I983; and,
WHEREAS, the Roy Willdns Auditorium, including the Ballrooms therein, is in need of
immediate renovation to keep it operafional and comperitive; and,
WHEREAS, the State of Minnesota has provided $23 million as a grant (the "State GranY� from
bonding proceeds to renovate the Roy Wilkins Auditoriutn; and,
WHEREAS, the RiverCentre Authority's (the "Authority") Building and Operations Committee
(the "BOC") has recommended the renovation following projects be undertaken in the Roy Wilkins
Auditorium (hereinafter either collecUvely referred to as the "Projects" or individually referred to as
the "Individual ProjecY') at an individual project cost for each of the listed Pro}eets (hereinafter
either collecrively referred to as the "Project Expenditures" of individually referred to as the
"Individual Project Expenditure") as follows:

RESOLVED, that the Authority Board hereby accepts the State Grant and approves the Projects
and the Project Expenditures, at a cost not to exceed each of the foregoing identified Individual
Project Expenditures plus $10,000.00 for each Individual Project Expenditure; and be it
FINALLY RESOLVED, that the Authority Boazd further authorizes its Execurive Airector, in
consultation with the Chairperson of the Boazd and the BOC, to undertake all actions consistent
with this Resolution to facilitate the completion of the Proj ect, including, but not limited to,
negotialing and execuring al] necessary contracts and to the extent permitted by law, designating the
Saint Paul Arena Company ("SPAC") as the project manager for the Projects, which designation
shall require SPAC to solicit competitive bids, approve construction related contracts and manage
the Projects.
