1 BE IT RESOLVED, that, upon the petition of The Wilder Foundafion, as documented in Real Estate
2 Division File Number 23-2003, public property hereinafter described is hereby vacated and discontinued
3 as public property.

5 The property to be vacated is described as follows: that part of the West half of Livingston Avenue lying
6 southerly of the westerly extension of the centerline of the alley in Vollmer's Rearrangement and Zying
7 northerly of the easterly extension of the South Zine of Lot 8, Block 87, West St. Paul, Ramsey County.
9 This vacation shall be subject to the terms and conditions of Chapter 130, codified Mazch 1, 1981, of the
10 Saint Paul Legislative Code as amended, and to the following conditions:

1. That the petitioners, their successors and assigns shall pay $1,200.00 as an administrative fee for
this vacation which is due and payable within 60 days of the effective date of this resolution.
2. That, on behalf of the City of Saint Paui, Depariment of Public Works, a 20-foot wide
subterranean easement below 65 feet, city datum, shall be retained for a sanitary sewer
interceptor crossing under Livingston Avenue per Book 49, of Plans, page 19;
3. That, on behalf of the Board of Water Commissioners of the City of Saint Paul, a permanent
utility easement shall be retained on, over, under and across the vacated area to reserve the right
of the Board to maintain and operate any water facility in, on or upon said easement, and to enter
upon said easement or any portion thereof at any time, and from time to time for the purposes of
future construction, reconstruction, inspection, maintenance or repair of the same or any part
thereof. The said utility easement shall be subject to the following restrictions:
a. No buildings, shuctures, trees or any temporary structure, material storage, fixture, ar other
object that may prohibit normal access to water facilities for maintenance purposes will be
perxnitted within the easement area.
b. With written permission from the Saint Paul Regional Water Services, improvements in or
upon the above described easement that do not prohibit or limit the full and free exercise by
the Saint Paul Regional Water Services of its reserved rights may be allowed, with the
understanding that the restoration and costs of such improvements, should the Water Services
exercise its easement rights, shall be the sole responsibility of the fee owner, its successors
and assigns.

permission from the Saint Paul Regional Water Services.
e. No change in surfacing within the easement area shail be permitted without written
pernussion from the Saint Paul Regional Water Services.
f. The petitioner, its successors and assigns shall fully indemnify, defend and save harmless the
Boazd of Water Commissioners of the City of Saint Paui, its officers, agents, empioyees, and
servants from all suits, actions or claims that shall arise from any injuries or damages
received ar sustained by any break in any service pipe, water main, or connection in said
reserved easement, arising out of or resulting from any action or negligence of the petitioner,
its employees, agents or business invitees.
4. That easements in favor of Northem States Power Company, d.b.a. Xcel Energy, be dedicated as
needed on the new plat.
That the petitioners, their successors and assigns agree to indemnify, defend and save hannless
the City of Saint Paul, its officers and employees from all suits, actions or claims of any character
brought as a result of injuries or damages received or sustained by any person, persons or
property on account of this vacation or petitioners' use of this property, inctuding but not limited
to, a claim brought because of any act of omission, neglect, or misconduct of said petitioners or
because of any claims or liability arising from any violation of any law or regulation made in
accordance with the law, whether by the petirioners or any of their agents or employees.
6. That the petitioners, their successors and assigns shall, within 60 days of the effective date of this
resolution, file with the City Clerk an acceptance in writing of the conditions of this resolution
and shall, within the period(s) specified in the terms and conditions of this resolution, comply in
all respects with these terms and conditions.

The standard Board of Water Commissioners easement, whose conditions are described
in the attached February 8, 2002 Standard Easement Provisions, shall be retained over ail
portions of the vacated azea.

Revision date: February 8, 2002
That a permanent utility easement shall be retained on, over, under and across the vacated area on
behalf of the Board of Water Commissioners of the City of Saint Paul to reserve the right of the
Board to maintain and operate any water facility in or upon said easement and to enter upon said
easement, or any portion thereof, at any time and from time to time, for the purposes of future
construction, reconstruction, inspection, maintenance or repair of the same, or any part thereof.
Said utility easement shall be subject to the following requirements:
a. No buildings, structures, trees or any temporary structure, material storage, fixture,
or any other objects which may prohibit normal access to water facilities for
maintenance putposes will be pernutted within the easement area.
b. Improvements in or upon the above described easement that do not prohibit the Boazd
from exercising its reserved rights may be allowed by obtaining written pernussion
from Saint Paul Regional Water Services with the understanding that the restoration
and costs of such improvements shall be the sole responsibility of the petitioner, its
successors and assigns in the event the Board exercises its reserved easement rights.
c. Should it be necessary that the petitioner's works or improvements be removed or
damaged as a result of Saint Paul Regional Water Services operations, all removal,
replacement or modification costs shall be borne solely by the petitioner.
d. No change from the existing grade within the easement area shall be permitted
without written pernussion from Saint Paul Regional Water Services.
e. No change in surfacing within the easement area shail be pernutted without written
pernussion from Saint Paul Regional Water Services.
The petitioner, its successors and assigns shall fully indemrrify, defend, and save
hannless the Board of Water Commissioners of the City of Saint Paul, its officers,
agents, employees, and servants from alt suits, actions or claims which shall arise
from any injuries or damages received or sustained by any break in any service pipe,
water main, or connection in said reserved easement, arising out of or resulting from
any action or negligence of the petitioner, its employees, agents or, business invitees.
