-� WI�REAS, the Housing and Redevelopment Authority of the City
of Saint Paul , Minnesota, proposes to enter into an Early Land
Acquisition Loan Contract (herein called the "Contract") for
financial assistance under Title I of the Housing Act of 1949, as
amended (herein called "Title I") , with the United States of
America (herein called the "Government"� , acting by and through the
Secretary of Housing and Urban Development (herein called the
"Secretary") , pursuant to which Federal funds would be provided
for early land acquisition and related activities in connection
with an urban renewal project (herein called the "Projeet")
identified as "Auditorium Renewal Project, Minn. R-53" , situated
in an urban renewal area more fully described in the exhibit
�attached hereto , marked "Exhibit A" and made a part hereof by
reference (herein called the "Urban Renewal Area") , in the City of
Saint Paul , State of Minnesota (herein called the "Locality") ; and
WHEREAS, under such Contract the Government would provide
financial assistance for early land acquisition and related activ-
ities, and the applicable provisions of Title I provide that "no
loan for such purpose shall be made unless. . . the governing body
of the locality . . . shall have approved by resolution or ordinance
the acquisition of real property in the urban renewal area" ; and

WHEREAS, Title I also provides th�,t "the Secretary may . . .
permit any structure so acquired to be demolished and removed, and
may include in any early acquisition loan the cost of such demoli-
tion and removal , together with administrative, relocation and other
related costs and payments, if the approval of the local governing
body extends to such demolition and removal"; and
WHEREAS, the Local Public Agency has prepared an.d submitted
proposals for the relocation of families that may be displaced as
a result of carrying out early land acquisition activities in the
Urban Renewal Area; and

WHEREAS, there have also been presented to this Council
information and data respecting the proposals for relocation
which have been prepared by the Housing and Redevelopment Authority
of the City of Saint Paul , Minnesota, as a result of studies ,
surveys , and inspections in the Urban Renewal Area; and
WHEREAS, the members of the Council have general knowledge
of the conditions prevailing in the Urban Renewal Area and of the
availability of proper housing in the locality for the relocation
o� families that may be displaced from the Project Area as a re-
sult of early land acquisition and related activities and, in the
light of such knowledge of local housing conditions , have care-
fully considered and reviewed such proposals for relocation; and
WHEREAS, Title I further prohibits any loans from being made
for the purpose of early land acquisition unless
either (A� the Secretary shall have determined
that such loan is reasonably secured by a
first mortgage or other prior lien upon such
real property or is otherwise reasonably
secured, or (B) the governing body of the
locality shall have assumed the responsibility
to bear any loss that may arise as the result
of such acquisition in the event that the
property so acquired is not used for urban
renewal purposes because the urban renewal
plan for the project is not approved, or is
amended to omit any of the acquired property,
_ or is abandoned for any reason.
NOW, THEREFORE , BE IT RESOLVED BY THE COUNCIL OF THE CITY OF
SAINT PAUL, MINNESOTA, AS FOLLOWS:
l . That it hereby approves the acquisition of real property
in the Urban Renewal Area.
2 . That it also approves the demolition and removal of any
structure acquired with financial assistance provided under the
Contract and the inclusion in the early land acquisition loan of
funds sufficient to cover the cost of any such demolition or re-
moval , together with administrative , relocation, and other related
costs and payments.
3. That it is hereby found and determined that the objectives
of the Urban Renewal Plan as presently developed cannot be achieved
through rehabilitation of the properties in the Urban Renewal Area

to be acquired under the proposed contract for Early Land Acquisi-
tion Loan between the Government and the Local Public Agency.
4. That it is hereby found and determined that the proposals
of the Local Public Agency for the proper relocation of fa,milies
which may be displaced in carrying out early land acquisition and
related activities in connection with the Project in decent, safe,
and sanitary dwellings are �easible , and can be reasonably and
timely effected to permit the proper carrying out of such activi-
ties; and that such dwellings or dwelling units available or to be
made available to such families are at least equal in number to the
number of the families that may be displaced, are not generally
less desirable in regard to public utilities and public and com-
mercial facilities than the dwellings of such families, are avail-
able at rents or prices within their financial means, and are
readily accessible to their places of employment.
5 . That it agrees to assume , and does hereby assume , the re-
sponsibility to bear any loss that may arise as a result of the
acquisition of land and the undertaking of related activities with
financial assistance provided under the Contract in the event that
the property so acquired is not used for urban renewal purposes
because the urban renewal plan for the project is not approved, or
is amended to omit any of the acquired property, or is abandoned for
any reason; and this Governing Body further represents that it will
enter into a formal Agreement with the Local Public Agency, in form
and substance satisfactory to the Secretary, under which it speci-
fically assumes the obligation to pay to the Governmen.t upon demand
any such loss sustained by the Government under its Contract with
the Local Public Agency and such Agreement shall be assignable to
the Government upon request; and be it
FURTHER RESOLVED, That the proper City Officials are hereby
authorized and directed to enter into said Agreement based on the
terms and conditions of this Resolution.

The Saint Paul Area Chamber of Commerce is deeply cognizant of the need
for an outstanding Civic Center in order to provide a necessary commun-
itp facility.
The Saint Paul Area Chamber of Commerce, through its officers, Directors
and mernbers� has assisted in the development of guarantors' financial
support and passage of the necessary enabling legislation by the Legis-
lature, and other forms of support.
The Chamber has reviewed the work of the Civic Center ComTaission during
the past year to provide the full facilities in response to civic needs
through careful study by appropriate user groups and a concerned
analyais of the economic impact upon the City of Saint Paul.
On behalf of the Chamber, we urge the City Council to approve the concept
of early land acquisition so that work can continue without delay toward
the realization of a Civic Center for Saint Paul.

civic center complex includinb a multi-purpose arena and parking facility;

WHER�AS, the City, .pursuant to the provisions of Chapter 459, Laws 1967,
is authorized to issue bonds to provide funds to construct, reconstruct,
remodel and equip a civic center consisting of but not linited to the
� existing auditorium and theatre, the existing arena remodeled to a new
exhibition hall, concourses, new arena, and associated parking rar�ps, and
. to acquire land therefor, and the Civic Center Crnnmission created by said
statute proposes, subject to�the approval of the governing body of the City,
to undertake as initial action the construction of an arena and of a parking
facility and to acquire lar.d therefor; and �
WHEREAS, the Authority has made application to the United States of
America for a loan under Section 102(a),._Title I, Housing Act of 1949, as
amended, to assist in the ternporary financing of the Auditorium Renewal
Project, and will malce application for grants under Section 103 or Section
131, Title I, Housing Act of 1949, as amended, to assist in the perrnanent
financing of the said Project; and ,
W:iER�S, it is necessary and in the sound interest of the community and
otherwise beneficial and advantageous. for the City and the Aut�ority to
cooperate. in carryinb out the Auditorium �enewal Project and the Civic C�nter
Project by undertaking an early land acquisition program to the end that ,
deleterious cc�nditions in the Auditorium Renewal Project Area be removed and
that the said Project �rea and Civic Center Project be developed ar.d : .
redeveloped in accordance with the objectives and provisions of the said
Redevelopment Plan and the provisions of Cnapter 459, La�-:s 1967:
NOW, THEREFORE, in consideration of the mutual benefi�s and advantages
herein provided for and of the mutuaT covenants and pro;�ises herein contai.ned,
the parties a�ree as follows: . .
. 1. The Authority will proceed with due dili�,ence, in carrying out
. the Auditorium F.er�ewal °roject to its cornpleti.on for renloval of the condit�.ons .

approved by the Council of the City; the Authority shall take all necessary
steps to secure the further financial assistance of the United States under
Title I of the Housing Act of 1949, as amended, for the Project; and the
execution of a Contract between the Authority and the United States of
America providing financial assistance of a loan urider Section 102(a) of
said Tit1e I shall be a condition of the undertaking by the City of its
obligations under this Agreement. The Authority shall make application to �
the United States of America for a Loan and Capital Grant Contract for grant
assistance under Section 103 or Section 131 of said Title I and take all
necessary steps to secure this money grant; provided, however, that in the
event such Loan and Capital Grant Contract is not executed, then, the parties
agree that the Auditorium Renewal Project shall be carried out financed by
Iocal resources. � �
2. Upon execution of a Temporary Loan Contract under Section
102(a) of said Title I, between the United States and the Authority, the
Authority agrees to acquire the properties identified for Early Land Acquisi�ien
on the Project Boundary and Acquisition ;��ap, attached hereto as Exhibit "A",
to relocate the occupants of said properties and demolish the structures thereon,
and to undertake disposition of said tracts as assembled to the City for
redevelopment upon the terms hereinafter set forth.
3. The City agrees to proceed with due diligence Fvith assembly
of publicly held land in the Project Area, to cooperate with tlie Authority
• in the acquisition of Parcel 7-1 as designated in Exhibit "A", to cooperate
with the Authority to effectuate the removal and relocation of all utilities
from Auditorium Street, Fourth Street, Eagle Street, Exchange Street and.
Ryan Street, and cooperate with the Authority to vacate such portions of
_ said Streets as shall be required to assemble the tracts necessary for
construction of the Civic Center improvements, and to purchase and redevelop
those tracts acquired by the Authority upon the terms ]Zereinafter set forth.
4. In the event that the Authority and the United States of
America enter into a Loan and Capital Grant Contract under authority of
Section 103 or Section 131 of�"Title I: of the liousing �Act of 1949, as amended, '

upon discharge of the City's obligations under said Agre�rnent, the Authority
shall convey the acquired property to the City without further consider�tion.

open to all persons without regard to race, color, creed or national origin.

WITNESSETH:
k�HERSAS, the Authority has determined that the area designated as the
Auditorium Urban Renewal area and project, described as follows:

States of America under Ti�le Z of the Housing Act of Z949, as amer.ded, to
undertake surveys and plans for th� Auditorium Urban Rer.�����1 Aroiect, Minn. R-�3,
and has prepared and a�proved a Redevelopm�nt Plan for suid Pr��ject- providing
fo.� the vcquisition and clearancA of '02�ghte;-i ,;,nd de}eriorat���? rrope.*_':ies,
construction o£ projevt i�riprovements and ass�rably of land for dispasition for
publi:c use for a civic center facility with ancilla.ry uses inclu�ing pa�king;
and
WHEREAS, the Authority has determined that the conditions of blight
and deterioration existing in the Auditorivm Renewal Project are detrimental
to the welfare of the community and that the elimination of such conditions
of deterioration and blight can only be accomplished by governmental assistance
to be in part obtained by a Federal grant under Section 103 or 131, Title I
of the Housing Act of 1949, as amended, and further determined that the length
of time necessary to prepare, process and obtain governmental approval for
such grant was such that it was necessary to make application for a Federal
loan under Section 102(a) of Title I of the aforesaid Act in the amount of
$3,236,232 to the Authority to acquire and demolish substandard and blighted
properties and to carry out the objectives and provisions of the Redevelopment
Plan; and
WHEREAS, a condition of a loan under Section 102(a) of the aforesaid
Act is that the governing body of the locality shall have assumed the responsi-
bility to bear any loss that may arise as the result of such property acquisition
in the event that the property so acquired is not used for urban rene��al purposes
because the redevelopment plan for the project is not approved, or is am,ended
to omit any of the acquired property, or is abandoned for any reason; and
WHEREAS, it is necessary and in the sound interest of the cor�nunity and
otherwise beneficial and advantageous for the City to cooperate with the
Authority in carrying out the Project �o the end that deleterious conditions
in the Project Area be removed and that the Project Area be redeveloped in
accordance with the objectives of the Redevelopment Plan thereby contributing
materially to the well-being, progress and development of the community as a
whole; and
WHEREAS, under its general powers and under Section 35, Chapter 487,
Laws of Minnesota 1947, as amended, the City is empowered to cooperate with
the Authority to undertake a redevelopment project, including among ottier things
the power to pa�y the obligations of the Autho rity or make loans and contributions
for such projects and enter intu agreemeuts with the Authority respecting actions
to be taken by the City. ,

NOW, THEREFOItE, in consideration of the mutual benefits and advantages
hereinbefore recited and the mutual covenants hereafter set forth, the Authority
and the City do hereby agree as follows: �
1. The Authority will proceed with a1Z due diligence to secure approval
by Che United States of America of the Application for a loan in the amount
of $3,236,232 under Section 102(a) Title I, Housing Act of 1949, as amended,
for which application has heretofore been made. It is understood and agreed
that the undertakings of the City under this Agreement are predicated upon
issuance of said Loan by the United States.
2. The Authority will proceed with all due diligence to prepare an
application for, and secure approval by the United States of a money grant
under Section 103 or 131, Title I, Housing Act of 1949, as amended, to aid in
the financing of the Auditorium Renewal Projeat.

3. The Authority will, upon approval of the Federal loan, proceed to
undertake the proposed property acquisitions, and related activities, in order
to assure the re:noval of conditions of blight and deterioration in the Project
Area as soon as practicable. -
4. The City agrees, without condition, and notwithstanding the provisions
of any other agreement between the Parties respecting the Auditorium Renewal
Project, to assume the respansibility to bear any loss that may arise as the
result of property acquisition financed by the Seetion 102(a) Lnan in the
event that the property so acquired is not used for urban renewal purposes
because the Redevelopment Plan for the Auditorium Urban Renewal Area Project
Minn. R-53 is not approved, or is amended to 'omit any of the acquired property,
or is abandoned for any reason. The City further agrees that an expression
of this undertaking of the City to assume such loss, if any, shall appear on
the face of any Project Temporary Loan 1Vote and Notes issued by the Authority
payable to the L'nited States of America respecting the loan under Section ld2(a)
(e)(b), Title I, Housin� Act of 1949, as amended, and the City further agrees

to pay the United States on demand any such loss sustained by the United States
under the aforesaid loan, which undertaking and agreement shall be assignable
to the ited States of America upon its request.
