1 WHEREAS, the City of Saint Paui Housing and Redevelopment Authority ("HRA") is requesting
2 access, construction and maintenance rights for a retaining wall to be constructed along the Samuel H.
3 Morgan Trail adjacent to the Upper Landing Urban Village immediately southwest of Spring Street and
4 Chestnut Street in Saint Paul, as shown on the attached drawing (E�chibit "A"), a copy of which is on file
5 in the Deparhnent of Public Works, Real Estate Division, File Number 39-2004; and

WHEREAS, the HRA also is requesting access rights across city park land, inciuding the Samuel H.
Morgan Trail, to the HRA-owned "Head House" property located in the vicinity of Spring Street and
Chestnut Street in 5aint Paul, also shown on the attached drawing (E�ibit "B"), a copy of which is on
file in the Department of Public Works, Real Estate Division, File Number 39-2004; and
WHEREAS, the City of Saint Paul, Aivision of Parks and Recreation ("Pazks") has granted permission
to the HRA for said properry rights, as stated in the Saint Paul Pazks and Recreation Commission's
Resolution Numbered 04-24, adopted December 8, 2004, a copy of which is attached hereto; and
WHEREAS, the HRA must enter into a license agreement with the City of Saint Paul for the
conshuction and continued maintenance and repair of the retaining wall, and must also enter into a
license agreement for access to the "Head House" property by pedestrians and delivery and maintenance
vehicles;and
WHEREAS, appraisals of said park land areas have been performed by a qualified independent
appraiser and appraised market values of the properties have been determined; and
WfIEREA5, in accordance with Chapter 51 of the Saint Paul Administrative Code, the HRA has
submitted to the City a proposal to exchange said park land with IIRt�-owned property located at 465
Wacouta Street (aka the "Wacouta Commons" property bounded by Wacouta/Sibley/8th/9th, as shown
on the attached map, E�tibit "C"), and determ3ned by the City's Valuation & Assessment Engineerto be
of greater value than said park land; now, therefore be it
RESOLVED, that the Saint Paul City Council hereby accepts the H12A "Wacouta Commons" property
in exchange for said diversion of pazk land on the Samuel H. Morgan Trail; and be it fiuther
RESOLVED, that the proper City officials are hereby authorized and directed to enter into separate
license agreements with the HRA; one for construction, maintenance and repair of a retaining wall, and
another for pedestrian and delivery and maintenance vehicle access to the "Head House" property, upon

final transfer of said HRA properry to the City; and be it fmally
RESOLVED, that the HRA shall reimburse the City for all costs associated with issuance of said
license agreements, including the cost of the appraisal and all construction and restoration wark as
required and approved by the Division of Parks and Recreation.

Initiating Probiem, Issues, Opportunity (Who, What, When, Where, Why): �
The HRA is seeking access rights to construct and maintain a new retaining wall abutting Centex property in the Upper Landing Urban
Village. In addtition, the the ARA is seeking access for pedestrians and delivery and maimenance vehicles to the Head House proper[y
immediately south of the Samuel Morgan Trail. In exchange, the HRA will deed the "Wacouta Commons" property to the City for park
purposes.

RESOLUTION 04-24
WHEREAS, the Saint Paul Parks and Recreafion Comxnission is an appointed body
established to advise the Mayor and City Council on lonb range and city-wide matters related to
Parks and Recreation; and
WHEREAS, Secrion 13A11 of the City Charter requires that the Commission review
any diversion or disposal of park properiy and present a recommendation to the City Council;
and
WHEREAS, the City of Saint Paul Housing and Redevelopment Authority ("HRA")
proposes that the Division of Parks and Recreation grant property rights on city pask land near
the Upper Landing/Centex housing development as follows:
1) A license for the construction and maintenance of a retaining wall abutting the south line
of Centex-owned property between Walnut Street and the extension of Chestnut Street,
specifically granting rights for a permanent encroachxnent far the wall footing, permanent
non-exclusive use for operation and maintenance, and temporary use for conshuction (as
shown on the attached drawing); and
2) A license for ongoing access by emergency, delivery and maintenance vehicles to the
HRA-owned "Head House" properiy at Wall Street and the Mississippa River (as shown
on the attached drawing); and
WHEREAS, the HIt1� is the owner of properiy at 465 Wacouta Street ("Wacouta
Commons"), located between Sibley Street, Wacouta Street, 8`� Street East and 9`� Street East,
that is proposed to be exchanged far the licenses on city park land; and
WHEREAS, no trees will be disturbed on city park land as a result of the licenses; and
WHEREAS, any disturbance to existing park land for the licenses, including the bicycle
and pedestrian trails, will be restored at the FIRA's expense to a condition acceptable to the
Division of Parks and Recreation; and
WF3EREAS, the Division of Parks and Recreation has reviewed and supports the
granting of the proposed licenses; now, therefore
BE IT RESOLVED, that the Saint Paul Parks and Recreation Commission concurs with
the proposed exchange of property rights on City park land near the Upper Landing/Centex
housing development far the FII2A-owned parcel known as Wacouta Commons, and in
accordance with City Charter Section 13.01.1 recommends approval by the Saint Paul City
Council.
