He shall submit 20 copies of the final report including the statement of current probable conatruction costs to the Owner. Such report will be submitted to the Owner for approval 45 days after receipt of signed contract. ARTICLE IV PAYMENTS TO ENGINEER A. Owner will pay Aasociate Engineer the full coet of the report as • provided in Article II of this agreement upon aubmittal of the completed report to the owner. AR TIC LE V ACCOUNTING RECORDS Records of the Associate Engineer's Direct Peraonnel, Consultant, aad Reimbursable Expenae pertaining to this Project and records of accounts between the Owner and Contractor s�iall be kept on a generally recoguized accounting basis and shall be available to the Owi�er or his authorized repreaentative at mutually convenient times. ARTICLE VI DESIGNATION OF ENGINEER ; - The Associate Engineer, at all times� shall employ and maintain a competent and duly registered engineer in charge of the aubject engineering work and the performance of a11 Associate Engineer's obligations hereundex. Aesociate Engineer shall have the status of associate engineer purauant to the authority under Section 304 of the Home Rule Charter of the City of Saint Paul and shall be subject to the provisions of said Charter. � - � � _Zy : . � . >�:�:.�..��: . _ > __ .: _ ; � . �. ' -,. . . , ARTICLE VII , FAIR EMPLOYMENT PRACTICE The Associate Ens;ineer shall be deemed a contractor for the application of all provisions hereof and. laws against unlawful discrimina- tion on account of race, creed or color hereunder. The Associate Engineer agrees, in accordance with Chapter 238, Laws of the State of Minnesota for 1941, that in the hiring of common or skilled labor for the performance of any work under this contract or any sub-contract hereunder, no contractor, material supplier, or � vendor shall, by reason of race, creed or color, discriminate against any person who is a citizen of the United States who is qualified and available to perform the work to which such employment relates; that no contractor, material supplier, or vendor under this contract shall in any manner discriminate against, or intimidate, or prevent the employment of any person, or on being hired, prevent, or conspire to prevent, any person from the performance of work under this contract on account of . race, creed or color; and that this contract may be cancelled or terminated by the Owner, and all moneys due or to become due hereunder shall be forfeited for a second or any subsequeni: violation of the terms or conditions of this contract. This contract is subject to�Title VI of the Civil Rights Act, of 1964 (P. L. 88-352, approved July 2, 1964) and the rules and regulations (24 CFR, Subtitle A, Part 1), issued by the Housing and Home Finance Agency pursuant thereto. AR.TIC LE XI TERMINATION OR SUSPENSION , The Owner may at any time terminate or suspend, upon seven (7) i � days' notice, all or any substantial part of the Associate Engineer's services to be furnished hereunder. The Associate Engineer shall be notified in writing by the Owner of the termination or suspension of the Associate Engineer's services and thereupon such services shall be halted irrunediately. In such event the Associate Engineer shall be entitled to "just and equitable compensation'� for all services rendered . but limited to those services specifically authorized in accordance with the terms of this agreement prior to the date of termination or suspension. - In determining "just and equitable compensation, " the amount of any settlement shall bear a reasonable relationship to the provisions for , payment made in Article II, Article IV, Article IX and Article X. ARTICLE XII ASSIGNMEIVT Neither the Owner nor the Associate Engineer ahall assign, sublet or transfer his interest in this agreement without consent of the other. ARTICLE XIII Said Associate Engineer, as Principal, shall carry an Engineers' Profes.sional Liability Insurance Policy in the amount of at least $100, 000. 00� and shall provid.e a copy of such Profesaional Liability Insurance Policy to the City, which Policy shall be subject to approval as to form by the City.
