04-1045Council File # D � _ / 0 �� Resolution # Presented By Re£erred To Green Sheet # 3 O Z 3 S�2 Z RESOLUTION CITY OF SAINT PAUL, MINNESOTA � Committee: Date RESOLUTION AUTHORIZING EXECUTION OF A PARKING LOT OPERATION AND MANAGEMENT AGREEMENT WITH ARCAPARK, INC. 1 WHEREAS, in recognition of the need to develop and preserve off-street parking facilities in neighborhood 2 commercial areas which face severe pazking shortages such as the Arcade-Case commercial area, the Saint 3 Paul City Council in 1994 authorized the City's acquisition of property located at 841 Case Ave. upon which 4 a municipal parking facility (the "parking facility") was constructed pursuant to Minnesota Statutes, Section 5 459.14, Subd. 1; and WHEREAS, pursuant to Minnesota Statutes, Section 459.14, Subd. 4, the Saint Paul City Council fitrther authorized the execution of a Parking Operation And Management Agreement (the "Original Agreement") between the City and ArCaPazk, Ina ("ArCaPark"), whereby ArCaPark would operate and manage the parking facility on behalf o£ the City; and 10 WHEREAS, the Original Agreement provides that ArCaPark shall manage the parking facility at no fee to the ll City and that all expenses related to the parking facility shall be assessed against commercial properry owners 12 and businesses who directly benefit from the facility as provided under Minnesota Statutes, Section 459.14, 13 Subd. 7; and 14 WHEREAS, the parking facility has significantly alleviated the parking shortage in the Arcade-Case 15 commercial area; and 16 WHEREAS, the Original Agreement with ArCaPark has expired and the City is desirous of entering into a 17 new parking operation and management agreement with ArCaPazk for a term not to exceed five (5) years, 18 together with such other terms and conditions which shall be in material conformity with the terms and 19 conditions contained in the Original Agreement. 20 NOW THEREFORE BE IT RESOLVED, that the Saint Paul City Council hereby authorizes and directs the 21 Director of the City's Deparirnent of Planning and Economic Development ("PED") or her desiguees, to 22 negotiate and execute on behalf of the City, a pazking operation and management agreement (the "New 23 Agreement") with ArCaPazk for a term not to exceed five (5) years, together with such other terms and 24 conditions that shall be in material conformity with the terms and conditions contained in the Original 25 Agreement. o � �o �s 26 The Director of PED or her designees are hereby further designated and authorized to negotiate and agree to 27 any changes, amendments, deletions or revisions to the New Agreement prior to its execution which do not 28 materially change the rights ar obligations of the City as conYained in the Original Agreement, 29 subject to the following conditions: a) such amendments, deletions or revisions do not materially adversely 30 affect the interests of the City; b) such amendments, delerions or revisions do not contravene ar violate any 31 policy of the City; and c) such amendments are acceptabie in form and substance to the St. Paul City Attorney. ArCaPark, Inc. has been managing this lot, which is paid for through assessmenu to benefitting properry owners, since 1995. The resolution authorizes the D'uector of Planniug and Economic Development to negotiate and execute the agreement on behalf of the City.
