BE IT FURTHER RESOLVED, that, subject to the herein stated exceptions and with the
accompanying Utility Easement Certificates of Intended Non-Use, filed voluntarily on behalf of Qwest
Corporation, Northern States Power Company, d.b.a. Xcel Energy, District Energy St. Paul, Inc. and
District Cooling St Paul, Inc., MCI Network Services, Inc., Comcast of Saint Paul, Inc., Saint Paul
Regional Water Services, and the Depariment of Public Works, made a part hereof by this reference and
filed in the office of the City Clerk of Saint Paul, the City, for itself and on behalf of these corporations
and deparhnents, waives the right to the urility easements in the vacated area described above.
This vacation shall be subject to the terms and condition of Chapter 130, codified March 1, 1981, of the
Saint Paul Legislative Code as amended, and to the following conditions:
1. That the peritioner's, their successors and assigns shall pay $1,200 as an administrative fee for
this vacation which is due and payable within 60 days of the effective date of this resolution.
2. That the petitioners, their successors and assigns agree to indemnify, defend and save harmless
the City of Saint Paul, its officers and employees from all suits, actions or claims of any character
brought as a result of injuries or damages received or sustained by any person, persons or
property on account of this vacation or petitioners' use of this property, including but not limited
to, a claim brought because of any act of omission, neglect, ar misconduct of said petitioners or
because of any claims or liability arising from any violation of any law or regulation made in
accordance with the law, whether by the petitioners or any of their agents or employees

PETITION FOR VACATION OF
STREETS AND ALLEYS
WITHIN THE PHALEN CORRIDOR AND
WESTMINSTER BUSINESS CENTER PROJECTS
TO: THE HONORABLE COUNCIL PRESIDENT
AND MEMBERS OF THE CITY COUNCIL
The undersigned does hereby petition the City Council of the City of Saint Paul to
vacate the streets and alleys as described in the attached Exhibit. Your
Petitioner, the Port Authority of the City of Saint Paul, respectfully states and
alleges that it is the fee owner of record of the real estate abutting the streets and
alleys as successor in title to lands previously taken in an eminent domain
proceedings by the Chicago, Saint Paul and Minneapolis Railroad Company,
dated June 25, 1878. The records of District Court, Ramsey County and City of
Saint Paui are unclear as to whether the affected streets and alieys were
properly vacated during this eminent domain process. Therefore, in order to
ensure the public's interest is properly accounted for and the vacations are made
of record, we request approval of this petition.
This proposed street vacation is necessary to ciear titie and to complete the
Phalen Corridor and Westminster Junction Business Center projects. Proposed
areas to be vacated are crosshatched and denoted on the attached exhibit.
Your Petitioner herein requests that there be no assessment of compensation to
Petitioner on account of the value of the accrual; and that in lieu of a bond, and
by acceptance of the terms of the vacation, the Petitioner agrees to fully
indem�ify, defend and save harmless the City of Saint Paul and the Board of
Water Commissioners, its officers, agents, employees and servants from all
suits, actions or claims which may arise from any injuries or damages received or
sustained by a break in any service pipe, water main, or connection in said

Petitioner, its employees, agents or business invitees.
Your Petitioner herein further requests that the provisions of the Saint Paul
Legislative Code, Chapter 130, pertaining to the reservations of easements,
rights and other claims for the installation, maintenance and operation of any
sewer, water, gas, telephone, or electrical main, pipe or conduit, or any other
conduit of public instrumentality for the City of Saint Paul and for other persons or
corporations having pubiic instrumentalities in the land to be vacated, be waived
upon presentation to and approval by the City Council of statements to the effect
that any such instrumentality will be abandoned.
WHEREFORE, your Petitioner respectfully requests your Honorable Body to
vacate the portions of streets and alleys for the purposes stated above.

I am requesting a date of October 27, 2004 for a Public Hearing to approve the attached
Council Resolurion. The purpose of the resolution is to approve the petition of Port
Athority to vacate various streets within the proposed Westminster Business Center. I
have enclosed photocopies of the Green Sheet, the Council Resolution and a map of the
area to be vacated. Please let me know if there is any additional information you might
need.
The resolution is currently being routed for signatures along with the responses from the
utilities and other pertinent information.
